MasterLeaseAgreement租借协定主条约doc@#@MasterLeaseAgreement租赁合同主协议-@#@THISMASTERLEASEAGREEMENTisdatedandeffectiveasof_________,_________,_________（M,D,Y）,（theEffectiveDate）,byandbetweenAAAInc.,a_________corporation,locatedat_________（togetherwithanysuccessorsorassigns,theLessor）,andtheLesseeindicatedbelow（theLessee）.@#@LESSEE@#@FullLegalNameTradeNameBBB@#@MailingAddressCityStateZip@#@__________________CITY__________________@#@TypeofLegalEntityStateofOrganizationDateofEstablishment@#@CORPORATION__________________@#@ @#@@#@1.LEASE.LessorherebyleasestoLesseeandLesseeherebyleasesfromLessorallofthetangiblepersonalpropertylistedoneachEquipmentScheduleexecutedfromtimetotimepursuanttothisAgreement（each,anEquipmentSchedule）.EachEquipmentScheduleshallbesubstantiallyintheformannexedheretoasAnnexA,shallincorporatebyreferencethereinallofthetermsandconditionsofthisAgreementandshallincludesuchothertermsandconditionsuponwhichthepartieshaveagreed（eachEquipmentSchedule,togetherwiththisAgreementasitrelatestosuchSchedule,isreferredtohereinasaLease）.WithrespecttoeachLease,capitalizedtermsnotdefinedinthisAgreementshallhavethemeaningsstatedintheapplicableEquipmentSchedule.@#@ @#@@#@2.NETLEASE.EACHLEASEISANETLEASE,ANDLESSEESHALLPAYALLCOSTSANDEXPENSESOFEVERYCHARACTER,WHETHERFORESEENORUNFORESEEN,ORDINARYOREXTRAORDINARY,INCONNECTIONWITHTHEUSE,POSSESSION,STORAGE,MAINTENANCEANDREPAIROFTHEEQUIPMENT.LESSEEISUNCONDITIONALLYOBLIGATEDTOPAYPERIODICRENTANDALLOTHERAMOUNTSDUEUNDEREACHLEASEREGARDLESSOFANYDEFECTINORDAMAGETOTHEEQUIPMENT,LOSSOFPOSSESSIONORUSEOFTHEEQUIPMENTORDESTRUCTIONOFTHEEQUIPMENTFROMANYCAUSEWHATSOEVER.LESSEE’SOBLIGATIONSUNDEREACHLEASESHALLCONTINUEUNTILSPECIFICALLYTERMINATEDASPROVIDEDTHEREIN.LESSEEISNOTENTITLEDTOANYABATEMENT,REDUCTION,RECOUPMENT,DEFENSE,ORSET-OFFAGAINSTPERIODICRENTOROTHERAMOUNTSDUETOLESSORUNDEREACHLEASE,WHETHERARISINGOUTOFSUCHLEASE（INCLUDINGANYBREACH,DEFAULTORMISREPRESENTATIONOFLESSOR）OROUTOFLESSOR’SSTRICTLIABILITYORNEGLIGENCE,OROTHERWISE.@#@ @#@@#@3.TERM.ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectthereafteraslongasanyLeaseremainsineffect.ThetermofeachLeaseshallcommenceontheLeaseCommencementDateassetforthinaDeliveryandAcceptanceCertificatesignedbytheLesseeinsubstantiallytheformannexedheretoasAnnexB（theLeaseCommencementDate）andshallcontinuethereafterfortheleasetermsetforthintheapplicableEquipmentSchedule（theLeaseTerm）.UnlessLesseeshallhavegivenduenoticeoftheexerciseofoneoftheoptionsavailabletoLesseeunderSection13hereoforshallhavegivenLessorwrittennoticeofnonrenewalatleast30dayspriortotheexpirationofanyLeaseTerm,suchLeaseTermshallautomaticallyrenewforsuccessivemonthlyperiodsuntilterminatedbyLesseeorLessoruponatleast30dayspriorwrittennotice.@#@ @#@@#@4.RENT.LesseeagreestopayPeriodicRentintheamountspecifiedineachEquipmentSchedule（thePeriodicRent）.TheinitialPeriodicRentpaymentforeachLeaseshallbedueonthedatetheEquipmentisacceptedbyLesseeandsubsequentPeriodicRentpaymentsshallbedueasspecifiedontheapplicableEquipmentSchedule.AllPeriodicRentandotheramountspayableundereachLease（collectivelyreferredtohereinasRent）shallbepaidtoLessorattheaddressspecifiedontheapplicableEquipmentScheduleoratsuchotheraddressasLessormayspecifythereafterinwriting.IfanyPeriodicRentorotherRentpaymentisnotpaidwithin10daysofitsduedate,LesseeagreestopayasadditionalRentalatechargeequalto5%ofsuchunpaidRentpaymentplus11/2%permonthofanyamountdueandunpaidformorethan30days,or,ifless,themaximumamountpermittedunderapplicablelaw.PeriodicRentpayableduringanyautomaticrenewalperioddescribedinSection3hereofshallbeequaltothehighestPeriodicRentpayableduringtheinitialLeaseTerm.@#@ @#@@#@LesseeherebyagreesthattheamountofthePeriodicRentpaymentsandPurchaseOptionPriceundereachLeaseshallbeadjustedtoreflectanychangeintheCosttoLessorsetforthintheapplicableEquipmentScheduleasaresultofEquipmentchangeordersorreturns,invoicingerrorsorothersimilarevents.Intheeventofanysuchadjustment,LessorwillfurnishtoLesseeawrittennoticestatingthefinalCosttoLessor,PeriodicRentandPurchaseOptionPrice.@#@ @#@@#@5.DISCLAIMEROFWARRANTIES.LESSEEACKNOWLEDGESANDAGREESTHAT:
