purchaseoftheproperty

PartyAagreestosellthepropertytoPartyB.ThepropertyisqualifiedforsaleinthemarketinaccordancewiththeregulationofBeijingMunicipalConstructionCommittee.Togetherwiththesalesoftheproperty,theallocatedlandareaforthepropertyandtheusabletermofthelandistransferredtoPartyBjointly.Thepropertyisdescribedas:

PartyBhasfullyunderstoodthefactsandagreestobuythepropertyvoluntarily.

II.Salespriceandtermsofpayment

1.SalesPrice

PartyAandPartyBagreethatthesalespriceofthepropertybe（CAD______）;

2.TermsofPayment

PartyBshallmakethepaymentinaccordancewithasfollow:

A.Cash

UponsigningofthisAgreement,PartyBshallpay10%oftheprice（________）asthedeposit.Thispaymentshallbemadeinaccordancewith______asfollow:

a.PaidtoPartyAinfullandPartyAshallissueaninvoice;

b.DepositedtemporarilyThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneed

PartyAandPartyBherebyagreethat,fortheafore-saidmethod（b）,oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthesalesprice.

B.Mortgage

a.UponsigningofthisAgreement,PartyBshallpayofthepriceasthedeposit,whichwillbepartofthedownpayment.

b.WithindaysaftersigningofthisAgreement,PartyBshallmakeuptherestpartofthedownpayment（thedownpaymentshallbenolessthanofthepriceinaccordancewithmortgagebank’srequirement）.

Throughthenegotiation,PartyBagreestomaketheafore-saidpaymentinwayasfollow:

a.PaidinfullamounttoPartyAandPartyAshallissueaninvoice;

b.DepositedtemporarilyintotheescrowaccountThisdepositwillbereleasedonlywhenthetitletransferfromPartyAtoPartyBiscompletedandthepropertyhandoverhasbeenconcluded,andthedepositwillbereleasedtogetherwiththeremainingpaymenttoPartyA.Todothis,PartyAandPartyBneedtosignaseparateEscrowAgreementwithRegion.

PartyAandPartyBherebyagreethat,fortheafore-saidmethod（b）,oncetheescrowfundisdepositedintheescrowaccountitisdeemedthatPartyBhasperformeditspaymentobligationofdepositandthedownpayment.

IfPartyBmakestheremainingpaymentwithbankmortgage,PartyBshallsignaseparateEntrustedPaymentAuthorizationwithCentury21BeijingRegionforitsmortgageservices.

a.IfPartyBsatisfiesthecriteriaofgettingthemortgageloanthroughtheexaminationofthelendingbank,thelendingbankshallremittheloaninlumpsumtothespecialsettlementaccountopenedbyPartyAatthebankinaccordancewiththeEntrustedPaymentAuthorization.

b.IncasePartyBdoesnotsatisfythecriteriaofgettingtheloanthroughtheexaminationofthelendingbank,PartyBwillchoosethefollowingmethodsasthesolution:

i）Withindaysafterthebankdecidesnottoprovidetheloan,PartyBshallraisetheremainingpaymentbyhimselfandpayincashtoPartyA.PartyBshallbearalltheexpensesoccurredduringthisperiod;

ii）TerminatethisAgreement,andPartyAandPartyBshallrefundthemoneywhichhavebeenpaidtoeachother.PartyBshallbearalltheexpensesoccurredduringthisperiod.

3.Taxesandfees

A.PartyAandPartyBshallpayallthetaxesandfeesrespectivelyinaccordancewithrelevantregulationsofthestateandlocalgovernments.shallassistPartyAandPartyBtocalculaterelevanttaxesandfees.Throughnegotiation,PartyAandPartyBagreetobearthetaxesandfeesasfollows:

Foranytaxesorfeesunspecified,unclear,orchangedwiththepolicy,PartyAandPartyBshallreachaconsensusdaysbeforethetitletransfer,orPartyAandPartyBshallmakethepaymentinaccordancewiththegovern
