Hereinaftertogetherreferas“PartyC”or“SchneiderElectric”,eachlogisticcentreofSchneiderElectrichereinrefersto“SchneiderElectricLogisticsCentre”.

Inordertogivebetterserviceforclientsofelectriccompletefactory,toimproveservicequalityofelectriccompletefactory,meanwhile,tofixpurchasechannelsfortheelectriccompletefactory,thistripartiteAgreementismadeamongclientsofelectriccompletefactory,distributorsandSchneiderElectric.

Whereas,PartyA,PartyBandPartyCascooperativepartnerofelectricproductsforeachother,thethreePartiesnegotiationfriendlyandreachanagreementonthematterofproductssupplyofSchneiderElectric:

1RELATIONSHIPBETWEENBOTHPARTIES

1.1SchneiderElectricherebyhasconfirmedthatPartyBwasdulyauthorizedasdistributorforSchneiderElectricProducts,andhadsignedDistributorAgreementwithPartyB（hereinafterreferto“DistributorAgreement”）.PursuanttothisAgreement,SchneiderElectricauthorizedPartyBtosellSchneiderElectricproductsforPartyAaccordingtotheconditionsanditemsinthisAgreement.InordertostandardizedthesalechannelsforSchneiderElectricproductsaswellasdistributorsbehaviours,SchneiderElectricenjoystherighttosupervisethefactthatPartyBexecutesthisAgreementornot,andownstherighttodecideimportanteventsundertheitemsinthisAgreement,includingbutnotlimitedtogivediscountrateforPartyAandsoon.

1.2PartyBreferstoSellerpursuanttothisAgreement,whowillbearallkindsofrights,obligationsinthisAgreementaswellaswholeresponsibilitieswhichcausedbytheAgreement,butPartyBshallallowtoreceivethesupervisionfromSchneiderElectricaccordingtoDistributorAgreementandthestipulationsinthisAgreement,including:

（1）PartyBshallallowtosellSchneiderElectricproductsforPartyAaccordingtotheconditionsandthestipulationsinthisAgreement,andwillstrictlyexecuteallthesaleitemsstipulatedinthisAgreement;

（2）PartyBshallstrictlyexecuteanydirectionsandinstructionsissuedbySchneiderElectricforit,whichrelevanttoandsuitableforthisAgreement;

（3）PartyBregardsasproductsdistributorofSchneiderElectric,shallobeythesalespolicyandstipulationinDistributionAgreement.

1.3PartyCregardsasBuyerpursuanttothisAgreement.PartyAallowsPartyBtosupplyproductsbecausePartyBisregardedaslongtermsupplierofSchneiderElectric.

2DEFINITION

ThefollowingwordsinthisAgreementanditsattachmentshavespecificdefinition:

2.1Agreement:

refertoYearlyThreePartySupplyAgreementIn2013anditsallattachments.

2.2Cooperation:

refertotherelationshipofsupplyanddemandamongthetri-partyinthisAgreement,thecooperativeperiodinthisAgreementisannualcooperation,whichshallstartfromthesigningdateofthisAgreement,andtheterminationdateshallbeDecember31,2013.

2.3OneParty/Tri-Party:

refertoSchneiderElectric,includingitsaffiliatedcompanies,such
