ThisManufacturingandSalesAgreement（”Agreement”）ismadeandenteredintoFeb.5th,2004（the“EffectiveDate”）byandbetweenTechnologySdn.Bhd.,aMalaysiacorporationwithitsprincipalplaceofbusinesslocatedatB-6-12,BlockB,PlazaMont’Kiara,2,JalanKiara,Mont’Kiara,50480KualaLumpur,Malaysia（"
PARTYA"
）andEuropeS.A.,aSwitzerlandcorporationwithitsprincipalplaceofbusinessatMoulinduChouD,CH-1122,ROMANEL-SUR-MORGES,Switzerland.（“PARTYB”）.
A.
WhereasPARTYAdesirestomanufactureandsell,andPARTYBdesirestopurchasecertainproducts,M2（SensorModule）underthetermsandconditionsofthisAgreement;
B.
WhereasPARTYBagreedtopurchaseoftheagreedpartsintheagreedpriceandquantitylevelatleast1yearsfromthestartofmanufacturingofthefirstphase,unlessthePARTYAfailstomeetthequalitylevelrequirementofPARTYB;
and
C.
WhereasPARTYBandPARTYAagreedtocooperatetogetherformutualinterestandwillstrivetohonorthetermsandconditionsofthisAgreement.
Therefore,PARTYBandPARTYAagreeasfollows:
InthisAgreement,includingtheSchedulesandExhibitshereto,thefollowingtermshavethefollowingmeanings:
（a）
“Affiliate”meansanyentity,whichiscontrolledby,controlsorisundercommoncontrolofapartytothisAgreement.
Forthispurpose,theword"
control"
means
thedirectorindirectownershipofmorethanfifty（50%）percentofthevotingequityofsuchentity（or,inthecaseofanentitythatisnotacorporation,fortheelectionofthecorrespondingmanagingauthority）.
（b）
“IntellectualPropertyRights”meansallinventions,patentsandpatentapplications（includingreissues,divisions,continuations,continuations-in-part）,tradesecrets,know-how,drawings,copyrights,mask-workandotherintellectualpropertyrights,whetherornotfiled,perfected,registeredorrecorded,andwhethernoworhereafterexisting,filedissuedoracquired.
（c）
“PARTYB”meansPARTYBEuropeS.A.togetherwith,wherethecontextrequires,itsAffiliates.
（d）
“Parts”meanstheproductsdescribedintheattachedExhibitA.SuchExhibitmaybeamendedinwritingfromtotimebymutualagreementoftheparties,andanyotherpartsaddedtosuchExhibitshallbeincludedinthedefinitionof“Parts”.
TermsdefinedelsewhereInthisAgreementshallhavethemeaningascribedthereto.
Termsdenotingthepluralshallincludethesingular,andviceversa.
