@#@_________（theExecutive）,datedasofthe_________,_________,_________（M/D/Y）.@#@ @#@@#@TheBoardofDirectorsoftheCompany（theBoard）,hasdeterminedthatitisinthebestinterestsoftheCompanyanditsshareholderstoassurethattheCompanywillhavethecontinueddedicationoftheExecutive,notwithstandingthepossibility,threatoroccurrenceofaChangeofControl（asdefinedbelow）oftheCompany.TheBoardbelievesitisimperativetodiminishtheinevitabledistractionoftheExecutivebyvirtueofthepersonaluncertaintiesandriskscreatedbyapendingorthreatenedChangeofControlandtoencouragetheExecutive’sfullattentionanddedicationtotheCompanycurrentlyandintheeventofanythreatenedorpendingChangeofControl,andtoprovidetheExecutivewithcompensationandbenefitsarrangementsuponaChangeofControlwhichensurethatthecompensationandbenefitsexpectationsoftheExecutivewillbesatisfiedandwhicharecompetitivewiththoseofothercorporations.Therefore,inordertoaccomplishtheseobjectives,theBoardhascausedtheCompanytoenterintothisAgreement.@#@ @#@@#@NOW,THEREFORE,ITISHEREBYAGREEDASFOLLOWS:

@#@@#@ @#@@#@1.CERTAINDEFINITIONS.@#@ @#@@#@（a）TheEffectiveDateshallmeanthefirstdateduringtheChangeofControlPeriod（asdefinedinSection1（b））onwhichaChangeofControl（asdefinedinSection2）occurs.AnythinginthisAgreementtothecontrarynotwithstanding,ifaChangeofControloccursandiftheExecutive’semploymentwiththeCompanyisterminatedpriortothedateonwhichtheChangeofControloccurs,andifitisreasonablydemonstratedbytheExecutivethatsuchterminationofemployment（i）wasattherequestofathirdpartywhohastakenstepsreasonablycalculatedtoeffectaChangeofControlor（ii）otherwisearoseinconnectionwithoranticipationofaChangeofControl,thenforallpurposesofthisAgreementtheEffectiveDateshallmeanthedateimmediatelypriortothedateofsuchterminationofemployment.@#@ @#@@#@（b）TheChangeofControlPeriodshallmeantheperiodcommencingonthedatehereofandendingonthethirdanniversaryofthedatehereof;@#@provided,however,thatcommencingonthedateoneyearafterthedatehereof,andoneachannualanniversaryofsuchdate（suchdateandeachannualanniversarythereofshallbehereinafterreferredtoastheRenewalDate）,unlesspreviouslyterminated,theChangeofControlPeriodshallbeautomaticallyextendedsoastoterminatethreeyearsfromsuchRenewalDate,unlessatleast60dayspriortotheRenewalDatetheCompanyshallgivenoticetotheExecutivethattheChangeofControlPeriodshallnotbesoextended.@#@ @#@@#@2.CHANGEOFCONTROL.ForthepurposeofthisAgreement,aChangeofControlshallmean:

@#@@#@ @#@@#@（a）Theacquisitionbyanyindividual,entityorgroup（withinthemeaningofSection13（d）（3）or14（d）

（2）oftheSecuritiesExchangeActof1934,asamended（theExchangeAct））（aPerson）ofbeneficialownership（withinthemeaningofRule13d-3promulgatedundertheExchangeAct）of20%ormoreofeither（i）thethenoutstandingsharesofcommonstockoftheCompany（theOutstandingCompanyCommonStock）or（ii）thecombinedvotingpowerofthethenoutstandingvotingsecuritiesoftheCompanyentitledtovotegenerallyintheelectionofdirectors（theOutstandingCompanyVotingSecuritiesprovided,however,thatforpurposesofthissubsection（a）,thefollowingacquisitionsshallnotconstituteaChangeofControl:

@#@（i）anyacquisitiondirectlyfromtheCompany,（ii）anyacquisitionbytheCompany,（iii）anyacquisitionbyanyemployeebenefitplan（orrelatedtrust）sponsoredormaintainedbytheCompanyoranycorporationcontrolledbytheCompanyor（iv）anyacquisitionbyanycorporationpursuanttoatransactionwhichcomplieswithclauses（i）,（ii）and（iii）ofsubsection（c）ofthisSection2;@#@or@#@ @#@@#@（b）Individualswho,asofthedatehereof,constitutetheBoard（theIncumbentBoard）ceaseforanyreasontoconstituteatleastamajorityoftheBoard;@#@provided,however,thatanyindividualbecomingadirectorsubsequenttothedatehereofwhoseelection,ornominationforelectionbytheCompany’sshareholders,wasapprovedbyavoteofatleastamajorityofthedirectorsthencomprisingtheIncumbentBoardshallbeconsideredasthoughsuchindividualwereamemberoftheIncumbentBoard,butexcluding,forthispurpose,anysuchindividualwhoseinitialassumptionofofficeoccursasaresultofanactualorthreatenedelectioncontestwithrespecttotheelectionorremovalofdirectorsorotheractualorthreatenedsolicitationofproxiesorconsentsbyoronbehalfofaPersonotherthantheBoard
