　　“服务”又称“技术服务”系指根据本合同规定卖方承担与供货有关的服务，包括但不限于以下内容：

　　预验收：

指卖方提供的设备安装和安装过程中的全部测试完毕（不含功率曲线和可利用率）。

　　Pre-acceptancemeansthecompletionoftheequipmentinstallationandalltestsintheprocessofinstallationprovidedbytheSeller（excludingpowercurveandavailability）.

　　从第一台风机开始至最后一台风机安装测试、试运行完成为调试期，试运行应达到每台风机连续无故障、正常运行240小时，并且在此期间如出现额定风速，机组应达到额定出力。

　　Commissioningperiodshallcoverallthetimetobespentontheinstallation,testingandthecompletionofcommissioningfromthefirstwindturbinetothelastwindturbine.

　　Eachwindturbineshallbetrouble-freeaftercontinuousoperationof240hours,andduringthisperiod,ifthereisratedwindspeed,theunitshallachievetheratedoutput.

　　合格后卖方提交合格的安装调试报告。

　　TheSellershalldeliveraqualifiedinstallationandcommissioningreportafterpassingthecommissioning.

　　调试期结束时，将签发预验收证书，证书由买方和卖方共同签字。

　　Upontheendofthecommissioningperiod,apre-acceptancecertifiCATewillbeissuedandsignedbytheBuyerandtheSeller.

　　最终验收：

指全部风机质量保证期结束时的验收，由买方向卖方签发最终验收证书。

　　FinalacceptancereferstotheacceptanceattheexpirationofwarrantyperiodsofallthewindturbinesandshallbeconfirmedbyafinalacceptancecertificateissuedbytheBuyertotheSeller.

　　质量保证期：

指机组预验收证书签署后次日，至买卖双方最终验收书签发生效日，时间为2年。

　　Warrantyperiodshalllastfortwoyears,startingfromthedayfollowingthesignatureofpre-acceptancecertificateoftheunittotheeffectivedateoffinalacceptancecertificatesignedbytheSellerandtheBuyer.

　　在此期间，卖方保证货物的正常、稳定运行，并对出现的合同货物缺陷予以排除。

　　Duringthisperiod,theSellershallensurethenormal,stableoperationoftheGoods,andeliminateanydefectsfoundintheContractGoods.

　　试运行：

是指合同货物调试结束后，预验收证书签署前机组的运行。

　　CommissioningmeanstheoperationoftheContractGoodsbetweentheendofcommissioningandtheissuanceofapre-acceptancecertificate.

　　设备交付：

指合同货物运至项目现场（卖方车板交货）后，卖方指导下的买方卸货、双方共同的开箱、检查、清点、验收、买方签署设备交付清单等相关工作。

　　DeliveryofequipmentmeanstheunloadingbytheBuyerundertheguidanceoftheSellerandotherrelatedworkperformedbytheSellerandtheBuyer,suchasunpacking,inspection,stocktaking,acceptanceandsigningonthedeliverylistofequipmentbytheBuyeraftertheContractGoodshasbeencarriedtotheprojectsite.

　　买方向卖方签署设备交付清单后，该批货物的产权归属买方，但不得减少或免除合同规定的卖方的其他义务和责任。

　　UponsigningonthedeliverylistofequipmentbytheBuyer,thepropertyrightsofthegoodsshallbeproprietarytotheBuyer,butshallnotreduceorrelievetheSeller'

sotherobligationsandresponsibilitiesundertheContract.

　　买方监造：

指买方有权自付费用派代表到买方工厂进行监造[微软用户1]，卖方提供相应的食宿等方便。

　　SupervisionoftheBuyermeansthattheBuyerhastherighttosendrepresentativestotheBuyer'

sfactoryatitsownexpensetosupervisemanufacturewhiletheSellerprovidesappropriateaccommodationandotherconveniences.

　　本合同下交付的货物应符合技术规格所述的标准。

　　TheGoodstobedeliveredundertheContractshallbeinconformitywiththestandardsprescribedbythetechnicalspecifications.

　　如果没有提及适用标准，则应符合中华人民共和国官方标准，这些标准必须是有关机构发布的最新版本的标准。

　　Iftheappropriatestandardsarenotapplicable,thegoodsshallcomplywiththeofficialstandardsspecifiedbythePeople'

sRepublicofChinaandthesaidstandardsshallbethelatestonesreleasedbyrelevantauthorities.

　　预付款保证金

　　AdvancePaymentBond

　　预付款保证金金额：

合同总价的百分之五（5%）。

　　Advancepaymentbondshallbeequalto5%ofthetotalcontractprice.

　　卖方应在合同签署后七天内，向买方提交合同条款中所规定金额的预付款保证金。

　　TheadvancepaymentbondstipulatedbytheContractshallbedeliveredbytheSellertotheBuyerwithinseven（7）daysafterthesignatureoftheContract.
