机密性和工作协议

不可撤销的佣金保护协议

WHEREAStheundersignedwishtoenterintothisAgreementtodefinecertainparametersofthefuturelegalobligations,areboundbyadutyofConfidentialitywithrespecttotheirsourcesandcontacts.ThisdutyisinaccordancewiththeInternationalChamberofCommerce.

鉴于，以下署名者，凡意欲加入本协议并以此来规范其将来可能承担的法律责任的，为了表示对信息披露方及其联系人的尊重，必须承担各自应尽的保密义务。

此保密义务将依照国际商会的条例执行。

WHEREAStheundersigneddesiretoenteraworkingbusinessrelationshiptothemutualandcommonbenefitofthepartieshereto,includingtheiraffiliates,subsidiaries,stockholders,partners,co-ventures,tradingpartners,andotherassociatedorganizations（hereinafterreferredtoas“Affiliates”）.

鉴于，以下各方意欲签订一份保密工作协议，其保密协定的签署涉及相互利益的双方，且包括双方的附属企业、子公司、股东、合作伙伴、合资和贸易伙伴及其他关联机构（在下文中表示为“附属企业”）。

NOWTHEREFOREinconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,thereceiptsofwhichisacknowledgedhereby,thepartiesherebyagreeasfollows:

1.TERMSANDCONDITIONS

A.Thepartieswillnotinanymannersolicit,noracceptanybusinessinanymannerfromsourcesortheiraffiliates,whichsourcesweremadeavailablethroughthisagreement,withouttheexpresspermissionofthepartywhomadeavailablethesourceand,

如果没有信息披露方明确的书面许可，双方或其任何附属企业都不应在任何情况下招揽或接受任何来自对方或其附属企业在本协议中所披露的资源的业务，

B.Thepartieswillmaintaincompleteconfidentialityregardingeachotherbusinesssourcesand/ortheirAffiliatesandwilldisclosesuchbusinesssourcesonlytothenamedpartiespursuanttotheexpresswrittenpermissionofthispartywhomadeavailablethesource,and,

立约各方对彼此的业务资源和/或其附属企业之信息，应遵守绝对保密之原则，仅在对方正式书面许可下向指定方透露合作方之相关信息。

C.Thattheywillnotinanyofthetransactionsthepartiesaredesirousofenteringintoanddo,tothebestoftheirabilitiesassuretheotherthatthetransactioncodesestablishedwillnotbeaffected.

在任何情况下，双方保证尽力保护其交易资料之完整性，并尽最大可能确保不对其原始交易代码产生影响。

D.Thattheywillnotdisclosenames,addresses,e-mailaddress,telephoneandtele-faxortelexnumberstoanycontactsbyeitherpartytothirdpartiesandthattheyeachrecognizesuchcontractsastheexclusivepropertyoftherespectivepartiesandtheywillnotenterintoanydirectnegotiationsortransactionswithsuchcontractsrevealedbytheotherpartyand

各方不得向任何第三方透露他方连络人之姓名、地址、电子信箱、电话、电报传真或电传号码，且立约各方需将此连络人信息视为其专属财产，亦不得直接与对方提供之连络人进行直接协商或交易。

E.Thattheyfurtherundertakenottoenterintobusinesstransactionwithbanks,investors,sourcesoffundsorotherbodies,thenamesofwhichhavebeenprovidedbyoneofthePartiestothisagreement,unlesswrittenpermissionhasbeenobtainedfromtheotherparty（ies）todoso.Forthesakeofthisagreement,itdoesnotmatterwhetherinformationobtainedfromanaturaloralegalperson.Thepartiesalsoundertakenottomakeuseofathirdpartytocircumventthisclause.

双方进一步承诺，在未经对方书面许可之下，不得与本协议中一方已披露的银行、投资者、基金会、或其它机构进行业务往来。

基于此份协议，其限制范围不局限于自然人或法人。

且立约各方承诺不得利用第三方来规避此条款。

F.ThatintheeventofcircumventionofthisAgreementbyeitherparty,directlyorindirectly,thecircumventedpartyshallbeentitledtoalegalmonetarypenaltyequaltothemaximumserviceitshouldrealizefromsuchatransactionplusanyandallexpenses,includingbutnotlimitedtoalllegalcostsandexpensesincurredtorecoverthelostrevenue.

任一方以直接或间接方式违反（规避）此份合约者，应付惩罚性违约金，其金额为该交易中所应得到之最高金额之赔偿，加上所有费用，其中包括但不限于因而致生之法律费用与支出。

G.Allconsiderations,benefits,bonuses,participationfeesand/orcommissionsreceivedasaresultofthecontributionsofthepartiesintheAgreement,relatingtoanyandalltransactionswillbeallocatedasmutuallyagreed.

所有双方因协议中任何交易所获得的报酬、收益、分红、参与费用和/或佣金都将依照双方最初约定的比例进行分配。
