1.General总则

1.1SAFintendstosourcepartsandmaterials（hereinafterreferredtoas“ContractProducts”）fortheproductionofandassparepartsforitsaxles,suspensionsystemsandcomponentsforcommercialvehiclesmarketedworldwidefromtheSupplier.

SH欲使供应商为其提供部件和材料，来生产其远销世界的商用车车轴、悬置系统和组件，并为之提供可作为配件的此类部件和材料（下称“合同产品”）。

1.2TheprovisionsofthisContractshallapplytoallpurchasesmadebySAFfromtheSupplierwithouttherequirementfortheirseparatespecificagreementineachcase.

本合同条款适用于SH与供应商的所有买卖交易，而无需针对每笔交易分别订立协议。

1.3ThegeneraltermsofbusinessoftheParties,inparticularinsofarastheseareprintedasstandardonbusinessdocumentssuchasorderacknowledgements,deliverynotesorinvoices,etc.orareenclosedwiththesedocumentsorinsofarasreferenceismadetotheminthesedocuments,shallnotbeapplicableevenwherethesearenolongerexpresslycontradicted.

双方的总则条款，特别是在标准的商业文件（如订单确认函，送达通知或发票等），或在这些文件的附件，或在这些文件所涉及的参考性文件中出现的条款，即使在无明显冲突的情况下亦不可适用。

2.ConditionoftheContractProducts合同产品的条件

2.1ThePartiesshalldefinetherequiredconditionsoftheContractProductsinaproduct-specificform,inparticularintheformofrequirementbooks,drawings,sketches,technicaldocumentationandsimilardocuments.TheSuppliermaydeviatefromsuchspecificationsonlywiththepriorwrittenconsentofSAF.

双方将在产品明细表（特别是要求书，图纸，草图，技术及其他类似文件）中规定合同产品的要求条件。

供应商仅可在获得SH事先书面同意的情况下，对此具体要求作以修改。

2.2WherespecificdefinitionsasdefinedinClause 

2.1arenotmade,theContractProductsmustbesuitablefortheapplicationpresumedundertheContractor,alternatively,forthenormalapplicationandhaveaconditionthatisnormalforproductsofsimilartypeandthatcanbereasonablyexpectedbySAFaccordingtothetypeoftheContractProducts.Insofarastheseprovisionsallowacertainmarginfordiscretionintherequiredcondition,theSuppliermaydifferinfuturefromthespecificconditionexhibitedbytheContractProductsonthefirstdeliverytoSAFonlywithpriorwrittennoticetoSAFofatleast6 

months.

如双方未作出2.1条中所谓的具体要求，那么合同产品必须符合合同所意涵的产品用途，或，符合通常使用用途并具备类似产品的通常条件以及符合SH根据合同产品类别的合理期待。

针对所要求的条件，在相关条款允许一定偏差的情况下，供销商需至少在首次向SH送达产品的6个月内取得事先书面通知，方可在未来对合同产品的具体条件作以修改。

2.3TheSuppliershallobservethelateststatutoryprovisionsandlatestrecognisedstateoftheartandscience,inparticulartherelevanttechnicalstandards,e.g.DINstandards,fortheContractProducts.

供应商需遵守最新的法定条款和最新认可的艺术和科学状态，尤其是与合同产品相关的科技标准，如DIN标准。

2.4HeshallexaminethespecificationsfromSAFimmediatelyonreceiptandnotifySAFinwritingwithoutdelay,ifnecessary,ofanydeviationsfromthestandardsreferencedunderClause 

2.3orothererrors,contradictions,incompletenessandambiguities.

从SH订单收到后，需立即审查要求规格，若有必要，需就与2.3条所涉标准的不同之处、冲突之处、不完整和模糊之处以书面形式不延误的通知SH。

2.5Withinreasonablelimits,SAFcanatanytime–andevenunilaterally–demandmodificationstotheconditionofContractProductsforwhichbindingordershavealreadybeenissued.InsofarasthisdemonstrablyleadstoadditionalcostsfortheSupplierorwheredeliverydatescandemonstrablynotbekeptevenwithreasonableadditionalwork,thePartiesshallagreeonareasonableadjustmentofthepricesand/ordeliverydates.

在合理的限度内，SAF可以在任何时候——甚至单方面的——要求对合同产品的条件作出修改，即使有约束力的订单已经发出。

若此确实导致供应商的额外成本或确实致使送达日期（甚至仅在增加了合理的额外工作情况）依然无法保证，双方需协定对价格和/或送达日期做合理的调整。

2.6InexceptionalcasesandwiththepriorwrittenspecialapprovalatthediscretionofSAF,theSuppliermayalsosupplyContractProductsthatdonotsatisfytherequiredconditionasperClause 

2.1or2.2.Suchdeliveriesshallbeclearlymarkedandacopyofthespecialapprovalmustaccompanythedeliverynote.

在特殊情况下，在获得SAF事先书面的特别批准后，供应商也可提供不满足第2.1或2.2条所要求的合同产品条件。

此类产品供给需清楚的标记，而且需将该特别批准的复件附在该交货单上。

2.7SAFreservestherighttomakeordersforcertainContractProductsdependentontheapprovalforseriesproductionafterperformingapreliminarysampleinspectioninaccordancewiththelatestrelevantVDArecommendations.

SAF保留对（需经批准的）特定合同产品订货的权利。

该系列产品的批准要求根据最新相关的VDA推荐规范，对初步样品进行检验。

2.8TheSuppliershallnotifySAFinwritingofanysignificantchangestotheproductionprocess（e.g.changestotheproductionmethod,modification/changeofmachines/tools,changeofproductionlocation）withareasonableperiodofnoticepriortotheirimplementation.

有关任何产品生产流程进度的重大改变（如对生产方法的改变，对机械/工具的修改/改变，对生产地点的改变），供应商应在其实施生产前合理的通知期内，书面通知SAF。

3.IndustrialPropertyRightsofSAFSAF的工业所有权

3.1InsofarasitisagreedwiththeSupplierthatContractProductsaretobemarkedwiththenameand/ortrademarkofSAF,theentitlementoftheSuppliertousethenameand/ortrademarkofSAFshallbelimitedexclusivelytothema
