在法律英语中，PowerofAttorney和Proxy都可用作表示授权的委托书，区别在于Powerof
Attorney所指的被委托人应为律师，即具有律师身份，而Proxy那么无此种要求，即被委托人一样不需具有律师身份。

1Appointment委任

3.A’sObligationsA的义务
AshallinnomannerwhatsoevermodifythepriceforthedurationofthisAgreement.A在该项协议的期限内不得以任何方式修改价钱.
AshallbeobligatedtotimelyrespondtoB’sletter,fax,notice,telephoneandotherinquiry.A应有义务及时回应B的信件,,通知,及其他需求.
4.IntellectualProperty知识产权
ExceptasexpresslyauthorizedbytheManufacturer,theDistributorshallhavenorightsinrespectofanytradenamesortrademarksusedbytheManufacturerinrelationtotheProductsofthegoodwillassociatedtherewith,andtheDistributorherebyacknowledgesthat,exceptasexpresslyprovidedinthisAgreement,itshallnotacquireany
rightsinrespectthereofandthatallsuchrightsandgoodwillare,andshallremain,vestedinthe
Manufacturer.除非本协议还有制造商授权，分销商没有利用制造商产品的商品名称或商标和与商誉相关联的权利。
分销商在此许诺，除非本协议还有明确规定，分销商不该取得任何关于持续拥有及归附于制造商所有权和商誉的权利。
5RepresentationandWarranty声明和保证
EachPartyherebyrepresentsandwarrantsthatneithertheexecutionanddeliveryofthisAgreement,northeconsummationofthetransactioncontemplatedhereunder,norcompliancewithanyoftheprovisionsofthisAgreement,willconflictwith,violate,resultinabreachof,constituteadefault（oraneventthat,withnoticeorlapseoftime,orboth,wouldconstituteadefault）under,orrequireanyauthorization,consent,approval,exemptionorotheractionbyornoticetoanycourtorothergovernmentalbodyoranyotherpersonunderanyoftheterms,conditionsorprovisionsofanycontractorotheragreementortowhichsuchPartyisbound.
6.TermandTermination期限与终止

8.ApplicableLaw适用法律
ThisDistributionAgreementshallbeconstruedinallrespectsinaccordancewiththelawofHongKongandtheAheretoagreestosubmittothejurisdictionoftheCourtofthedomicileoftheB.这项分销协议应视为在所有方面均依照国家法律和A同意服从B所在辖区法院的权限。
9.Miscellaneous杂项条款
