第一条本合同依据下列文件签订

第五条设计费用及支付方法
Article5.Designfeeandthemodeofpayment
5.1甲方应支付本合同项目的设计费为【】

第六条甲、乙双方的责任
Article6.Responsibilitiesofbothparties
6.1甲方责任
6.1ResponsibilitiesofPartyA
6.1.1甲方应按照本合同第三条的约定，在规定时间内向乙方提交数据及文件，并对其完整性、正确性及时限负责。
甲方提交上述数据及文件超过规定期限15天以内的，乙方按本合同第四条规定交付设计文件时间相应顺延；超过规定期限15天以上的，乙方有权重新确定提交设计文件的时间。
6.1.1AccordingtothecontentsstatedinArticle3ofthisContract,PartyAshallsubmitmaterialsanddocumentstoPartyBwithinthestipulatedtimeasdescribedandshallberesponsibleforthecompleteness,correctnessandvalidityofsuchmaterialsanddocuments.IntheeventthatPartyAhasdelayedtheissuanceofsuchmaterialsanddocuments,butnotexceeding15daysfromthestipulatedtime,PartyBcouldconsequentlypostponethesubmittalofthedesigndocumentsasstipulatedinArticle4ofthisContract.IncasethatPartyAhasdelayedtheissuanceofmaterialsanddocumentsformorethan15daysexceedingthestipulatedtimelimit,PartyBshallhavetherighttodeterminethenewdateforsubmittingthedesigndocuments.
6.1.2甲方变更委托设计項目、规模、条件，或对提交数据作重大修改，以致造成乙方设计需返工时，甲、乙双方除需另行协商签订补充合同、重新明确有关条款外，甲方应按乙方所耗工作量向乙方支付返工费用。
6.1.2IfPartyAaltersgreatlythedesignproject,scale,conditionwhichtheyhavealreadyentrustedtoPartyB,orthematerialsprovidedbyPartyAiswrong/incompleteorPartyAmakesmajoralterationstotheapproveddesignandtheinformationgiven,asaresultofwhich,hascausedPartyBtoredothedesignwork,orhasgeneratedun-necessaryabortiveworks,bothpartiesshallenterintonegotiationandtodrawupasupplementarycontract.PartyAshallcompensatePartyBfortheadditionalworkloadinaccordancetothenewagreement.
6.1.3在合同履行期间，甲方单方提出解除合同的，乙方已开始设计工作的，甲方应根据乙方已进行的实际工作量支付设计费。
6.1.3ShouldPartyAterminatetheContractduringthecontractualperiod,partyAshallpayPartyBaccordingtotheactualworkdone.
6.1.4甲方在收到乙方付款通知书后30天内，按本合同第5条规定的金额和时间向乙方支付设计费用；在收到付款通知书的60天仍未支付，每逾期支付一天，应承担设计费金额千分之一作为逾期违约金。
逾期超过30天以上的，乙方有权暂停履行以下阶段工作，并书面通知甲方。
行政主管部门对设计文件不予审批或本合同项目停缓建，甲方均应支付应付的设计费。
6.1.4PartyAshallpaythedesignfeetoPartyBwithinThirty（30）daysuponreceivingtheNoticeofPaymentfromPartyAaccordingtotheamountandthetimestipulatedinArticle5.IncasethatsuchpaymentisdelayedforSixty（60）daysuponreceivingtheNoticeofPayment,thenapenaltyof0.1%ofthedueamountofpaymentonadailybasisshallbepaidbyPartyA.incasethatsuchpaymentisdelayedforaperiodover30days,PartyBshallhavetherighttosuspendtheirdesignworkforthenextphaseandshallinformPartyAinwriting.IncasethatthemanagementofPartyAdoesnotapprovethedesigndocumentsortheconstructionoftheprojectofthisContractisstoppedor..postponed,PartyAshallneverthelesspayduedesignfee.
6.1.5甲方要求乙方比合同规定时间提前提交设计文件时，甲方应支付赶工费。
6.1.5IfPartyArequestsPartyBtosubmitthedesigndocumentsaheadofthestipulatedofthestipulatedtimeasmentionedintheContract,PartyAshallmakeadditionpaymentforfastandimmediateservice.
6.1.6为乙方派往现场的工作人员提供工作方便条件。
6.1.6PartyAshallprovidesiteofficeandallrelevantofficestationaryforPartyB’spersonnelwhoarebeingsenttoworksiteduringtheconstructionstage.
6.1.7甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件不得复制或向第三方转让或用于本合同以外的项目，如发生以上情况，乙方有权向甲方索赔。
6.1.7PartyAshallprotectthedesigncopyrightofPartyB.WithoutPartyB’sconsent,PartyAshallnotduplicateoftransfertoathirdpartyorusethedesigndocumentsforotherproject.Oftheabove-mentionedishappened,PartyBshallhavetherighttoclaim.
6.2乙方责任
6.2ResponsibilitiesofPartyB:
6.2.1乙方按本合同第四条规定的内容、时间及份数向甲方交付设计文件。
6.2.1PartyBshallsubmittoPartyAtherequireddesigndocumentsinrightcontent,timeandcopiesaccordingtotheclauseofArticle4.
6.2.2乙方对设计文件出现的遗漏或错误应在施工前负责修改或补充。
由于乙方设计错误造成工程质量事故损失的，乙方除负责采取补救措施外，应免收损失部分的设计费，并根据损失程度向甲方偿付赔偿金，赔偿金额根据乙方与保险公司签订的设计责任保险合同计算。
6.2.2PartyBshallberesponsibleforcorrectinganyomissionormistakeintheirdesigndocumentsbeforetheconstruction.IfthedesignmistakemadebyPartyBhascausedlossestoPartyA,PartyBshallnotonlyberesponsiblefortakingtheremedialmeasures,butalsoshallremitthedesignfeeforthepartofsuchlossesandshallpaycompensationtoPartyAaccordingtothedegreeofsuchloss.TheamountofthecompensationshallbedeterminedbypartyBandhisinsurancecompanyandtobeinaccordancetotheprofessionalindemnityinsurancecoverage.
6.2.3由于乙方自身原因，延误了按本合同第四条规定的设计文件交付时间，每延误一天，应减收该项目应收设计费的千分之一。
6.2.3IfitisPartyB’sownfaulttohavedelayedthesubmissionofthedesigndocumentsaccordingtothestipulatedtimeasdescribedinArticle4,PartyBshalldeduct0.1%ofthedueamountofthedesignfeeinadailybasisforthedelayperiod.
6.2.4合同生效后，乙方单方提出解除合同的，乙方应当按照有关规定赔偿甲方损失。
6.2.4AftertheContractcomesintoforce,ifPartyBproposestoterminatetheContract,PartyBshallcompensatePartyA’slossesaccordingtotherelevantregulations.
6.2.5乙方交付设计文件后，应参加甲方及相关职能部门的设计审查会议及根据审查结论负责不超出原定计划任务书范围内的必要调整补充；负责向甲方及施工单位进行设计交底，处理有关的设计问题和参加竣工验收。
乙方应派相关人员参加施工期间的例会。
乙方应优化设计以帮助业主将造价控制在预算内。
6.2.5Afterthedesigndocumentshasbeensubmitted,PartyBshallalsoattendtheapprovalmeetingsheldbyPartyAandtherelevantcompetentauthoritiesandshallberesponsibleformakingthenecessaryadjustments,revisionsandsupplementswhichdoesnotexceedthescopeofthedocumentsofdesignrequirementasoriginallydefinedbasedonthecommentsofsuchmeetings.PartyBshallberesponsibleforsolvingalltherelevant
6.2.6乙方不得向第三方扩散、泄漏、转让甲方提交的产品图纸技术经济资料。
如发生以上情况，甲方有权向乙方索赔。
6.2.6PartyBisnotallowedtodisclosedandtransfertoathirdpartyanyproductdrawing,technicalandeconomicdataetc.whichareprovidedbyPartyA.Incasethattheabove-mentionedishappened,PartyAshallhavetherighttoclaim.
6.2.7未经甲方同意乙方不得将本项目的设计工作全部或部分转包给第三者。
PartyBisnotallowedtosubcontractthedesignworkcompletelyorpartiallytoanythirdpartywithoutthepermissionofPartyA.
第七条其他约定
Article7Otherprovisions
7.1甲方要求乙方指派专人长期驻施工现场进行配合与解决有关问题时，双方应另行签订技术咨询服务合同。
7.1WhenPartyArequiresPartyBtosendsitepersonneltotheconstructionsiteforalongperiod,thetwopartiesshallnegotiatefortheseadditionalworkandsignasupplementaryserviceContract.
7.2乙方为本合同项目所采用的国家或地方标准图，由甲方自费向有关出版部门购买。
