article2purposeofloanandpayee（scope）

2.1purposeofloanforthiscontractisreferredtoarticle15.2.duringthetermofloan,partyapromisestheloanunderthiscontractshallnotflowintostockmarket,futuresmarket,bespentonequityinvestmentorprojectsthatareforbiddenbylawsandregulationsofothercountriestooperate,orpartyashalltakeonanylossbroughttopartyb.

3.1interestofloanisreferredtoarticle15.4.

3.2duringthetermofthisloancontract,interestmaybechangedasprescribedbythepeople’sbankofchina,theadjustmethodofloaninterestrateisreferredtoarticle15.4.

4.1thetermofloanisreferredtoarticle15.5.

article5releaseandpaymentoftheloan

5.1exceptoneormoreofthefollowingconditionsareexemptedbypartyb,otherwise,thepreconditionsforpartybtoissuetheloanisallthefollowingconditionsaremet:

5.1.1partyaprovidestheloanapplicationandcertificatesrequiredbypartyb;

5.1.2partyafulfillstheapplicationproceduresofloanandguaranteerequiredbypartyb;

5.1.3partyasignsrequiredlegaldocumentsofloanapplication,withcheckandapprovalofpartyb;

5.1.4partyafulfillsandsignstheotherproceduresandrelevantdocumentsrequiredbyloanreleasingofpartyb,withcheckandapprovalofpartyb.

loanfundshouldbepaidinstrictaccordancewiththeappointmentstipulatedinarticle5.3underthiscontract.partyaisnotallowedtochangethemodeandarrangementofpayment.

5.3theloanfundshouldbepaidbythemethodofentrustedpaymentofpartyb.ifpartyaappliesforself-paymentinparticularcases,itshallneedtheverificationandapprovalofpartyb.thespecificappointmentofthepaymentmethodisasfollows:

5.3.1entrustedpaymentofpartyb

partyashouldapplyforpaymentwhileusingtheloan,filltheappendixthree:

paymentauthorization/application（suitablefortheconditionofbankentrustedpayment）.

partybverifieswhethertherelevanttransactiondocumentsandcertificatesprovidedbypartyaareinconformitywiththecontractbeforethepaymentofloanfund.withtheverificationandapprovalofpartyb,accordingtothepaymententrustmentofpartya,partybshalldelivertheloanfundthatparty

aappliestopaytotheaccountofpartya’stradingobjectlistedbypartyainpaymentauthorization/application（suitablefortheconditionofbankentrustedpayment）.

5.3.2self-paymentmethodbypartya

uponapplicationbypartya,partybshallagreetoadoptself-paymentmethodisinvolvedinoneofthefollowingsituations:

（1）partyacannotconfirmdetailedtransactionobjectinadvanceandtheamountislessthanrmb

threehundredthousandyuan;

（2）thetransactionobjectofpartybcannotvalidusenon-cashmethodforsettlement;

（3）loanfundusedforproductionandoperationandamountislessthanrmbfivehundredthousand

yuan;

（4）othersituationregulatedbylawandregulation.

ifself-paymentmethodisadopted,partyashallfillappendixfour:

<self-paymentapplication>withdetailedapplicationreason.uponcheckedandapprovedbypartyb,partyacanuseself-paymentmethodtopayforloanfund.

article6repaymentoftheloan

6.1partya,basedonrelevantregulationsofpartyb,shallselectwaysofloanrepaymentunderarticle15.6.

6.2thepartyashallpayofftheprincipal,interestandotheritemsinfullpriortothestipulatedduerepaymentdayunderthiscontract（detailsunderarticle15.6）,bydepositingoneofanyrepaymentaccountopenedbypartyb（accountnameandaccountno.aregiveninarticle15.7）,andirrevocablyauthorizespartybtodrawthefundsreceivabledirectlyfromtheaccountaboveontheduerepaymentday.

7.1ifpartyaisabletopayofftheloanaheadoftime,itshallsubmittopartybtheirrevocableloanrepaymentapplicationandrepayme
