LetterofUnderstanding谅解协议-

ThisLetterofUnderstandingisbyandbetweenAAA,Inc.,an_________（Placename）Corporation（AAA）andBBBCorporation,an_________（Placename）Corporation（BBB）.

WHEREAS,AAAisintheelectronicpublishingbusinessandBBBisintheelectronicconversionbusiness;

WHEREAS,AAAisinneedofconvertingapproximately1.4billioncharactersofdataoverthenext6-monthperiodandBBBiscapableandreadytoperformsaidconversion;

ITISTHEREFOREAGREEDASFOLLOWS:

ThatthisLetterofUnderstandingwillsetforththegeneralAgreementbyandbetweenAAAandBBBastothetermsandconditionsthatshallhereinafterbesetforthatalaterdateinanAgreementbetweenthetwocompanies.

Confidentialtreatmenthasbeenrequestedforportionsofthisexhibit.Thecopyfiledherewithomitstheinformationsubjecttotheconfidentialityrequest.Omissionsaredesignatedas*.AcompleteversionofthisexhibithasbeenfiledseparatelywiththeSecuritiesandExchangeCommission.

1.AAAshallimmediatelyshipRawMaterialsamountingtoapproximately1.4billioncharacterstoBBBcomprisingoftheStateofOhio.

2.AAAshallsendacheckintheamountof*toBBBrepresentingadepositofapproximately20%oftheanticipatedcostoftheproject.

3.BBBshallacceptsaidshipmentin_________（Placename）andsendthesametoitsconversionfacilityin_________（PLACENAME）.BothAAAandBBBshallshareequallythecostoftheshipmentoftheRawMaterialsto_________（PLACENAME）.

4.BBBshallconvertRawMaterialsintoElectronicMaterialsandreturnthesametoAAAonCD-ROMapproximatelyeveryweek.

5.BBBwarrantsandrepresentsthattheQualityStandardsoftheElectronicMaterialsshallbeaccuratetowithin99.995%oftherawMaterialsasdefinedbyMeasuredQualityStandards.

6.AAAshallhaveupto15daystochecktheQualityStandardsoftheElectronicMaterials.IfAAAnotifiesBBBwithinthose15daysthatQualityStandardsarenotbeenmet,BBBshallhave15daystocorrecttheElectronicMaterials.IfAAAdoesnotnotifyBBBwithin15daysthatQualityStandardshavenotbeenmet,thenandinthateventitshallbedeemedthattheElectronicMaterialshavemetQualityStandards.IfBBBfailstomeettheQualityStandardsonmorethan4occasions,AAAshallhavetherighttocanceltheAgreementandreceivearefundonanymoniesremainingfromits*deposit.

7.BBBshallsendaninvoicetoAAAalongwitheveryshipmentoftheElectronicMaterialsinwhichtheamountoftheinvoiceshallequal*ofElectronicMaterialsconverted.Within15daysifQualityStandardshavebeenmet,AAAshallpay80%oftheinvoiceamountandtheremaining20%shallbetakenfromthedepositmoniesalreadypaidbyAAA.

8.ItiscontemplatedbetweenthepartiesthatBBBwilldeliverapproximately75millioncharactersinthefirstmonthafterreceivingtheRawMaterialsin_________（PLACENAME）.Inthesecondmonth,approximately350millioncharacterswillbeconvertedand400millioninthethirdmonth.ThereafterBBBwarrantsthatitshallconvertandsentaminimumof360millioncharacterseachmonthwiththegoalof400millioncharacterspermonth.IfandintheeventthatBBBfailstosendatleast360millioncharactersinmonthfourofthisAgreement,BBBshallhave15additionaldaystomeetthisminimumrequirement.IfBBBfailstodelivertheminimumrequirementafterthe15-dayperiod,thenandinthateventapenaltyshallbedeductedfromtheinvoiceforthatparticularmonthintheamountof*thatshouldhavebeenconvertedifBBBhadmetitsgoal.IfAAAneedsotherRawMaterialconversionsaftertheStateofOhioisfinished,BBBshallbegivenaone-monthgraceperiodpriortotheenforcementoftheselatedeliverypenalties.

9.Thefollowingaredefinitionsofpreviouslymentionedterms:

RawMaterialsRawMaterialsshallbeunderstoodtomeanthatmaterialsusedforconversionintoanelectronicformat.RawMaterialsshallgenerallyconsistoflegalmaterialsorlegallyrelatedmaterials.RawMaterialscanbeintheformofprintwhichareusuallycontainedwithinacompiledformatandboundtogether,intheformofbothsoftandhardboundbooks,pamphlets,folders,andthelike.

ElectronicMaterials-ElectronicMaterialsshallbeunderstoodtomeanRawMaterialsthathavebeenkeyed（orotherwiseconverted）;formattedinaccordancewithspecifiedrequirements;andsuppliedwithallappropriateCodingInformationandEmphasisTagsasspecifiedbyAAA.

QualityStandards-QualityStandardsshallmeanElectronicMaterialsthatareaccuratelyconvertedtoNinety-NineandNineHundredNinetyFivePercent（99.995%）oftheRawMaterials.

MeasuredQualityStandards-MeasuredQualityStandardsisthemethodusedtodetermineQualityStandards.UponthereceiptofElectronicMaterialssentbyBBBtoAAA,AAAshallselecta100pagecontinuousblockofinformation（orasmany100pageblocksasAAAdesires）andcomparetheRawMaterialstotheElectronicMaterials.Accuracyoftheconversionischeckedbycountingthetotalnumberofcharacterswithinsaid100pageblock（s）andthenumberofoccurrenceswheretheRawMaterialsdonotmatchtheElectronicMaterials.Thetotalcharacterscontainedwithinagiven100pageblockofElectronicMaterialsminusthetotalcharactersofElectronicMaterialsconvertedincorrectlywithinsuchblock（s）dividedbythetotalcharacterscontainedwithinsuch100pageblock（s）（andexpressedasapercentagebymultiplyingby100）shallbetheformulausedtodeterminetheQualityStandard.TheresultsofthequalitycheckshallbeimmediatelysenttoBBBifthematerialsdonotmeetQualityStandards.BBBshallthencheckitscopyoftheElectronicMaterialstoascertaintheveracityofsaidqualitycheck.ItisunderstoodbybothBBBandAAA,thattheaccuracylevelofany100pageblocksochosenbyAAA,shallbedeemedtobethatoftheentireamountofElectronicMaterialsforthatproject.

ItisunderstoodbetweenthepartiesthatwhenMeasuredQualityStandardsarebeingdetermined,anycharacterwhichisemphasizedoreffectedbyanemphasistag（SGMLcharacter）,isinfactemphasizedoraffectedinamannernotconsistentwiththeRawMaterials,thenandinthatevent,allcharacterscontainedwithintheemphasizedoraffectedcharactersshallbedeemednottobeaccuratelyconverted.ItisalsounderstoodthatwhenacharacterorcharactersareemphasizedoraffectedintheRawMaterialsbutnotsoaffectedoremphasizedintheElectronicMaterials,thenandinthatevent,allcharactersthatshouldhavebeenemphasizedoraffectedintheElectronicMaterialsshallbedeemednottobeaccuratelyconverted.

2.1GRANTOFLICENSES.UponthetermsandsubjecttotheconditionsofthisAgreement:

（a）DuringthetermoftheAgreement,AAAherebygrantstoBBBanexclusive,evenastoAAA（exceptasexpresslyreservedbyAAAherein）,licenseundertheLicensedPatentsandLicensedTechnologytomake,havemade,use,sell,offertosellandimporttheProductintheTerritory.AAAshallretainanon-exclusivelicenseundertheLicensedPatentsandLicensedTechnologytomakeandusetheProductsolelyforinternalresearchpurposes;

（b）UponexpirationoftheAgreementinanycountryintheTerritorypursuanttoSection4.1,BBBshallthereafterhaveafullypaid-up,perpetual,irrevocable,non-exclusivelicensetotheLicensedTechnologytomake,havemade,use,sell,offertosellandimporttheProductinsuchcountry;and

（c）BBBherebygrantstoAAAanon-exclusiveroyalty-freelicense,witharighttosublicenseonlytoAffiliates,tomakeanduseBBBImprovementsinconnectionwiththeLicensedPatentsandLicensedTechnologysolelyforinternalresearchpurposes.

2.2TRANSFERREDASSETS.AsoftheEffectiveDate,AAAherebyassigns,transfersandconveystoBBBallofAAA’sright,titleandinterestinandtotheTransferredAssetsandBBBherebyacceptssuchassignment,transferandconveyance.Withinthirty（30）daysfollowingtheEffectiveDate,AAAshallworkwithBBBtotransferpossessionoftheProductDataPackagetoBBB.AAAshallberesponsiblefortheinitialshipmentoftheProductDataPackageF.O.B.toBBBoritsdesignee.IntheeventthatBBBisunwillingorunabletoassumephysicalpossessionoftheProductDataPackagebytheendoftheinitialthirty（30）dayperiod,AAAshallbeentitledtochargeBBBareasonablefeeforstorageoftheProductDataPackagebeyondsuchthirty（30）dayperiod.ExceptasotherwiseprovidedinSection2.9or2.10below,AAAshallnotbeobligatedtoprovideanyadditionalinformationorassistancetoBBBregardingtheProduct.BBBacknowledgesthatAAAmakesnorepresentationsorwarrantieswithrespecttotheTransferredAssetsandthatitacceptssuchTransferredAssetsasis.

2.3PRODUCTINVENTORY.

（a）POSSESSION.Withinninety（90）daysoftheEffectiveDate,BBBshallarrange,atBBB’sexpense,andwithreasonableassistanceoftheappropriateandnecessaryAAApersonnel,totakepossessionandcontrolofallProductInventory,includingStart-UpInventoryandReserveInventory.IntheeventBBBfailstotakepossessionofProductInventorywithintheninety（90）dayperiodreferencedabove,BBBshallpayAAAastoragefeeof_________Dollars（$_________）perday,plusanyreasonablecostsandexpensesincurredbyAAA（includingwithoutlimitationthecostofpersonneltime）inmaintainingtheProductInventory,untilthedateuponwhichBBBtakestherequiredpossession.

（b）MAINTENANCEOFRESERVEINVENTORY.Uponpossession,BBBshallassumes
