PURCHASEAGREEMENT

ThisPurchaseAgreement（togetherwithallexhibits,statementsofworkand/orotherattachments,the“Agreement”）isenteredintothis25thdayofSeptember,2010byandbetweenGREIFEMBALAGENSINDÚSTRIASDO BRASIL LTDA,（“Buyer”）,withitsprincipalofficelocatedatAvenidadasNaçõesUnidas,21102SãoPaulo-SP,04795-100,BrasilandJIANGSUYAWEIMACHINE-TOOLCO.（referredasYAWEI）,a（“Seller”or“Supplier”）,withitsprincipalofficelocatedatZhanggangZone,Jiangdu,Jiangsu,China.

Inconsiderationofthemutualcovenantssetforthhereinandothergoodandvaluableconsideration,thereceiptofwhichisherebyacknowledged,thepartiesherebyagreeasfollows:

EQUIPMENTS:

One

（1）SteelCoilLineProcessingMachine“referredasCombiLine”shallbesuppliedbytheSellertotheBuyer.ThespecificationoftheMachineshallbeinaccordancewith“ExhibitA”ofthisAgreement.

1.DEFINITIONS

ForpurposesofthisAgreement,thefollowingdefinitionswillapply:

1.1.“AcceptanceTesting”willmeanthedemonstrationthattheEquipmentoperatestoBuyer’ssatisfactionandinaccordancewiththeSpecificationsasmorefullydescribedinExhibitA.

1.2“Equipment”or“Machine”willmeantheequipmentmeetingtheSpecificationsalongwithanyservices,includingdesign,development,shippingandinstallationservices,asdescribedinanExhibitA.

1.3“Price”willmeanthepricelistedinExhibitA.Unlessotherwisestated,thePricewillincludeallcostsofmanufacturing,packaging,crating,freight（perarticle2.4）,start-upandinstallationatBuyer’sfacility,alongwithanytrainingandtestingrelatedtotheEquipment.

1.4“Specifications”willmeanadetaileddescriptionoftheEquipmentincludingitsperformancecapabilities,maintenancerequirements,anyspecialoperatingconditionsorparametersandanyotherrelevantdescriptionoftheEquipment’scapabilitiesaslistedinExhibitA.

1.5“Subcontractor”willmeananindividualororganizationapprovedbyBuyerthatSellerhascontractedwithtoperformworkinconnectionwiththisAgreement.

2.PRICE/PAYMENT

2.1Price.BuyerwillpaySellerthePriceforthefullperformanceofthisAgreementinaccordancewiththetermshereof.ThePricefortheMachineintotalwillbeUS$672,800.00withpaymentsmadeasdescribedinExhibitA.

2.2Subcontractors.Sellerwillberesponsibleforthehiringofandpaymentto,anySubcontractor.Seller,atitssolecost,willimmediatelydischargeanyliencreatedorpermittedbySubcontractorwithrespecttotheEquipment.

2.3Taxes.AlltaxesrelatedtothesaleoftheEquipment,orasotherwiserequiredbythisAgreement,willbeperExhibit‘A’ofthisAgreement.

2.3Delivery.FOBXXXport,China（Incoterms2000）.

TheMachinewillbedeliveredtotheportfromwheretheMachinewillbeshippedbyseatothemutuallyagreedManaus,Amazonas;PortOfEntry（P.O.E.）,inBRAZILtobeappointedbytheBuyer.TheMachinewillbedeliveredaccordingtotheagreedtimeline.TheMachineshallbereadyforshipmentatXXXportonXX/XX/XXXX.IncaseofdelaysnotattributabletotheSupplier,（forexamplenaturalevents,unforeseenworkersstrikes,butnotlimitedto）,theshipmentdatewillberevisedaccordinglywithoutanypenalty.

SupplierherebyacknowledgesthattheyhehasreceivedalltheproductinformationfromtheBuyertoproceedwiththeproject,andthatnoextrainformationisduebytheBuyer.

AnydelaysindeliverywithrespecttothedateindicatedaboveduetocausesexclusivelyattributabletotheSupplierforaperiodinferiorto14daysaftertheagreedupondeliverydateasindicatedabovewillnotbepenalized.Incaseofadelayexceedingthis14-daygraceperiod,theSupplierwillbechargedapenaltyof0.5percentofthetotalpurchasepriceforeachcompleteweekofsaiddelaycalculatedafterthe14-daygraceperiod.Innocaseshalltheaggregateandtotalpenaltypaidforalldelaysamounttomorethan5%ofthetotalpurchaseprice.TheamountofthepenaltywillbeabatedfromtheamountduebythetimeofthefinalacceptanceoftheMachine.

SellerassumesallrisksandexpenseswiththeMachineuntilitisdeliveredatthecontainerdepotintheshipattheChinaport.

Documents:

Sellershallprovide,atitsownexpense:

（a）thecleandocumentconfirmingthedeliveryoftheMachineonboardoftheindicatedship;and（b）theorigincertificate.IfrequestedbytheBuyer,theSellershallprovidewithallassistanceinobtaininganydocumentsissuedinthecountryofmanufacturethattheBuyermayneedforthepurposesofimportation.

ProvisionofInvoices:

SellerwillfurnishBuyeranoriginalinvoicewithatleastone

（1）copypriortoBuyermakinganyduepayment.

RighttoWithhold:

BuyermaywithholdanypaymentotherwisedueSellertoprotectitselffromlossbecauseofSeller’sfailuretomeettheAgreementrequirements.IfSellerremediesthefailuretomeetAgreementrequirements,thepaymentswithheldfromSellerwillbepaidpromptly.A“punchlist”ofitemstobecorrectorcompletedmaybepreparedbyBuyerasaresultoftheAcceptanceTesting.ThefailuretoincludeanyitemsonsuchlistdoesnotaltertheresponsibilityofSellertodeliveryEquipmentinaccordancewiththisAgreement.UponcompletionbySellerofallitemsanduponBuyer’scompletionofAcceptanceTesting,anyremainingamountsdueSellerwillbepaid.

3.SCHEDULEFORCOMPLETION

3.1.TimeoftheEssence.TimeofshipmentandofotheraspectsofperformancehereunderisoftheessenceofthisAgreement.

3.2PerformanceSchedule.SellerwillsubmitaperformancescheduledesignatingtheorderinwhichSellerproposestooverhaultheEquipmentperExhibitA,thedatesonwhichitwillstartthevariousportionsoftheEquipmentandthecompletiondateoftheEquipment.SuchschedulewillbepreparedtoalevelofdetailsuitableformanagingallactivitiesassociatedwiththeEquipmentbySellerandSubcontractors.BuyerwillhaveaccesstotheEquipmentatSeller’smanufacturingfacility,duringSeller’sordinarybusinesshours,upontwenty-four（24）hoursadvancenotificationtopermitBuyertoinspecttheEquipment,providedsuchinspectionwillnotunreasonablyinterferewithSeller’soperations.

4.CHANGES

4.1SpecificationChanges.BuyerwillhavetherightatanytimetomakechangesintheSpecificationsbywrittennoticetoSeller,andSelleragreestocomplywithsuchchanges.IfsuchchangescauseamaterialincreaseordecreaseinSeller'scostsortimeofperformanceofthisAgreement,SellerwillnotifyBuyerimmediatelyandnegotiateanadjustment.

5.TERMANDTERMINATION

5.1.Term.ThisAgreementshallbevalidasoftheexecutiondateandshallberemaininfullforceandeffectforthetermofthedurationofthewarrantyoftheEquipment,exceptinginrelationtoClause9,whicheffectsshallbevalidforundeterminedterm.

5.2.Breach.IntheeventofabreachofanyprovisionofthisAgreement,theinfringingpartymustpaytotheotherpartythenon-compensatorypenaltyintheamountcorrespondingto5%（fivepercent）ofthetotalvalueoftheAgreement,inadditiontothepossibilityofterminationhereinbelow,attheprejudicedparty’sdiscretion.Thepenaltyisapplicablewithoutprejudiceofeventuallossesordamagesthattheprejudicedpartymayhaveright.

5.3.TerminationforBreach.BuyermayterminatetheAgreement,oranyparthereof,forcauseduetoanyfailurebySellertoperformorobserveanyofitsobligationsunderthisAgreement,orifSellerfailstoprovideBuyer,uponrequest,withreasonableassuranceoffutureperformance.Intheeventofterminationforcause,Buyerwillnotbeliableforanyamount,andSellerwillbeliabletoBuyerforanyandalldamagessustaineddirectlyorindirectlybyreasonofSeller’sfailure.Uponsuchtermination,SellerandSubcontractorswillimmediatelystopallworkhereunderandwillobserveBuyer’sinstructionswithrespecttoanyworkinprocess,designs,drawings,models,paperworkandanyotheritemsdevelopedpursuanttothisAgreement.

5.4.TerminationwithoutCause.IfthisAgreementoranyparthereof,isterminatedfortheconvenienceofBuyer,SellerwillbecompensatedtotheextentthatitemshavebeenacceptedbyBuyerpriortotheeffectivedateoftermination.TheeffectivedateofanyterminationwillbethedateofSeller’sreceiptofwrittennoticefromBuyer.BuyerwillpaytheSellerthatportionofthePricescheduledtobepaidthroughthedateofnoticeoftermination.UponpaymentoftheportionofthePricedue,SellerwilltransfertoBuyerallworkinprocess,designs,drawings,models,paperworkandanyotheritemsdevelopedpursuanttothisAgreement

6.PROJECTSPECIFICATIONANDDRAWINGS

6.1.DrawingsandManuals.SellerwillfurnishtoBuyeraminimumoffour（4）copiesofallEquipmentdrawingsandmaintenance/repairmanuals,andotheritemsrequiredbythisAgreement.Sellerwillfurnish“asinstalled”drawingsandstampsuchdrawings“ApprovedbySeller.”SellerisresponsibletoseethatsuchdrawingsandmanualsdonotdeviatefromtheAgreementunlesscalledtotheBuyer’sattentioninwriting.ApprovalbyBuyerdoesnotrelieveSelleroftheresponsibilitytoconformtotheAgreement.Whensuchdrawingsarerequiredforapproval,Buyerwillreviewthempromptlyandreturnone

（1）seteithermarkedapprovedorwiththerequiredcorrectionsindicated.CorrectionswillbemadebySellerandcorrecteddrawingswillbere-submittedtoBuyer.SellerwillnotproceedwiththeoverhauloftheEquipmentuntilsuchdrawingshavebeenapprovedbyBuyer.
