ThisContract,isenteredintoon ,butwillstartretroactivelyasfrom byandbetween TheWaltDisneyCompanyofUnitedAmerica,hereinafterreferredtolicensorandlicenseebytheterm:
本合同是美国迪士尼公司与 之间于 签订的，当事方下称许可人和被许可人。
ARTICLE1PREAMBLE 序言
A.WhereasLICENSORisentitledtonegotiateandtoconcludelicensecontractsdefinedinthepresentcontractintheterritoriesmentionedinarticle20andtoensuretheproperexploitationbyLICENSEEoftherightsgrantedbyvirtueofthiscontract.
鉴于许可人有权商议和达成本合同第20条所述区域的授权合同，并保证被授权人依据本合同享有正当的开发权利。
B.WhereasLIDCENSORhasbeendulymandatedbytheheirsofWALTDISNEYCOMPANYforthemanagementofthemoralrightstotheWORKwithMickeymouseimagewhenapplicable.
鉴于许可人受华特迪士尼继承人委托，行使管理米老鼠形象作品的权利
C.WhereasLICENSEEdealswiththemanufactureand/ordistributionandsaleofthePRODUCTspecifiedinarticle19andwishestoobtainalicenseforthepurposeofmanufacturing,distributingandsellingthesePRODUCTWITHMICKEYMOUSEbyusingthecharacteristictraitsoftheWORKwithMickeymouseimagedefined,limitedanddescribedinarticle19.
鉴于被许可人生产和经销第19条所述某类产品，希望获得授权，使用米老鼠的形象用于第19条限制和涉及的该产品的生产和销售。
D.Thelicensegrantedbythiscontractisnonexclusive.
合同中的授权类型为非独家授权。
ARTICLE2TERRITORIES适用地域
Thislicenseisgrantedsolelyfortheterritoriesmentionedinarticle .

ARTICLE3DURATIONOFTHECONTRACT合同期限
Thiscontractshallcomeintoeffectandshallbeterminatedonthedatesindicatedinarticle ,exceptintheeventofprematurecancellation,inaccordancewiththeprovisionsofarticle ,referredtobelow.
合同开始和结束时间参见第 条，除提前终止外，结束时间见第 条。
PRODUCTWITHMICKEYMOUSEhavetobemanufactured,soldanddeliveredtothecustomerswithinthetermindicatedinarticle21.
米老鼠产品的生产和销售须遵守合同21条的规定
DuringtheSell-OffPeriod（seealsoarticle12）LICENSEEmaynolongermanufacturePRODUCTWITHMICKEYMOUSE.ItcanonlyacceptlimitedordersforthePRODUCTWITHMICKEYMOUSEinwarehouseandshipanddeliverthesetoitscustomerswithinthetermoftheselloffperiod.
在第12条规定的货物出清阶段，被授权方不得再生产米老鼠产品。
仅可以接受来自商店的有限订单，在出清期间内交付客户手中。
NoshipmentsordeliveriesmaytakeplaceaftertheendoftheSell-OffPeriod.
货物出清阶段结束后，不得向客户发货。
ARTICLE4PAYMENTSANDSTATEMENTSOFACCOUNT支付与帐户信息
ROYALTIESANDMINIMUMGUARANTEE专利费和最少保证金
LICENSEEundertakestopaytoLICENSOR,aroyaltyoftheamountofUSD
被许可人承诺向许可支付专利费 美元。
ARTICLE5RIGHTSGRANTED授予的权利
LICENSEEisherebyauthorised,underthegeneralandspecialconditionsspecifiedbelow,tomanufactureanddistributeand/orselltheobjectsdefinedinarticle19（hereinafterreferredtoasthePRODUCTWITHMICKEYMOUSE）.LICENSORherebyguaranteestheLICENSEEagainstanyclaimsmadebythirdpartieswhenexploitingtheWORKwithMickeymouseimageinthePRODUCTWITHMICKEYMOUSE.
被许可人被授权生产和经销合同第19条中规定的某类米老鼠产品。
许可人确保被许可人在合同有效期间产品中使用米老鼠形象免受第三方索赔。
Patentfees,stipulatedinarticle23,shallbecalculatedonthebasisofLICENSEE’SNetSalesofthePRODUCTWITHMICKEYMOUSEduringtheapplicablequarterlyperiod.
被许可人按照合同 23条的规定向许可人每季度按照产品净销售额支付专利费
ThesaidroyaltyhastobepaidbytheLICENSEEtoLICENSORonallPRODUCTWITHMICKEYMOUSErepresentingtheWORKwithMickeymouseimage,distributedand/orsoldbyLICENSEE.IncaseLICENSEEdoesnotmakeoutaninvoiceforsomeofthePRODUCTWITHMICKEYMOUSEitdistributes,theroyaltyhastobecalculatedbasedontheNetSalesPriceforsuchPRODUCTWITHMICKEYMOUSEduringtheapplicablequarterlyperiod,whichmaynotbeinferiortotheMinimumNetSalesPriceindicatedinarticle23.OR
该专利费涉及由被许可人生产销售的所有米老鼠产品。
如果被许可人没有为某些销售的米老鼠产品开出账单，专利费的计算应基于当季度的净销售价格，不会低于合同 23条中的最低净销售价格。

ThesaidroyaltyshallbepaidbytheLICENSEEtoLICENSORonallPRODUCTWITHMICKEYMOUSErepresentingtheWORKwithMickeymouseimage,distributedand/orsoldbyLICENSEE,andmaynotbeinferiortotheMinimumRoyaltyAmountperproductindicatedinarticle23.
该专利费应该由被许可人支付给许可人，涉及被许可人经销的所有米老鼠产品。
不得低于合同 23条规定中每种产品的最低专利费。
“GrossInvoicedPrice”shallbeforeanydiscount,creditor"shallmeanthegrossinvoiceamountbilledtoLICENSEE’ScustomersforanyPRODUCTWITHMICKEYMOUSEsoldbyLICENSEEorotherwisedistributedpursuanttothisContract,minusthefollowingdeductions:
non-cashrefundsanddiscountsactuallyallowedtocustomersfortradeandquantity,returnfordamagedgoodsactuallycredited,butsuchdeductionsmustactuallyappearoncustomerinvoicesorcreditmemorandaandshallnotexceed,perquarter,tenpercent（10%）oftheGrossInvoicedPriceofthatparticularPRODUCT.Itisunderstoodthatcreditagainstsaleswillbeallowedonlyforactualreturnsofdamagedgoods,andthatnocreditagainstsaleswillbeallowedonthebasisofanaccrualorreservesystem.DeductionsmayalsobemadeforamountsreceivedfromsalestoLICENSORforPRODUCTWITHMICKEYMOUSEandforsalestaxes,ifincludedingrosssales,collectedfromcustomersandremittedtotheproper
governmentauthority.Nodeductionsshallbemadefornon-collectibleaccounts,cashorotherdiscounts,commissions,fees,impositions,payments,orexpensesofanykindthatmaybeincurredpaidbytheLICENSEE,includingbutnotlimitedtoexpensesincurredwhenmanufacturing,selling,distributing,exploitingorpromotingPRODUCTWITHMICKEYMOUSE,AdditionalLicensedMaterialand/orpackagingtherefore.
“总发票额”是指被许可人向客户出售米老鼠产品开据的支票总金额，减去以下扣除款项：
非现金退款、折扣、损坏货品退款。
但扣除款项必须实际出现在客户的支票或贷项通知单上，而且每季度不得超过总开单金额的10%。
抵充销售的款项仅限损坏货品的实际退款，且不得在累积或储存的基数上计算。
扣除款项也可是售予许可人的米老鼠产品以及总销售额中包含的销售税款，本税款可能是从消费者身上收取，移交给相关政府机构。
扣除款项不得包含被许可人在生产、销售、配送、开发或者推广米老鼠产品、附加授权材料的过程中产生或支付的坏账、现金、其他折扣、佣金。
“NetSalesPrice” shallmeantheNetSalesperPRODUCT，meanthegrosspricingsetbyLICENSEEforaPRODUCT,otherreduction（earlypaymentdiscount,quantitydiscount,rebateetc）whichwillbehigherorequaltotheaforesaidNetSalesprice. 净销售价格是指每种产品的净销，指被许可人为产品的总定价，不包括任何高于或和净销售价格等值的折扣、充抵、或其他扣除款项等。
LICENSEE’s“MinimumNetSalesPrice”:
IncaseLICENSEEsellsundertheMinimumNetSalesPrice,theroyaltieswillbecalculatedontheMinimumNetSalesPrice.被许可人的最低净零售价：
如果被许可人销售价格低于最低净零售价，专利费按照最小净零售价计算。
LICENSEEmustinformLICENSORofitsMinimumNetSalesPrice,ofeachPRODUCT
manufacturedand/ordistributedunderthetermsofthiscontract.OR
被许可人必须依照本合同告知许可人有关每种产品制造和销售的最低销售价。

LICENSEE’s“MinimumRoyaltyAmount”:

被许可人的最低专利费金额：
被许可人承诺支付给许可人专利费等值或高于合同 23条规定的最低专利费金额
LICENSEEundertakestopay,bywayofaminimumguarantee,anon-reimbursableadvance
ontheamountofthesaidroyalties,theamountandduedateforpaymentofwhicharespecifiedinarticle23ofthiscontract.Suchminimumguaranteehastobedeductedfromtheproportionalroyaltydue.
被许可人承诺向许可人提前支付最小保证金（不可收回），数额和支付时间详见合同23条。
Asregardspaymentoftheroyalty,asspecifiedabove,LICENSEEshallsendtoLICENSORwithintwoweeksfollowingthedatesonwhichthequarterlyaccountsaredrawnup,herebyfixedat31March,30June,30Septemberand31December,astatementofaccountofthePRODUCTWITHMICKEYMOUSEsoldorotherwisedistributedpursuanttothisContract,certifiedtobetrueandaccurate,drawnuponthebasisofitsaccountingdocumentsand/oritsdataprocessingdocuments.
关于专利费的支付，被许可人需在每个季度末3月31日、6月30日、9月30日、12月31日做出季度报表的两周内，递送许可人一份合同中涉及产品的对账单，此单据必须被证明真实准确，基于它的会计凭证和数据处理文档。
Thesestatementsmustspecify,foreachcategoryofPRODUCTWITHMICKEYMOUSE:
对账单中必须列明每个产品的类别：
1.ThequantityofPRODUCTWITHMICKEYMOUSEmanufacturedand/orpurchasedduringtheapplicablequarterperiod;
当季度生产或购买的产品数量
2.ThenumberofPRODUCTWITHMICKEYMOUSEdistributedand/orsoldcountrypercountryduringtheapplicablequarterperiod.
当季度在每个国家的产品销售数量
3.TheNetSalesPrice,excludingVAT,ofthesePRODUCTWITHMICKEYMOUSE.
产品的净销售价格（不含增值税）
4.TheNetSales.净销售额
ThesaidstatementsshallseparatetheinformationperTERRITORY,exceptforEx-
Yugoslaviacountrieswhichmaybereportedasawhole.
上述对账单信息内容须按照适用地域区分。
CorrespondingpaymentsshallbesenttoLICENSORbyLICENSEEwithin30daysfollowing
thedateonwhichaccountsaredrawnup,andinaccordancewithitsinstructions,asspecifiedinarticle23.
相关支付必须在提供帐户信息的 30天内，按照合同第 23条的规定，由被许可人支付给许可人。
Intheabsenceofpaymentwithinthetimelimitofthirty（30）daysreferredtoabove,theamountdueshallbeincreasedipsofactoandwithoutsummonsbydelayinterestof1,25%permonth,whichshallbeindivisibleandacontractualandirreducibleindemnityof15%oftheamountduewithaminimumof € 125,-（onehundredandtwentyfiveEuro）.
如在以上期限内没有完成支付，实付合同金额根据事实本身也会增加，延期利息为每月 1.25%。
15%的实付金额作为合同规定的最低罚款金额，不得低于 125欧元。
B.PROPORTIONALANDACCESSORYROYALTIESIncaseofspecialpromotionsauthorisedbyarticle19,LICENSEEundertakestopaytoLICENSOR,aroyaltyofthepercentagestipulatedinarticle23,whichshallbecalculatedonthebasisofthenetpurchaseprice,excludingtax,ofthepremiumsboughtbyLICENSEEandonthetotalbudgetofthemediaadvertising.itwillhavetosubmitthemforwhenmanufacturing,buying,distributing
该许可人涵盖所有被许可人购买的涉及米老鼠形象作品的货品。
对于第 19条中的特别推广活动授权，被授权方承诺按照第 23条规定比例支付版权费，计算基数依据被许可人购买的货品净购买价格（不含税）以及媒体广告总预算。
AsfaraspossibleLICENSEEwillbuyallpremiumsfromtheaffiliatedcompanytoLICENSOR.
尽可能从许可人子公司购入所有货品
