InaccordancewiththeprovisionsofContractLawofPeople’sRepublicofChinaandotherrelatedlawsandregulations,PartyAandPartyB,havevoluntarilyandonthebasisofequality,reachedanagreementthroughfriendlyconsultationtoconcludethefollowingcontract:
Article1:
Premise
1.1ThePremiseissituatedatNo.60,NorthGuoruiRoad,ChongwenDistrict,Beijing,withgrossconstructionareaof71.63squaremeters,whichisdividedintotwoindependentspaces,EastSideandWestSide.Amongthem,theWestSideisdividedintoInsideandOutside,withestimated10squaremeterseach,sharingthesameentranceandexit.PartyAagreestoleasetoPartyBtheOutsideofWestSide.TheInsideofWestSideissharedbybothPartyAandPartyB.
1.2InaccordancewithAgreementofRemovalandResettlementforNon-residentialHousesinProjectofRebuildandPrimaryLandDevelopmentfortheWestofQinianStreet,BeijingZhonglianCommunityServiceLLChasobtainedthehousingownership,thoughhasn’tdealtwithregistrationofpropertyright.PartyAhassignedLeaseAgreementwithBeijingZhonglianCommunityServiceLLC,obtainingtheusufructofthehouse.
1.3PartyAisresponsibleforhavinglegitimateusufructandleaseholdofthehouse.Intheeventthatathirdpartyisengaged,PartyAisobligedtotakeupthematterandtakeresponsibility.AndPartyAshouldbeliableforanylossofPartyBarisingtherefrom.PartyBhasrighttoterminatethiscontractunderArticle9hereofiflosinglegitimateusufructandleaseholdofthehousetherefrom.
Article2:
LeasePurpose
2.1UsageofLeasing:
Business(OfficeandRetail).
2.2PartyAshallensurethehousecanbeusedforbusinesspurposeandprovidefullassistancetoPartyBforobtainingrelatedlicensesrequiredforbusinessoperation.IntheeventthatPartyBcannotobtainbusinesslicensesandoperatebusinessbecauseofPartyA,PartyBshallhaverighttoterminatethecontractunderArticle9ofthiscontract.
2.3PartyBshallusetheleasedhouseforbusinessoperationandapplyforbusinesslicenses,subjecttothestatutoryconditionsforforeignbusinessandtofulfillthestatutoryprocedures.IntheeventthatPartyBcannotobtainingbusinesslicensesandoperatebusinessbecauseofitself,PartyBshallbeartheresultinglossandPartyAshallnothaveresponsibilityforit.
2.4AsPartyAandPartyBsharethesameaccess,bothpartiesagreesthatPartyBholdstheonlykeytothegate.PartyAshallonlyworkinoraccesstotheroomduringPartyB’sworkinghours(from10:
00amto5:
00pm).IfPartyAdohavebusinessneedsduringitsworkinghours,PartyBshallopenthegateontime.
Article3:
LeaseTerm
3.1Theleasetermwillbefrom2012-3-1(year-month-date)(commencementdate)to2015-3-1(year-month-date)(expirationdate),intotal3years.Onthecommencementdate/expirationdate,thedeliveryshallbedeemedascompletelyacceptedafterPartyAandPartyBsettleassociatedcost,clean-uprelateditems,handoverthehousekeyandbothconfirmandsign.(SeeAnnexIforHousingDeliveryList).
3.2Uponexpiryofthecontract,PartyBshallreturnthepremisesanditssubsidiarygoods,equipmentandfacilitiesaccordingtoitsoriginalconditionexceptfornormalwearandtear,andremovealltheitemsbelongtoPartyB.Ifanyitemremainsinthehouse,itshouldberegardedasPartyBgiveupitsownershipandPartyAhasrighttodisposeitatwill.
3.3UnderconsentofPartyA,PartyBmayaddequipmenttothehouse.Uponexpiryofthecontract,PartyBshallremovetheadditionalequipmentandensurethatitdoesnotaffectthegoodconditionofhousinganditsnormaluse.Iffixedequipmentcannotberemovedoritsdisassemblywoulddamagehousestructure,PartyAandPartyBshalldealwiththecorrespondingequipmentwithdiscountundernegotiation.
3.4Ifanypartydecidesnottorenewthecontract,itshouldnotifytheotherpartywithawrittennotificationwithin90daysbeforetheexpiryofthecontract.Ifanypartydecidestorenewthecontract,itshouldalsonegotiatewiththeotherpartywithin90daysbeforetheexpiryofthecontractandrenewtheleasecontract.IfPartyAcontinuestoleasethepremise,PartyBhasprioritytoobtaintheleaseholdunderthesameconditions.
Article4:
RentandDeposit
4.1TherentisRMB4000(fourthousandonly)permonth.Thepaymentshouldbepaidbycash.IncasePartyBpaystherentalintheformofremittance,thedateofremittingwillbethedayofpaymentandtheremittancefeeshallbebornebytheremitter.
4.2Paymentofrentalshallbeoneinstallmenteverysixmonths.Thefirstinstallmentshallbepaidbefore2012-3-1(year-month-date).Eachsuccessiveinstallmentshallbepaidonemonthinadvance.PartyAshallissueformalinvoicestoPartyBwithin15daysafterreceivingrent.
4.3Duringthe3-yearleasetermstipulatedinthiscontract,rentalpricesshallnotbechanged.IfPartyBrenewsaftertheexpirationofthecontract,therentalpricesshallbesettledthroughnegotiationbybothPartyAandPartyBaccordingtoadjustedpricelevel.
4.4PartyBwillpaytoPartyARMB4000(fourthousandonly)asadepositbefore2012-3-1(year-month-date).Afterexpiryorterminationofthecontract,deductingthecosts,rentandliquidateddamageswhichshouldbebornebyPartyBfromthedeposit,PartyAshallrefundtheremainderofdeposittoPartyB.Ifthedepositisnotenoughfordeduction,PartyBshouldpaytheinsufficiencywithin10daysafterreceivingnoticeofpaymentfromPartyA.
4.5Priortosigningofthiscontract,PartyBhaspaiddepositRMB10000(tenthousandonly)toPartyA.Aftersigningofthiscontract,thisdepositRMB10000shallcorrespondinglybesetoffagainsttheRMB4000ofdepositandRMB6000oftherentforfirstinstallment.ThedepositandtherentforfirstinstallmentshallbepaidoffafterPartyBpaysanotherRMB18000(eighteenthousandonly)toPartyA.
Article5:
OtherCharges
5.1Underthiscontract,PartyAshallissuerentalinvoicestoPartyBaftereachtimePartyBpaystherent.TherelatedtaxesarisingbyissuingrentalinvoicesinaccordancetolawshallbeactuallybornebyPartyB.
5.2Duringtheleaseterm,ifPartyBneedstoinstalltelephone,cableTV,broadbandnetworkandothersupportingfacilities,thecorrespondingfeesshallbebornebyPartyB.
5.3Duringtheleaseterm,theactualuseofutilities,propertycostsandheatingcostsshouldbesharedbyproportionofleasearea.PartyBshallpayitsparttoPartyA.ThefixedamountisRMB800peryear,pre-paidannually.
5.4Thefeesdonotsetoutinthiscontract(ifany),shallbebornebyeitherpartyorbothpartiesinaccordancewithlaw.Ifeitherpartyhaspaidinadvancefortheotherparty,theotherpartyshallreturntherelevantamountaccordingtothebills.
Article6:
Housingmaintenanceandrepair
6.1PartyAshallensurethattheconstruction,structureandtheequipmentandfacilityofthepremisesconformtothesafetyconditionsconcerningconstruction,firepreventionsecurity,healthandotherconditions,andthepremiseshasnotanydangertothepersonalsafetyofanyoccupantsortheirvisitors.PartyBshallensurethattherelevantlawsandregulationsofnationalorBeijinggovernmentaswellasthepropertymanagementprovisionsshall,totheextentthattheygovernPartyB’soccupancyanduseofthepremises,beobservedduringuseofthepremises.
6.2Duringtheleaseterm,bothpartiesshallensurethatthepremisesanditscontents,equipmentandfacilitiesareinusableandsafecondition.
6.2.1Regardingnormalwearandtearofthepremisesanditscontents,equipmentandfacilities,PartyBshallpromptlynotifyPartyAforrepairandmaintenance.PartyAshallcommencerepairandmaintenancewithin2daysafterreceiptofPartyB’snotice.IfPartyAfailedtodoso,PartyBcanrepairandmaintainforPartyAand,totheextentlawfulandreasonable,theexpensesshallbebornebyPartyA.PartyAshouldreducetherentorextendtheleasetermbecauseofmaintenanceaffectingtheuseofthepremises.
6.2.2PartyBshallprovidelegitimateusetothehousinginaccordancewiththiscontractandshallnotchangenatureofuseorhousingconstructionorstoredangerousgoodsinthepremises.Ifthepremisesanditscontents,equipmentandfacilitiesaredamagedduetoPartyB’simproperkeepingorunreasonableusage,PartyBshallberesponsibleforrepairandmaintenanceandshallbeliableforcompensation.
6.2.3ForthemattersbelongtothescopeofmaintenanceresponsibilityofPartyA,PartyAshallbeartheliabilityintheeventthatPartyAfailstoperformthemaintenanceobligationsandleadstopersonalandpropertydamageofPartyBorinterfereswiththeuseofthepremisesbyPartyB.
Article7:
Subletting
7.1WithoutPartyA’swrittenconsent,PartyBshallnotsubletpartorallofthepremisesunderthiscontract.InthecasethatPartyBsubletsthepremisesafterobtainingPartyA’swrittenconsent,therightofsublettinglesseeshallnotexceedtherightPartyBhasunderthiscontract,andPartyBshallbearjointliabilitywithPartyAonsublettinglessee’sbehavior.
7.2IfPartyAdecidestoleasetheInsideofWestSide,PartyBhasprioritytoobtaintheleaseholdunderthesameconditions.RentalpricesshouldbesettledthroughnegotiationbyPartyAandPartyBinaccordancewithmarketpriceofthetime.IfPartyAleasestheInsideofWestSidetoathirdpartyatapricehigherthanmarketprice,itshallnotaffectPartyB’svariousrightsstipulatedinthiscontract.
Article8:
TerminationofCont
