CHAPTER1GENERALPROVISIONS

Article1TheseArticlesofAssociationareformulatedinaccordancewithrelevantChineselawsandregulations,includingtheCompanyLawofthePeople’sRepublicofChina（hereinafterreferredtoasthe“CompanyLaw”）.

Article2ThenameoftheCompanyisÄ[InsertCompany’sName]inEnglishandÄ[InsertCompany’sName]inChinese.

ThenameoftheCompanyshallnotbechanged,exceptwiththepriorwrittenconsentoftheShareholders,orincaseofterminationofathirdpartylicencepermittingtheCompanytobeknownbysuchname,ifanysuchlicencehasbeenconcludedandisineffect.

ThedomicileoftheCompanyis[InsertthelocationoftheCompany’sprincipaloffice],People’sRepublicofChina.

Article3ThenamesandlegaladdressesoftheShareholdersoftheCompanyare:

Article4TheCompanyisalimitedliabilitycompany,establishedandregisteredinaccordancewiththeCompanyLawsubjecttotheapprovaloftherelevantgovernmentalauthorities.TheCompanyisliableforitsdebtsandobligationswithallitsassets.EachShareholderoftheCompanyisliabletotheCompanywiththeirrespectivesubscribedshares.

Article5TheCompanyisabusinesslegalperson,andwithitsownindependentpropertyassets,theCompanyenjoysthetitletoitspropertyassets.TheCompanyisprotectedbythelawforitslegitimaterightsandinterestsfrominfringement.TheCompanymustabidebythelawandadministrativeregulationsinitsbusinessoperations,complywithpublicandcommercialethics,actongoodfaith,andacceptthesupervisionbythegovernmentandthepublic,andassumesocialresponsibility.

Article6TheCompanymayinvestinotherlimitedliabilitycompaniesorjointstocklimitedcompaniesinaccordancewithrelevantlawsandregulations.Inanysuchevent,theCompanyshall,totheextentofthecapitalcontributionsoftheCompany,beliableto,orinrespectofthedebtsorobligationsof,suchothercompanyinaccordancewiththetermsofsuchinvestmentorthearticlesofincorporationofsuchothercompany.

TheCompanyshallnotbecomeapartnerinanyfirmoraninvestorinanyothercommercialentityincircumstanceswherebytheCompanymayincurunlimitedorjointliabilityforthedebtsorobligationsofsuchfirmorentity.

CHAPTER2PURPOSE,SCOPEANDSCALEOFBUSINESS

Article1Thepurpose,scopeandscaleofbusinessoftheCompanyshallbeÄ[InsertDetails].

Article2Toachieveitspurpose,theCompanyisempoweredto:

1.Employ,remunerateanddismissalltypesofqualified,skilled,semi-skilledandunskilledstaff,includingtechnicians,engineers,accountantsandadministrators;

2.Lease,hire,purchaseorotherwiseacquirefactoryandotherpremises;

3.Lease,hire,purchaseorotherwiseacquireplant,equipment,tools,machinery,partsandrawmaterials;

4.Acquire,holdanddisposeofpatents,copyrights,trademarksandotherintellectualpropertyrights;

5.Openandoperatecurrentanddepositaccounts,withtheBankofChinaand/orotherbankswithinoroutsidethePeople’sRepublicofChinaaspermittedaccordingtorelevantlawsandregulationsandtodrawanddealwithcheques,billsofexchange,promissorynotesandothernegotiableinstruments;

6.BorrowmoneyfromtheBankofChinaand/orotherbanksorfinancialinstitutionswithinoroutsidethePeople’sRepublicofChinaand,inaccordancewithrelevantlawsandregulations,tosecureanddischargeanyoftheCompany’sdebtsinsuchmannerasmaybeappropriate,includingbythecreationandissuanceofdebentures,loansandbyotherappropriatewaysoffinancing;

7.Insuretheassets,businessandstaffoftheCompany;

8.Purchaseorotherwiseacquireandundertakealloranypartofthebusiness,assetsandliabilitiesofanyothercompany,firmorentitycarryingonbusinesssimilartothatoftheCompanyinaccordancewithrelevantlawsandregulations;

9.Commenceorbecomeapartytoanyarbitrationorcourtproceedings;and

10.EstablishbranchofficesinotherpartsofthePeople’sRepublicofChinaiftheCompanydeemsthisasnecessary.

Necessaryapprovalswithrespecttotheaboveactivitiesshallbeobtainedasrequired.

CHAPTER3REGISTEREDCAPITAL

Article1TheregisteredcapitaloftheCompanyshallbeRMBÄ[InsertAmount],andtheagreedpercentageinterestsin,andcontributionsto,theCompany’sregisteredcapitaloforbyeachoftheShareholdersshallbe:

Non-currencyassetsascapitalcontributionshallbevaluateduponassessment.EachShareholder,ifsorequired,mustobtainrelevantapprovals.

Article2AftertheShareholdershavepaidtheircontributionstotheCompany,aPRCregisteredaccountantshallberetainedtoverifywhetherornotthecontributionshavebeenreceived,andifso,shallprovideacertificateofverification.AfterthetotalcapitalcontributionsoftheShareholdershavebeenverified,allShareholdersshallappointaproxyorjointlyauthorizeanagenttosubmitapplication,ArticlesofAssociationoftheCompany,thecertificateofcapitalverificationandotherdocumentstothelocalbranchoftheStateAdministrationofIndustryandCommerceforregistrationandthebusinesslicence.Afterobtainingsuchlicence,theCompanyshallissueCapitalContributionCertificatestoeachoftheShareholders,whichwillincludethefollowingitems:

（i）nameoftheCompany;（ii）dateoftheestablishmentoftheCompany;（iii）thetotalregisteredcapitaloftheCompany;（iv）nameoftheShareholderandtheamountanddateofpaymentofthecontributiontotheregisteredcapitaloftheCompany;and（v）theseriesnumberanddateofissuanceoftheCapitalContributionCertificate.TheCapitalContributionCertificatesshallbesealedwiththeCompany'schop.

Article3TheCompanyshallestablishaRegisterofShareholderssettingoutthefollowing:

1.TheShareholders'namesanddomiciles;

2.ThecapitalcontributionsmadebyeachShareholder;and

3.TheseriesnumbersoftheCapitalContributionCertificates.

ShareholdersrecordedintheRegisterofShareholdersmayclaimtoexercisetherightsoftheShareholdersincompliancewiththeRegisterofShareholders.

TheCompanyshouldhavethenameandamountofcapitalcontributionoftheShareholdersfiledwiththecompanyregistrationauthority;amendmentformalitiesshallbecompletedincaseofanychangetotheregistereditems.

Article4AnyShareholdermaytransferorassigntoanyotherShareholderalloranypartofitsinterestintheregisteredcapitaloftheCompany.IfaShareholderwishestotransferorassignsuchinteresttoanypersonwhoisnotaShareholder,theconsentofmorethanhalfofallShareholdersmustbeobtained.IfanyShareholderorShareholdersrefusesorrefusetograntsuchconsent,therefusingShareholder（s）shallhavetheobligation,individuallyor,ifmorethanone,jointly,topurchasetheinterestofwhichsuchShareholderwishestotransferorassigntoanon-Shareholder.IfsuchShareholderorShareholderswillnotpurchasesuchinterest,thisShareholderortheseShareholdersshallbedeemedtohaveconsentedtothetransferorassignmenttothenon-Shareholder.

ForanyownershipinteresttobeassigneduponapprovalbytheShareholders,otherShareholdersshallhavetherightoffirstrefusalunderequalconditions;ifmorethanone,thepurchaseproportionshallbeagreeduponthroughconsultation,andfailingthat,therightoffirstrefusalshallbeexercisedinproportiontotheirrespectivecapitalcontributions.

AnytransferorassignmentofanyinterestintheregisteredcapitaloftheCompanyshallbesubjecttotheapprovalofrelevantgovernmentauthorities,ifsorequired.

Article5AfteraShareholderhastransferredorassigneditsownershipinterestaccordingtolaw,theCompanyshalldestroytheCapitalContributionCertificateoftheoriginalShareholder,andissuetheCapitalContributionCertificatetothenewShareholder,andmakecorrespondingamendmenttotheArticlesofAssociation.SuchamendmenttotheArticlesofAssociationshallnotrequiretheapprovaloftheShareholders’Meeting.

TheCompanyshallrecordintheRegisterofShareholdersthenameortitle,anddomicileofthenewShareholderandtheamountoftheinterestsotransferredorassigned.

CHAPTER4RIGHTSANDOBLIGATIONSOFTHESHAREHOLDERS

Article1EachoftheShareholdersshallhavethefollowingrights:

4.ToparticipateindividendsordistributionsofprofitsoftheCompanytotheextentofitspercentageinterestintheregisteredcapitaloftheCompany;

5.Tohavepriorityovernon-ShareholdersinsubscribingforadditionalinterestsintheregisteredcapitaloftheCompanyiftheCompanydecidestoincreasethesame;

6.ToattendandvoteatShareholders’Meeting,ortoapp
