本合同由买卖双方订立，根据本合同规定的条款，买方同意购买，卖方同意出售下述商品。

如买方不能在合同规定期限内付款，或者付款方式不符合合同规定，卖方可以单方面解除合同或延期交货，并有权向买方索赔，买方应支付罚金，罚金率按合同总金额每天0.5‰计算，罚金不超过货款总金额的5%，罚金由付款行或卖方随货款一并收取。

InthecasetheBuyerdoesnotpaytheeachmoneyhereinaboveinthelimittimeordoesnotcorrespondtothecontractterms,theSellermayreservetoterminatethecontactexparteorlatedelivery,eventoclaimfordamages,heshallpaytheSellerthepenaltyat0.5‰ofthetotaloftheworkperday,andthesumwillnotexceed5%oftheaggregateamount,thiswillbecollectedbythepayingbankortobemadehereunderpayment.

5.完成时间：

V.Leadtime:

1）合同签订当天起天内完成样品制作。

1）Thesampleshallbefinishedmakingwithindaysuponthecontractsignature.

2）样品在发出当天起计天内确认完毕。

2）Thesampleshallbeconfirmedwithindaysuponthedeliveryofsmaple.

3）样品无异议签署当天起天内完成所有制作,并且在样品确认后并收到合同提及的全部款项后天内完成。

3）Themassproductionshallbefinishmakingwithindaysupontheconfirmationofsample,andtheaggregateamountshallebesettleewhitindaysupontheconfirmationofsample.

6.产品验收

甲方收到货物后应尽快组织验收，如有异议需在3个工作日内书面提出，并经乙方书面

确认后，双方另行协商异议部份。

收到货物后3个工作日内未提出书面异议，则示为产品已经经过甲方验收合格。

验收标准:

乙方应严格按照双方约定的质量和技术标准交货，具体标准应与经双方书面确认的产品规格书的条款相一致或经确认的样品相一致。

VI.productacceptance

1）TheBuyershallcheckandinspectthegoodsonceuponreceiving.Thetimelimitforinspectionandclaimisdaysafterdischargestthecargoatthepostofdestination.

ThePartiesshallconsultabouttheabjection.Ifnot,itmeansthatthegoodsshallbecheckedandacceptedalready.

2）TheSellershallreachthedeliveryofpromissoryqualityandtechnicalstandard.Thespecificstandardsinthiscontractistheitemofproductspecification,itemwrittenformaffirmationandconfirmedsample,throughthecontractperiod,andbedeemedtobeconstruedasportofthiscontract.

7.送货方式：

快递或客户要求的物流公司，由买方承担运费。

VII.TermsofShipment:

ExpressShipping,orlogisticscompanyisallowed.ThefreightisfortheBuyer’s.

8.保险及货物所有权及风险转移：

保险由买方办理。

货物所有权自卖方交由第三方运输时刻起，由卖方转移至买方。

货物毁损、灭失风险也一并转移由买方承担。

VIII．Insurance

TheinsuranceiseffectedbytheBuyer.ThelostordamagedcargoshallreserveasthedatethedeliveryoftheShippingorlogisticscompany,theOwnershipandRiskshallbecometheBuyer.

10.索赔：

卖方同意受理因货物的质量、数量或规格与合同规定不符的异议索赔，但卖方仅负责赔偿由于制造工艺不良或材质不佳所造成的质量不符部分。

有关安装不当或使用不善造成的索赔或损失，卖方均不予受理。

提出索赔异议必须提供有名的、并经卖方认可的权威机构的检验报告。

有关质量方面索赔异议应于货到目的地后3个月内提出，有关数量或规格索赔异议应于货到目的地后30天内提出。

一切损失凡由于自然原因或属于运输方或保险公司责任范围内者，卖方概不受理。

X．Claim

TheSellershallgranttheBuyerreferstoclaimaboutthenon-confirmityofquality,quantity,and/orspecificationsofthegoodsaccordingtotheimperfectmanufacturingtechnologyortheinferiorgradesofmaterial.Thesesituationsavesthatinstallationcorrosionorshortageofprotection.

TheBuyermustprovidethereputablesurveyreportwhichtheinstitutionwasgrantedbytheSeller.Thetimelimitforlodgingaclaimonthenon-confirmityofqualityofthegoodsismonthsafterdischargestthecargoatthepostofdestination.

Thetimelimitforlodgingaclaimonthenon-confirmityofquantity,and/orspecificationsofthegoodsisdaysafterdischargestthecargoatthepostofdestination.

TheBuyerwillexemptedfromthenaturalcauses,thedeemofThirdPartyTransportationEnterpriseortheextentofresponsibilityofinsurer.

11.不可抗力：

一旦发生不可抗力造成迟装运或不能交货，卖方可延长交货时间或者解除合同的部分或全部，但卖方必须在十四天内通知买方并提交买方可接受的公证机构出具的不可抗力事件的证明。

如果不可抗力事件持续超过四个星期，买方有权解除合同。

XI．ForceMajeure

Ifaforcemajeuresituationoccursorthereisanyotheradequatecause,TheSellermayrequesttheothertoextendtheTimeofTakingOverupongivingthereasonswithin14daystherefor.Inthiscase,thenumberofdaysofextensionshallbefixedthroughdiscussionbetweentheparties.

Ifthesuspendedperiodisweeks,theSellermayreservetoterminatethesepresents.

12.迟交货及罚款：

除不可抗力外，如由于卖方的过错导致的延迟交货，买方有权解除合同，拒收货物，并有权向卖方索赔，卖方应支付罚金，罚金率按每天0.1‰计算，罚金不超过货款总金额的5%，罚金由付款行或买方在付款时直接扣除。

XII．LateDeliveryandPenalty

InthecasethattheSellerdelaysindeliverywithfaultliability,theBuyermayreservetoterminatethesepresentsandtorejectthegoods,eventolodgeaclaim.

Thedamgesistheaggregateamountof0.1‰perday,thelimitamountistheaggregateamountof5%.

ThemunberofoffsetwillbesettledbythepayingbankortheBuyerfromthepayment.

13.争议解决：

双方如果发生争议，应当友好协商解决。

如协商不成，任何一方均有权将争议提交广州仲裁委员会，按照提交仲裁时该会现行有效的仲裁规则进行仲裁，仲裁裁决是终局的，对双方均有约束力。

XIII．SettlementofDisputes

Thepartiesshallresolvefriendlyifthedisputeinitiates.Ifnegotiationsfail,anypartyhastherighttosubmitdisputestotheGuangzhouArbitrationCommission,inaccordancewiththecurrenteffectivearbitrationrulesofarbitration,thearbitralawardisfinalandbindingupontheparties.

14.语言:

本合同应以英文和中文两种语言签署和签订，而且双方之间与本合同有关的所有通信（所有文件和所有函件）应以英文和/或中文进行。

若英文版本和中文版本之间存在与合同有关的矛盾，则应以英文版本为准。

正本一式两份，双方各执一份。

XIVLanguage

ThisContractshallbeexecutedandsignedinEnglish&Chineseandallcommunications（alldocumentsandinallcorrespondence）betweenthepartiesrelatingtothisContractshallbedoneinEnglishand/orChinese.ForanycontradictioninconnectionwiththeContractbetweenEnglishversionandtheChineseversion,theEnglishversionshallgovern.

15变更和删减：

除非双方之间签订书面协议，否则本合同不得加以修订。

任何一方在未取得对方书面同意前，无权将本合同规定之权利及义务转让给第三者。

ⅩⅤVariationsandOmissions

ThisContractmaynotbemodifiedexceptbyawrittenagreementbetweentheparties.NeitherPartyisentitledtotransferitsrightandobligationunderthiscontracttoathirdPartybeforeobtainingawrittenconsentfromthethirdParty.

16可分割性:

如本合同的任一条款被司法当局或主管部门宣布失效、无效、不合法或不能执行，本合同的其余条款仍应完全有效。

ⅩⅥSeverability

IfanyprovisionoftheContractisdeclaredbyanyjudicialorothercompetentauthoritytobevoid,voidableillegalorotherwiseunenforceabletheremainingprovisionsoftheContractshallremaininfullforceandeffect.

自本合同签订后，以前有关本批交易的函电均作为无效。
