RECITALS重申:
1TheSupplierisandhasbeenengagedintheoriginalcreation,design,production,manufacturingandmarketingoftheProducts.
供货商从事、并已在从事本产品的最初开发、设计、生产、制造及营销等工作。
2TheSupplierdesirestoeGpandintocertainmarketsinAsiaandaccordinglyappointstheDistributortobetheeGclsuivedistributoroftheProductsintheTerrotoriescoveringthesemarkets.本供货商希望在亚洲某些地区开拓市场,并相应地委任本经销商作为覆盖本地域内市场的特许总经销商。
THEPARTIESAGREEASFOLLOWS:

1DEFINITIONS定义
WordsbelowshallhavethefollowingmeaningswhenusedinthisAgreement,unlesstheconteGtrequiresotherwise:
除非在上下文中另有含义,在本合约中使用到的下列词汇将具有以下的含义:
1.1"Customer(s)"shallmeanintermediateand/orultimatepurchaser(s)(includingwholesalere-sellers,retaildistributorsandsub-distributors)anduser(s)oftheProductswhoacquires,buysortakesdeliveryoftheProductsfromtheDistributor,asthecasemaybe;
“客户(们)”指中间客户以及/或者最终买家(包括批发转售商、零售经销商及下属分售商)以及在不同情形下从经销商处获取、购买或接受本产品的用户。
1.2"IndividualContract(s)"shallmeanindividualcontract(s)tobemadepursuanttotheprovisionsofArticle3ofthisAgreement;
“单独合同”指依据本合约第三条的内容所订立的单独合同。
1.3“DeliveryPoint”meansthefacilitiesoftheDistributororthedestinationspecifiedintheDistributor’sPurchaseOrder;“交付地点”意指经销商在其订购单中所指定的设施或目的地。
1.4"Parts"shallmeanreplacementpartsfor,orcomponentsof,theProducts;
“零件”指产品的替代性零件或部件。
1.5"Products"shallmean,asapplicable,theingredients,foodandbeverageproducts,goods,accessoriesand/orPartsand/orotherproductsasspecifiedinArticle5oraslistedinEGhibitAofthisAgreement;
“产品”指由第五条所规定的或在本合约的示例A中所列出的食品配料、食品及饮料产品;货物、附件及/或零件;以及/或者其他产品。
1.6"PurchaseOrder"shallmeantheDistributor'sstandardformofpurchaseorderprevailingfromtimetotime;
“订购单”指经销商在平时所使用的标准表格。
1.7"Territory"shallmeanthecountries,geographicalregions,territoriesspecifiedinEGhibitDofthisAgreement;
“地域”指本合约之示例D中所规定的国家、地区及领土。
1.8"Trademarks"shallmeanalltrademarks,logos,servicemarks,tradenamesandemblems,whetherornotregistered,utilizedinconnectionwiththeProducts(includinganyabbreviationormodificationofthesame).
“商标”指全部的商标、图标、服务标记、商品名及商品标识,而不论它们是否注册、或是否已在产品上使用(包括任何上述内容的缩写或修改在内)。
2APPOINTMENT委派
AppointmentandAcceptance委派与接受
2.1TheSupplierappointstheDistributor,andtheDistributoracceptstheappointment,asthesoleandeGclusivedistributorforthesale,marketinganddistributionoftheProductsforandintheTerritory.
本供货商委派本经销商,本经销商接受该委派,作为该产品在该地域内唯一、特许的经销商,从事本产品的销售、营销及分销事宜。

2.2DuringthetermofthisAgreement,theSupplier(includingitsdirectors,officers,subsidiaries,associatecompaniesorundertakings)shallnotdirectlyorindirectly:
在本合约期限之内,供货商(包括其领导人、职员、下属机构、子公司或下属代理在内)不得直接地或间接地-
(i)(i)sell,distribute,market,leaseorotherwisemakeavailabletheProductswithintheTerritoryeGceptthroughtheDistributor;or绕开本经销商在该地域内销售、分销、营销、租赁本产品,或设法使本产品在市场上有货可供。
或者-(ii)(ii)grantalicense,franchiseoranyrighttoanyoneotherthantheDistributorforthesale,distribution,marketing,leasing,production,manufacturingand/orpackagingoftheProductsinandwithintheTerritory.将销售许可证、特许经销权或其它类似权利委托给除本经销商之外的任何人,并使其能在该地域内销售、分销、营销、租赁、生产、制造,以及/或者包装本产品。
2.3TheSuppliershallpromptlyrefertotheDistributorallinquiriesfortheProductsoriginatinginorforultimatedeliverytoorconsumptionoruseintheTerritory.经销商如对来自于本地域的、或直接发送到本地域的、或在本地域内消费或使用的本产品发出任何质询,供货商应给予迅速的回复。
RelationshipbetweentheSupplierandtheDistributor供货商与经销商的关系2.4TherelationshipbetweentheSupplierandtheDistributoristhatofsellerandbuyer.供货商与经销商的关系是卖家与买家的关系。
NothinginthisAgreementshallbeconstruedordeemedtomakethePartiesjointventurersorpartnersortoconstituteeitherPartyanagentoremployeeoftheother.本合约内的任何内容都不得被理解为、或将合同双方视作合资人、合伙人的关系,也不得将合同之任何一方视作另一方的代理、雇员或其他关系。
2.5NeitherPartyshallatanytimemakeanyrepresentation,eitherinwritingororally,thatitisanagent,partnerorjointventurerwiththeother.任何一方都不得以书面或口头形式宣称,自己是对方的代理、合伙人或合资人。
NeitherPartyshallhavetheright,powerorauthoritytoassumeorcreateanyobligation,eGpressorimplied,onbehalfoftheother.任何一方都没有权利、权力、或权威来代表对方、以表达或暗示的方式承担或承揽任何额外义务。
3PURCHASEANDSALE;PRICE;PAYMENT;INSPECTION;DELIVERY购销、价格、付款、检查、交货PurchaseOrder订购单3.1ThesaleandpurchaseoftheProductsshallbebasedonthetermsandconditionssetoutintheapplicablePurchaseOrder.本产品的销售与购买应依据可适用的订购单之条款和条件来作出安排。
AcceptanceofPurchaseOrder订购单之接受3.2AnIndividualContractfortheProductsshallbedeemedtohavebeenmadewhentheDistributorreceivestheSupplier'sacceptanceofthePurchaseOrder,suchacceptancebeingindicatedeitherby:
产品单独合同的订立是指,供货商已经接受了订购单,而经销商获知该信息后所订立的合同。
这种接受将由以下方式表达-(i)(i)theSupplier'scountersignatureonthePurchaseOrder;供货商已在订购单上签字连署;(ii)(ii)theSupplier'sissuanceofasalesconfirmationorsimilardocument;or供货商已签发了销售确认书或类似的文件;(iii)(iii)theSupplier'sdeliveryoftheProducts,供货商已交付了该产品;providedthatifanytermsinsuchsalesconfirmationorsimilardocumentconflictwith,orsupplement,thetermsofthisAgreementorthePurchaseOrder,suchconflictingorsupplementaltermsshallbedeemednullandvoidandtheprovisionsofthisAgreementandthePurchaseOrdershallgovernunlesstheSupplier’ssalesconfirmationorsimilardocumenthasbeencountersignedandacceptedbytheDistributor.倘若该销售确认书或类似文件的任何条款与本合约或订购单的条款相抵触或有增加,这种抵触或增加将是无效的,而应以本合约及订购单的条款为准,除非经销商已经接受了供货商的销售确认书或类似文件并在文件上签字。
3.3Inanycase,eachPurchaseOrdershallbedeemedtohavebeenacceptedbytheSupplierunlesstheSupplierrejectstheorderbywrittennoticewithinfourteen(14)daysaftertheDistributorhasissuedthePurchaseOrder.除非在经销商发出订购单的十四(14)天之内供货商给予了书面通知,否则在任何情形下,每一份订购单将被视为已为供货商所接受。
Promptandtimelysupply及时供货3.4TheSuppliershalluseitsbesteffortstotimelyfulfillalltheDistributor’sordersandshallnotunreasonablyrejectsuchorders.供货商应当尽其最大努力及时满足经销商的订购单,并不得无理拒绝。
Priceandpaymentterms价格及付款条件3.5ThepriceandpaymenttermsfortheProductssetoutineachIndividualContractshallbeinaccordancewiththepricelistandpaymenttermsasprovidedinEGhibitBandEGhibitCofthisAgreementrespectively.每一份单独合同中所规定的产品价格及付款条件应当符合本合约相关的示例B及示例C中所规定的价格表及付款条件。
Changestopriceandpaymentterms价格及付款条件的修改3.6ThePartiesmayamendsuchpricelistandpaymenttermsfromtimetotimeuponmutualagreementinwriting,toenablebothPartiestorealizefairprofitsontheirsalesbytakingintoconsiderationthenormalpracticesofthetrade,ifany,andcompetitivecircumstanceseGistingfromtimetotime,providedalwaysthattheSuppliergivestheDistributoratleastninety(90)daysadvancenoticeofanypricechangesorrevisiontopaymentordeliveryterms.签约双方可在必要时以一致同意的书面形式修改价格表及付款条件,以使得双方在考虑到本行业的通常实践来实现各自公平的销售利润,以及应对竞争环境。
但供货商须在修改任何价格及修改任何付款及交货条款之前至少提前90天发出书面通知。
NoticePeriod通知期限3.7Forthepurposeofsecuringorderlyshipments,theDistributorshallendeavortosubmittotheSuppliereachPurchaseOrderatleastthirty(30)dayspriortotherequestedshipmentdateoftheProducts,providedthatiftheDistributordoesnotsubmitthePurchaseOrderwithinsuchtime,thoseordersshallnonethelessbebindingupontheSupplierunlesstheSupplierpromptlynotifiestheDistributorofitsrejectionoftheorderforthedeliveryoftheProductswithinsuchstipulatedtimeframe.为了确保货物的顺利装船,经销商应尽可能地于每一次货物的装船日期之前至少提前三十(30)天向供货商发出每一份订购单。
除非经销商未能在该期限内发出订购单,或供货商已将其拒绝在规定的时间段内供货的决定迅速通知了经销商,否则这些订购单将对供货商具有约束力。
Paripassutreatment平等权利3.8TheSupplierrepresentsthatthetermsandconditionsofthisAgreementareatleastasfavorabletotheDistributorasthetermsandconditionswhichtheSupplieriscurrentlyofferingtootherdistributorsorsimilarentities.供货商保证本合约的条款和条件是优惠的,至少与其目前给予其他经销商或类似机构的条款和条件同样优惠。
3.9IntheeventthattheSuppliershouldoffertoanyotherdistributorsorsimilarentitytermsandconditionswhicharebetterormorefavorablethanthetermsandconditionsofthisAgreement,theSupplieragreetopromptlynotifytheDistributorinwritingofsuchbetterormorefavorabletermsandofferthosebetterormorefavorabletermsandconditionstotheDistributor.如果供货商向任何其他的经销商或类似机构提供了比本合约更为优惠的条款和条件,供货商同意以书面形式将此事迅速通知经销商,并将更优惠的条款和条件提供给本经销商。
Inspection检查3.10UponreasonablenoticetotheSupplier,theDistributorshallhavetherighttoinspect,randomlyorotherwise,theProductsattheplaceofproduction,manufactureorpackagingpriortothepackingoftheProducts.经销商在向供货商发出合理的通知后,有权在产品包装之前在产品生产地点以随机的或其他的方式检查货物的生产、制造和包装。
TheSuppliershalltimelynotifytheDistributoroftheproduction,manuafacturingorpackagingschedulesfortheProductsandofthereadinessoftheProductsforpacking.供货商应及时将产品的生产、制造及包装的时间表,以及产品包装的准备工作通知经销商。
3.11InspectionofanyProductsbytheDistributorshallnotconstituteacceptanceofthoseProductssubjecttosuchaninspectionnorshallitconstituteawaiverofanyclaimorrightwhichtheDistributororCustomersmayhavewithrespecttothoseProducts.经销商对产品的任何检查不得被视为对产品的接受,或被视为经销商或客户已经放弃了对产品质量的索赔权利。
Delivery交货3.12TheSuppliershalldeliverandtheDistributorshalltakedeliveryoftheProductsonF.O.B.DeliveryPointbasis.供货商将以FOB(离岸价格)模式把货物送交到交货地点,经销商将接受该种交货。
3.13Uponsuchdelivery,titleandriskoflosstotheProductsshallpasstotheDistributor.交货完成之后,货物所有权及风险就转移到了经销商的名下。
IncaseunderanyIndividualContract,theSupplierisrequiredtoarrangefortheshipping,theSuppliershallshiptheProductsbyanyestablishedrouteinaproperlyequippedseaworthyvesselownedand/oroperatedbyafirstclassshippingcompanysatisfactorytotheDistributor.如果任何一个单独合同要求供货商来负责安排海运事宜,供货商必须作出安排,将货物交由一家经销商
