酒水供应合同

供方（Supplier）（以下简称甲方PartyA）：

需方（demander）（以下简称乙方PartyB）：

甲、乙双方本着平等互利，共同发展的原则，经双方友好协商，就甲方向乙方供应__酒水__相关事宜达成如下协议：

　　PartyAandPartyBagreetothefollowingtermsandconditionsonPartyA'ssupplyofdrinkstoPartyB.

第二条定货、送货、验货与退货Order\Delivery\ExamineGoods\Returns

1、在正常业务情况下，甲方接到乙方电话、邮件或传真定货通知后，于【】小时/天内确认回复，并在回复收到后，保证按照乙方的订货要求的时间将乙方所定货及时送达乙方指定地址。

如未按时送达而影响乙方经营，乙方有权要求赔偿。

送货日期以订单上日期为准。

Innormalbusinesstime,afterreceivingParty’sorderbyphone,emailorfax,PartyAshallconfirmwithPartyAwithin【】hours/days,andafterreceivingthereply,PartyAshallensureatimelydeliveryofthegoodstothedesignatedaddressaccordingtoPartyB’sorderedtime.PartyBshallhavetherighttoclaimcompensationifPartyAfailstodeliverthegoodsontime.Thedateofdeliveryissubjecttothedateoftheorder.

2、如临时增订非约定范围内的产品，乙方应向甲方说明情况，双方协商解决。

IfPartyBneedstemporarilytoaddorderofproductswhicharenotspecifiedintheprecedingorder,PartyBshallnotifyPartyAandthetwoPartiesshallresolvethesituationthroughnegotiation.

3、乙方收到货物后应当场对货物品种、规格型号、数量、外包装等进行当场查验核实。

Onreceivingthegoods,PartyBshallconducton-the-spotverificationthespecifications,modelsandquantityandouterpackingofthegoods.

4、乙方对产品的品种、数量等认为不符合到货验收标准的，乙方有权当场拒收。

乙方也可以在收到产品后【】日内就前述问题向甲方提出书面异议，经双方核实确属甲方责任的，乙方有权退货或者要求甲方补正。

PartyBshallhavetherighttorefusetoaccepttheproductsofwhichthetype,quantitiesandotherstandardsaredeemedtobeinconsistentwiththeagreedstandards.PartyBmay,uponreceiptoftheproducts,makeawrittenobjectiontoPartyAinthefollowing【】days.AndPartyBshallhavetherighttoreturnthegoodsoraskPartyAtomakeuptheissueifPartyA’sresponsibilityisconfirmedbybothparties.

5、乙方如发现质量问题，应在发现之日起【2】日内通知甲方并封完好样品，作为凭证以利于同厂家交涉解决。

Forthequalityproblem,PartyBshallnotifyPartyAandsealthesampleswithin【2】daysofthediscovery,asacertificatetofacilitatethenegotiationwiththemanufacturer.

6、双方确认：

经乙方授权的乙方工作人员为乙方收到货物的签收人。

如果乙方收货人员发生变动，应及时以书面形式向甲方说明。

甲方将产品交付给任何其他人均视为未交付，由此产生的损失均由甲方承担。

BothpartiesconfirmthatPartyB'sauthorizedstaffshallreceivethegoodsastherecipientofPartyB.IfPartyB'srecipient（authorizedstaff）changes,itshallnotifyPartyAinwriting.PartyA‘sdeliveryoftheproductstoanyotherpersonshallbedeemedundelivered,andthelossesresultingtherefromshallbebornebyPartyA.

第三条产品的包装、运输Package\Transportation

1、甲方负责产品的包装、运输和装卸并承担费用，确保产品完好无损地按时交付给乙方。

否则，给乙方经营及管理造成影响或损失的，由甲方承担赔偿责任，乙方有权从货款中扣除。

PartyAshallberesponsibleforthepackaging,transportationLoadingandunloadingoftheproducts,andshallbeartheexpensestoensurethattheproductsaredeliveredtoPartyBontimeandingoodcondition.Otherwise,PartyAshallbeliableforthedamageorlosscausedtoPartyB,andPartyBshallhavetherighttodeductthedamagesfromthepayment.

2、甲方对其提供的产品应一律采用生产商的原厂包装，并根据产品特性、规格等要求按适合方式进行包装和装运，以确保产品安全完好的抵达交付地点。

由于包装不当造成产品在运输过程中有任何随坏或丢失的，甲方应承担相应的责任和损失。

TheproductsprovidedbyPartyAshallbepackedwiththemanufacturer'soriginalpackagingandbepackedandtransportedaccordingtotheproductfeatures,specificationsandotherrequirementsaccordinginsuitablewaytoensurethattheproductissafelyandintactlyarrivedindeliveryplace.PartyAshallbearthecorrespondingresponsibilitiesandlossesduetotheimproperpackingortransportation,whichcausesanyproducttobedamagedorlostintransit

3、若甲方食品包装不合格等原因导致食品在甲方正常仓储环境下变质，乙方有权要求甲方退换变质食品，因此造成的各项费用由甲方承担；如果因此给以方造成经济损失，甲方应当全额赔偿乙方经济损失。

乙方选择更换的，甲方承诺在乙方提出更换要求后【2】天内免费更换。

IfPartyA'spackagingfailstomeettherequirementsandcausesthegoodstodeteriorateinthenormalstorageenvironment,PartyBshallhavetherighttorequestPartyAtoexchange or refundandtheresultingexpensesandeconomiclossesshallbebornebyPartyA.IfPartyBchoosestoreplacethedeterioratedgoods,PartyApromisestoreplaceitwithin【2】daysafterPartyB'srequestforreplacement.

第五条结算方式PaymentCondition

1、结算方式原则为月结。

Thesettlementperiodshallbeamonth.

2、每月【】日为对账日，每个自然月【】日前，甲方应根据上一自然月供货情况（按照已交付产品数量进行计算）向乙方提供结算申请单，经乙方确认后，甲方应当根据应付款金额向乙方开具正式发票。

Everydate【】shallbethedayforreconciliationeverymonth.Foreverynaturalmonth,ondate【】,PartyAshallprovidePartyBthesettlementapplicationformaccordingtotheactualsupplyofgoods（thequantityshallbecalculatedaccordingtotheactualdeliveredproducts）.AfterconfirmedbyPartyB,PartyAshallprovidetheofficialinvoicetoPartyBaccordingtotheaccountspayableamount,

3、每月【25】_日为付款日，乙方在收到甲方发票后，于每月【25】日内向甲方支付，结款数额为上月对账单的全部金额。

PartyBshallpaytheamountofthebilltoPartyAeverymonthonthedate【】afterreceipt
