THISVESSELPURCHASEANDSALEAGREEMENT（this"Agreement"）,is

enteredintothis29thdayofMay,2002,byandbetweenMATSONNAVIGATION

COMPANY,INC.,acorporationorganizedunderthelawsoftheStateofHawaii

（"Purchaser"）,andKVAERNERSHIPHOLDING,INC.,acorporation

organizedunderthelawsoftheStateofDelaware（"Seller"）.

WITNESSETH:

WHEREAS:

TheSellerhasenteredintothatcertainshipbuildingcontractdated

April18,2002,acopyofwhichisattachedheretoasExhibitA（the"KSI

ShipbuildingContract"）,withKvaernerPhiladelphiaShipyardInc.,an

affiliateofSeller（the"Builder"）,pursuanttowhichSelleragreedto

purchasefromtheBuilderonecontainervesselofthePhiladelphiaCV2600

design,designatedasHull001（the"Vessel"or"Hull001"）,tobeconstructed

attheBuilder'sfacilitylocatedatPhiladelphia,Pennsylvania（the

"Shipyard"）;

WHEREAS:

ThePurchaserandtheBuilderhavenegotiatedashipbuilding

contract,tobeexecutedthedatehereof（the"MatsonShipbuildingContract"）,

pursuanttowhichthePurchaserhasagreedtopurchasefromtheBuilderone

containervesselofthePhiladelphiaCV2600design,designatedasHull002

（"Hull002"）;and

WHEREAS:

TheSellerdesirestoselltoPurchaser,andPurchaserdesiresto

purchase,Hull001uponitsdeliveryfromtheBuildertoSeller.

NOWTHEREFORE:

Inconsiderationofthepremisesandthecovenantsherein

contained,andothergoodandvaluableconsideration,theadequacyandreceipt

ofwhichisherebyacknowledged,thepartiesheretoagreeasfollows:

ARTICLEI-SALEOFVESSELANDDELIVERYDATE

SECTION1.1.SALEANDPURCHASE.Sellerherebyagreestosell,conveyand

transfertoPurchaser,andPurchaserherebyagreestopurchasefromSeller,the

VesseluponitscompletionanddeliverytoSellerpursuanttotheKSI

ShipbuildingContractsubjecttothetermsandconditionssetforthinthis

Agreement.

SECTION1.2.DELIVERYDATE.

（a）DeliveryoftheVesselshallbemadetoPurchaseronorbeforeJune

30,2003（suchdate,asmodifiedbythisAgreement,hereinaftercalledthe

"DeliveryDate"）.

（b）TheSellershallpromptlynotifyPurchaserinwritingif,atanytime

duringtheperformanceofthecontractwork,theBuilder'sMasterProduction

ScheduleestimatesthattheactualdeliverydateoftheVesselwilldifferfrom

theDeliveryDatebymorethanfive（5）days,andinanyeventshallnotify

Purchasernotlessthanonehundredfifty（150）days,onehundredtwenty（120）,

onehundred（100）days,sixty（60）days,thirty（30）daysandten（10）days

priortotheestimateddeliverydateprovidedforinsuchschedule.

（c）TheSeller,initssolediscretion,mayacceleratetheDelivery

DatebyprovidingwrittennoticetoPurchaser.IfSelleracceleratesthe

DeliveryDatepursuanttothissubsection,suchnewdateshallbecomethe

DeliveryDateforthepurposesofdeterminingliquidateddamagespursuantto

ArticleVIandPurchaser'srighttocancelthisAgreementpursuanttoArticle

XI.TotheextentthatanyofPurchaser'sobligationsunderthisAgreementare

basedontheDeliveryDate,Purchaser'sfulfillmentofsuchobligationswillbe

extendedasreasonablyrequiredbyPurchaserwithreferencetotheoriginal

DeliveryDateandSeller'sproposedadjustment;provided,thereshallbeno

suchadjustmenttoPurchaser'sobligationtomaketheDeliveryPayment,as

providedinthisAgreement,ontheDeliveryDate.

（d）Fourteen（14）dayspriortotheprojecteddeliveryoftheVessel,

employeesofPurchaserandPurchaser'scontractorsoragentsshallbeentitled

toaccesstotheVesseltoengageinsuchactivitiesandperformsuchworkas

PurchasermayspecifyandtofamiliarizethecrewwiththeVesselandto

provisionoftheVessel;providedthatPurchaser'sactivitiesshallnot（i）

interferewithanyworkbeingperformedbytheBuilderor（ii）contraveneany

collectivebargainingagreementoftheBuilder.

ARTICLEII-VESSELDESCRIPTION

SECTION2.1.PLANSANDSPECIFICATIONS.TheVesselshallbeeligiblefor

operationundertheU.S.flagandintheU.S.coastwisetrade.TheVessel

shallinallrespectsmeettherequirementsoftheKSIShipbuildingContract,

includingwithoutlimitationtheSpecificationreferredtoanddescribedin

ArticleIthereof,allasmodifiedbythisAgreement.Inadditiontotheother

termsandconditionsofthisAgreementdescribingtheVesselandits

performance,SelleragreestocausetheBuildertomakesuchchangestothe

Vessel,includingtheinstallationofPurchaser'sSuppliesandthedeliveryof

spareparts,toconformthesametotherequirementsforHull002underthe

MatsonShipbuildingContract,includingwithoutlimitationthePlansand

SpecificationsidentifiedinArticleII（a）thereof（the"Plansand

Specifications"）.

（b）IfanyadditionalworkorchangeisperformedbytheBuilderonHull

002pursuanttoArticleII（b）oftheMatsonShipbuildingContractpriorto

deliveryoftheVesseltoPurchaser,SellershallcausetheBuildertoperform

thesameworkorchangeontheVesselatnocosttoPurchaser.

（c）TotheextentthePlansandSpecificationsreferredtoinARTICLEII

requirewithoutlimitationwork,trials,spares,materialsorequipmenttobe

furnishedtothe"firstvessel,"thepartiesagreethatsuchwork,trials,

spares,materialorequipmentshallbefurnishedtoHull001underthis

Agreement.Whereanywork,trials,spares,materialorequipmentistobe

furnishedtoonevesselonly,butitisnotclearifitisHull001orHull

002,thepartieswillagreeonwhichvesselistoreceivesame.

SECTION2.2.SCOPEOFWORK.TheSellershallcausetheBuildertofurnish

allplant,facilities,labor,materials,suppliesandequipment,andshall

performallworknecessarytodesign,construct,launch,outfit,testand

delivertheVesselatBuilder'sriskandexpense,instrictaccordancewith

thePlansandSpecificationsreferredtoinSection2.1above,andshallcause

BuilderdoeverythingrequiredbythisAgreementandthePlansand

Specifications,includingcausingtheBuildertodevelopworkingplansandto

installanyofthePurchaser'sSuppliesthatthePlansandSpecifications

provideshallbefurnishedbyPurchaser,allfortheconsiderationsetforthin

Section3.1belowforHull001,includingthesparepartsspecifically

identifiedintheSpecifications,togetherwithsuchadditionsandsubjectto

suchdeductionsasarehereinprovided（the"PurchasePrice"）.

SECTION2.3.COMPLIANCEWITHREGULATORYBODIES.TheVesselshallbeeligible

forcertificationandclassificationasacommercialcontainershipbythe

RegulatoryBodies.Inperformingthecontractwork,Sellershallcausethe

BuildertocomplywithalloftherequirementsoftheRegulatoryBodies

notwithstandingthattheremaybeshowninoronanycontractplanand/or

guidanceplanorsetoutinthePlansandSpecificationsthespecific

requirementsofanyitemofcontractwork,andnotwithstandinganyapprovals

shownuponsaidcontractplans,subject,however,tothefollowing:

（i）ifthe

PlansortheSpecificationsspecificallyrequireworkinexcessofthat

requiredbytheapplicableRegulatoryBodies,suchspecificallyrequiredwork

shallbeperformedbySellerascontractworkrequiredbythisAgreement;

（ii）ifthePlansandSpecificationsrequirework
