第二章出租房屋

CHAPTER2LEASEDPREMISES

4.1甲方同意出租给乙方,乙方同意向甲方租赁按本合同经双方同意的附件B“出租房屋图

示”所确定的房屋。

（附件B1:

所有的面积表;B2:

所有楼层的图纸中出租面积用粉红色标

明;B3:

按已批准的扩初设计制作的全套建筑图纸。

该出租房屋与扩初设计一致,其竣工

后与竣工图一致,并且与本合同的条款一致。

甲方得到施工图就向乙方提供。

4.1SincePartyAagreestoleasetoPartyB,andPartyBacceptstoleasefrom

PartyAthepremisesasspecifiedintheDescriptionoftheLeasedPremisesset

forthintheattachedAppendixB（BI:

Listingofallareas;B2:

drawingsofall

floorswiththoseareaswhicharesubjecttotheleasehereundercolouredpink;

B3:

aCompletesetofarchitecturaldrawingsasperapprovedpreliminarydesign

asagreedbybothPartiestothisAgreement,inaccordancewiththepreliminary

designand,afterCompletionofconstructionofsuchpremises,inaccordance

withthedrawingsprepareduponsuchCompletion（hereinafter"Leased

Premises",andinaccordancewiththetermsandconditionsofthis

Agreement.ShopdrawingswillbesuppliedtoPartyBbyPartyAwhenavailable.

4.2如果因为中国政府或建筑技术的要求与扩初设计的图示相比较,甲方对出租房屋的建筑和/或对最后竣工的出租房屋作了改变,只要这些变更不改变按本合同规定的出租房屋的用途,提供了相应的装修和设备,而且只要这类改变对实际的使用面积不作大的变化的话,双方同意这些更改。

在这种情况下双方应继续受本合同的所有条款的约束,而且乙方同意不应对这些更改提出任何索赔或其他要求。

4.2IncaseofanychangesbecauseoftheChinesegovernmentorconstructiontechnicalrequirementwhichwillbemadebyPartyAtothebuildingoftheLeasedPremisesand/ortheLeasedPremisesinthefinalconstructionascomparedtothedescriptionsetforthinthepreliminarydesign,thePartiesagreetothesechangestotheextentthattheuseoftheLeasedPremisesassetforthinthisAgreementremainsunchanged,comparablefinishingandequipmentareprovided,andtotheextentthatsuchchangesdonotsubstantiallychangetheactualnetfloorarea;inwhichcasethePartiesshallcontinuetobeboundbyallthetermsandconditionsofthisAgreementandPartyBherebyundertakesnottobringanyclaimsforcompensationorotherwiseinconnectionwithsuchchanges.

4.3出租房屋的建筑的内外装修应根据甲方和出租房屋建筑的承包商之间的施工协议的标准说明（附件C,由甲方自费设计和实施。

乙方要求对附件C作出的任何改变应得到甲方的书面同意,由此而产生的任何费用由乙方承担。

4.3Theinteriorandthe,exteriorfinishingofthebuildingoftheLeasedPremisesshallbedesignedandeffectedatPartyA'sexpenseinaccordancewiththeStandardDescription（asperconstructionagreementbetweenPartyAandthecontractorofthebuildingoftheLeasedPremisesattachedheretoasAppendixCasagreedbybothParties.AnyfuturechangestoAppendixCrequestedbyPartyBshallbesubjecttothewrittenapprovalofPartyA,andanycostandexpensearisingoutofsuchrequestshallbebornebyPartyB.

5.1双方希望出租房屋所在的建筑的建造将以正常的建造速度进行,以便

在年月日或者由甲方在缔结中心建筑合同后个工作日内通知的其他日期竣工并交付使用。

甲方应提前个月以书面形式通知乙方出租房屋的租赁（以及第9条中规定的义务应根据本合同的条款开始生效的日子（以下称为“开改日期”,但在开张日之前出租房屋应已由甲方从承包商手中接收过来“开张日期”不应比年月日或前面所说的甲方通知乙方的其他日期早于或晚于个工作日。

如果“开张日期”超

过年月日或上述其他所定日期个工作日,甲方

应向乙方补偿由于这种逾期而引起的任何合理的实际费用。

出租房屋在建筑物基本竣工时便应认为可交付使用。

5.1ThePartiesexpectthattheconstructionofthebuildingwhereintheLeasedPremisesarelocatedwillundernormalconstructionprogressbecompletedandfitforoccupationon,19orsuchotherdateasshallbenotifiedinwritingbyPartyAtoPartyBwithinworkingdaysoftheconclusionoftheconstructioncontractfortheCenter.PartyAshallnotifyPartyBinwritingmonthsinadvanceofthecommencementdateonwhichtheleaseoftheLeasedPremiseshereunder（aswellastheobligationsascontainedin

Article9shallcommencesubjecttothetermsandconditionsofthisAgreement（hereinafterthe"CommencementDate",providedalwaysthatPartyAshallhaveacceptedtheLeasedPremisesfromthecontractorsthereofbeforetheCommencementDate.TheCommencementDateshallnotbeearlierorlaterthan,

19orsuchotherdateasshallhavebeennotifiedbyPartyAtoPartyBasaforesaid,bymorethanworkingdays.SubjectalwaystoArticle15,iftheCommencementDateexceeds,19orsuchotherdateasshallhavebeennotifiedbyPartyAtoPartyBasaforesaid,bymorethan__workingdays,PartyAshallindemnifyPartyBagainstanyreasonableactualexpensesincurredasaresultoftheexcess.TheLeasedPremisesaredeemedtobefitforoccupationwhenthebuildingthereinissubstantiallycompleted.

5.2在“开张日期”的天后,甲乙双方应签订一个移交议定书,确认出租房屋的正常移交,并指明哪些被发现的（如果有的话应由甲方负责的缺陷。

5.2PartyAandPartyBshallupontheexpiryofdaysaftertheCommencementDatesignahand--overprotocolconfirmingtheproperdeliveryoftheLeasedPremisedforoperationandconfirmingthosedefectsfound,ifany,whicharetheresponsibilityofPartyA.

5.3当出租房屋已适合于为本5.3条款规定的目的而进入时,乙方在“开张日期”之前

的个工作日之内为安排可移动设备或其他必要物件的安装事宜,有权进入出租房屋的任何部分,但条件是:

（1乙方事先向甲方送交一份认可书,确认全面接受乙方认为完好并满意的出租房屋的这一部分;该认可书对乙方应有约束力;（2甲乙双方应对由他们各自的行为或疏忽或各自代理人,承包人或雇员的这类行为造成的所有损害或损失或人身伤害负完全责任。

5.3WhentheLeasedPremisesaresuitableforentryforthepurposesspecified

inthisArticle5.3,PartyBshallhavetherighttoenteruponanypartoftheLeasedPremisesduringtheworkingdaysbeforetheCommencementDatefor

thepurposesofarranginginstallationofmobileequipmentorothernecessary

items,providedthat（1PartyBhasdeliveredinadvancetoPartyAaletter

ofconfirmationconfirmingthefullacceptanceofsuchpartoftheLeased

PremiseswhichinPartyB'sopinionissoundandsatisfactorywhichconfirmation

shallbebindinguponPartyB;and（2PartyBandPartyAshalleachassume

fullliabilityastoalloranydamagesorlossesoranypersonalinjuriescaused

byitsownactsoromissionsorthoseofitsrespectiveagents,contractorsor

employees.

第三章合同双方的责任

CHAPTER3RESPONSIBILITIESOFTHEPARTIES

第6条甲方应负责:

6.1按以下规定,建造并完成出租房屋的建造:

6.1TheconstructionandcompletionoftheLeasedPremisessetforthasfollows:

建造并完成出租房屋的建筑物的结构:

TheconstructionandCompletionofthestructureofthebuildingofthe

LeasedPremises;

根据附件C中规定的标准说明书,安装内外装修和设备,包括一套预制的可进入式的两种温度的冷库。

安装必要的给排水、煤气、电、供暖、空调、电绨、自动扶梯、自动

灭火、电讯的设施,以及闭路电视和计算机系统的空管,建筑物的管理系统和有关办公室的

必要安装。

这类建筑和安装的所有费用和开支均由甲方承担。

Installationofinteriorandexteriorfinishingandequipmentas

setforthintheStandardDescriptionattachedheretoasAppendixC,including

oneunitofprefabricatedwalk--incoolerandfreezerandthenecessary

installationsforwatersupply,drainage,gas,electricity,heating,air

conditioning,elevators,escalators,automaticfirefightingand

telecommunication,conduitsforclosedcircuittelevisionsystemandcomputer

system,buildingmanagementsystemandofficesrelatingthereto;Allcostsand

expensesforsuchconstructionandinstallationtobebornebyPartyA;

6.2提供乙方在安装出租房屋防盗系统时所产生的合理费用。

条件是这种提供的费用只能根据乙方递交的这类开支的合法的发票支付,而且甲方这种支付总额不超过人民

币。

乙方有权安装防盗系统,条件是这类安装不影响出租房屋的结构。

6.2ContributingtothereasonablecostsincurredbyPartyBintheinstallationofaburglaralarmsystemfortheLeasedPremises,providedthatsuchcontributionshallonlybepaidupondeliveryoflegallyvalidinvoicesbyPartyBinrespectofsuchcostsandfurtherprovidedthatthetotalcontributionpayablebyPartyAshallnotbemorethanRMB;andPartyBshallhavetherighttoinstalltheburglaralarmsystemprovidedthatsuchinstallationdoesnotaffectthestructureoftheLeasedPremises;

6.3根据附件C中的规定为出租房屋安装水、电、煤气、供暖和空调的设施及提供电讯设施。

6.3Theinstallationoffacilitiesforwater,electricity,gas,heating,airconditioningandthesupplyofcommunicationfacilitiesasspecifiedinAppendixCfortheLeasedPremises;

6.4维修出租房屋的供暖和空调系统,电梯,自动扶梯,火警,防火系统的机械装置。

甲方承担这类维修的费用,甲方具有自己实施这类维修工作的专有权力,亦有委托信誉良好的分包商进行这类维修的权力,无论以何种方式,因为这类维修而引起的所有费用和开支应由甲方承担。

6.4Maintainingthemechanismoftheheatingandairconditioningsystem,theelevators,theescalatorsandthefirealarmandfirepreventionsystemsoftheLeasedPremises.PartyAshallbearthecostsofsuchmaintenance,andPartyAshallhavetheexclusiverighttocarryoutsuchmaintenanceitselfortoentrustreputablesubcontractorsforsuchpurpose,andineithereventPartyAshallbearallcostsandexpensesincurredinrespectofsuchmaintenance;

6.5保持出租房屋建筑物和结构及首层的公用区域和出租房屋的地下室处于良好维修状态,允许乙方的顾客使用露天停车场。

6.5KeepingingoodrepairsthestructureandthebuildingoftheLeasedPremises,aswellasthepublicareasofthegroundfloorandbasementoftheLeasedPremises,andallowingtheuseofopenairpubliccarparkingspacesbythecustomersofPartyB;

6.6向乙方收取租金、诚意抵押金及保证抵押金和根据本合同乙方应支付的其他费用。

6.6CollectingfromPartyBrentalfees,goodwilldeposit,securitydeposit,

andothersumsofchargespayablebyPartyBunderthisAgreement;

6.7保证不在建筑物内经营也不允许任何第三者经营与乙方性质相类似的商店。

6.7Undertakingnotto,andnotpermitanythirdPartyto,operatewithinthe

buildingastoreinthenaturesimilartothatofthePartyB;

6.8根据双方同意的条件,在乙方提出与租赁房屋相关的要求时提供其他帮助。

6.8ProvidingotherassistancetoPartyBuponitsrequestinconnectionwith

theLeasedPremisessubjecttotermsandconditionstobeagreedbetweentheparties.

第7条乙方应负责:

7.1根据本合同履行其全部义务,包括按期向甲方缴纳诚意抵押金、保证抵押金和租金以及

有关出租房屋的供热和空调的费用。

同时直接向有关部门支付水、电、煤气费,如果不行,则仍应向甲方支付这类费用。

7.1FulfillingallitsobligationsunderthisAgreementincludingpaying

punctuallytoPartyAthegoodwilldeposit,rentalfeesandexpensesforheatingandairconditioninginrespectoftheLeasedPremisesaswellaspayingdirectlytotherelevantauthoritiesexpensesforwater,electricityandgasifpossible,failingwhichsuchexpensesshallbepaidtoPartyAforsettlement;

7.2支付自己的垃圾清理费和其他有关费用以及其他中国政府可能征收的与出租房屋相关的

公共服务费用（如有的话。

7.2Payingitsowngarbagedisposalandotherrelatedcosts,aswellaspaying

otherpublicservicecharges,ifany,whichtheChinesegovernmentmayimposeinrespectoftheLeasedPremises;

7.3根据本合同的条款在租赁期内出租房屋应对公众开放,允许中外宾客作为顾客进入出租

房屋,采用国际先进的服务方式,把出租房屋经营成为一个具备一流服务标准的购物中心。
