甲方为协议项下货物的出口商，乙方为本协议项下货物的用户。

甲、乙方经友好协商，达成本协议：

PartyAistheexporter;PartyCistheenduser.Theabovepartiesagreetosigntheagreementasfollowingclauses.

乙方从甲方暂时进口******和******等到首尔韩国以供乙方试验示范，使用完毕后会在六个月内复出口回上海退回甲方。

PartyCisconsignedbypartCandimport1setP20systemandaBS1Uby-passswitchtoSeoul,KoreafrompartyAtransitorily，fordemonstration，Wewillre-exporttoShanghaiwithin6monthsafterusing.

一、进口货物名称、规格、数量

二．运输方式：

空运。

乙方保证在检测完毕后将货物全部退回甲方公司。

三、与此暂时进出口业务相关的港杂费、报关费、商检费、仓储费、内陆运输费等费用均由乙方承担。

四、若因丙方原因造成滞港，滞箱、仓储等费用，由乙方承担。

IfthedelayofthecustomsclearanceduetothepartyC,thepartyCwillpaythesurcharge.

五、如乙方保证金未能按时给付而造成的滞纳、滞报、滞港等一切经济损失，乙方付全部责任。

六、协议的有效期

本协议有效期到进出口业务履行完毕及乙方付清全部费用时方为终止。

七、不可抗力

ForceMajeure

由于签约双方在签约时不能预料，不能抗拒的事件造成的不能交货或延迟交货，乙方得以免责，包括以下几点：

AneventofForceMajeuremeanstheeventthatthepartiescouldnotforeseeandoccurrenceandconsequencescannotbeavoidedandcannotbeovercome.

3.战争罢工，暴乱等社会事件：

本协议一式二份，双方各执一份，未尽事宜两方协商解决，协商不成，提交乙方所在地法院仲裁。

Thisagreementismadeintwooriginals,oneforeachparty.Alldisputesarisingfromtheexecutionoftheagreementshallbesettledthroughamicableconsultationbyallparties.Incasenosettlementcanbereached,thedisputesbesubmittedforarbitration.
