在货到目的口岸45天内如发现货物品质，规格和数量与合同不附，除属保险公司或船方责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔换货或赔款。

（13）不可抗力：
由于人力不可抗力的原由发生在制造，装载或运输的过程中导致卖方延期交货或不能交货者，卖方可免除责任,在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽快发货。
ForceMajeure:
Thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.ThesellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedabovethewithinfourteendaysthereafter.theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccident.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.
（14）仲裁：
凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。

第六条交/提货时间
合同项下全部货物将于XX年3月底前全部、一次性由卖方交付/由买方派船装运离港。
合同项下全部货物包装完毕，卖方应及时以书面方式通知买方货物备妥。
买方应在接到卖方货物备妥通知之日起15天内，派船到装运港将全部货物装船运走。
超过15天后产生的货物在港口的堆存费用将由买方承担；
如买方在货物备妥通知发出之日起30天内，未能派船将货物运走，由此产生的货物质量问题，卖方将不负责任；超过45天，卖方有权选择将此货物处理，由此产生的货物处理费用将由买方承担。

Buyershallcharterandsendtheperformingvesseltotheloadingporttotakeloadofallthecontractedcargowithin15daysoncehehadbeeninformedofthecargoreadiness,failingwhich,BuyershallberesponsiblefortheportchargesleviedbytheloadingportAuthoritiesonthecargo.

第八条支付条款
合同日起三个工作日内买方应将货值30%的预付款（计33000美元）电汇至卖方指定的银行账户。
卖方收到买方预付货款后应即开始安排生产，剩余70%货款（计77000美元）应由买方在装船开始前电汇至卖方银行账户。
如在装船开始前卖方仍未收到全部货款,卖方可以不开始装船，直到收到全部货款。
买方在每笔货款汇出后，应将银行汇款底单扫描并发邮件至xxx
卖方指定的银行账户信息如下：

卖方需在提单日期后7个工作日内向买方快递以下单据：
①卖方签署的商业发票一式叁份
②全套清洁已装船提单，注明“运费根据租船合约”
③制造商签发的工厂检验报告正本一式叁份（只含3天强度）
④中华人民共和国出入境检验检疫局（以下简称为“CIQ”）签发的重量证书正本一份副本二份
⑤中华人民共和国出入境检验检疫局（以下简称为“CIQ”）签发的品质证书正本一份副本二份

第十条船舶指定及装船期
装运船只由买方安排,并自行承担相关费用及风险。
装货港船舶代理由卖方推荐，买方有权指定并承担相应费用。
在同卖方协商后，买方须于装船期首日前15天宣布一个展期为5天的装船期。
买方须于装船期首日前5个工作日指定受载船舶，买方可以在征得卖方同意后，在符合指定的装船期内有权更换受载船舶；买方须于装船期首日前3个工作日天向卖方提供指定船舶的规范。
指定的船舶规范必须达到卖方的接受要求，卖方应在买方提供船舶规范后12个工作小时内确认是否接受。
卖方应在船舶抵港前7/6/5/4天向卖方以电子邮件预报船期，提前3/2/1天以电子邮件方式确报船期。
