[CompanyName]TermsandConditionsofSale

Thetermsandconditionsofsalecontainedherein（andSELLERWarrantyStatement,whichisherebyincorporatedbythisreference）applytoallquotationsmadeandpurchaseordersreceivedby[CompanyName].（“SELLER”）andgovernsallpurchasesbythepurchaser（“Buyer”）ofproducts（the“Products”）fromSELLER.THEACCEPTANCEOFANYORALLOFTHEBUYER’SPURCHASEORDERSISCONDITIONALUPONBUYER’SASSENTTOTHESETERMSANDCONDITIONSINLIEUOFTHETERMSCONTAINEDINBUYER’SPURCHASEORDER.SELLERherebyrejectsallprovisionscontainedinpurchaseordersorothercommunicationsordocumentsfromBuyerthatconflictwithorareinconsistentwiththetermscontainedherein.SELLER’sfailuretoobjecttoanyprovisionscontainedinBuyer’spurchaseordersorothercommunicationsordocumentswillnotbedeemedawaiveroftheseprovisions.

1.General.ThesetermsandconditionsofsalearetheentireagreementbetweenthepartiesregardingthetransactionhereunderandwithrespecttotheProducts,unlessotherwiseexpresslyagreedinwritingbySELLERandBuyer.Theysupersedeanypriororcontemporaneouscommunications,representationsoragreementsbetweentheparties,whetheroralorwritten,regardingtransactionshereunderortheProducts.AnypurchaseorderissuedbyBuyerfortheProductsisforinformationalandschedulingpurposesonly.ThetermsandconditionsofBuyer’spurchaseordersareofnoforceoreffectandallsalesoftheProductsareandwillbecontrolledbythesetermsandconditions.Nomodificationstothesetermsandconditionshereinisenforceableexceptwheninawritingthatidentifiesitselfasanamendmenttothesetermsandconditionsandwhichissignedbybothparties.

2.QuotationandPrices.AllquotationsaresubjecttothetermsandconditionsstatedhereinaswellasanyadditionaltermsandconditionsthatmayappearonSELLER'squotation.InthecaseofaconflictbetweenthetermsandconditionsstatedhereinandthoseappearingonSELLER'squotation,thesetermsandconditionswillcontrolunlessthequotationexpresslyprovidesotherwise.Unlessotherwisespecifiedinwriting,allquotationsarefirmandvalidfortheperiodoftimespecifiedonthequotation.Budgetaryquotationsandestimatesareforpreliminaryinformationonlyandshallneitherconstitutefirmoffers,norimposeanyresponsibilityorliabilityuponSELLER.SELLERisnotresponsibleforpricing,typographical,orothererrors,inanyquotationorofferbySELLERandreservestherighttorejectorcancelanyordersresultingfromsucherrors.

3.Orders.SELLERreservestherighttoacceptorrejectallordersandtocancelanyordersinSELLER'ssolediscretion.

4.TitleandDelivery.UnlessotherwiseagreedtoinwritingbySELLER,allsalesaremadeExWorks（INCOTERMS2010）pointofshipment,SELLER’sfacility.TitleandriskoflosswillpasstoBuyerupontenderbySELLERorSELLER’srepresentativestothecarrieratSELLER’sshippingpoint.DeliveryisthetimetheProductismadeavailabletocarrierforpickupaSELLER’sfacility.DeliverydatesareapproximateandarebaseduponpromptreceiptofallnecessaryitemsandinformationfromBuyer（whichmayincludepayment）.SELLERisnotliablefordelayindelivery（ornon-delivery）duetocausesbeyondSELLER'scontrol,including,butnotlimitedto,actsofGod,actsofBuyer,actsofcivilormilitaryauthority,actsofterrorism,war,riots,priorities,fires,strikes,lockouts,delaysintransportationandinabilityduetocausesbeyondSELLER'sreasonablecontroltoobtainnecessarylabor,materials,manufacturingfacilities,orcompliancewithanylaw,regulationororder,whethersuchcircumstancesorcauseshavebeenremedied.SELLERreservestheright,initssolediscretion,toallocateinventoriesandcurrentproductionandsubstitutesuitablematerialswhen,itsopinion,suchallocationorsubstitutionisnecessaryduetoanysuchcircumstancesorcauses.Nopenaltyclauseofanykindshallbeeffective.

5.Prices.BuyerwillbebilledatthepricesinthelistpriceorspecificallyquotedtoBuyeratthetimeofSELLER'sacceptanceoftheorder.Allpublishedpricesaresubjecttochangewithoutnotice.UnlessotherwisestatedinwritingbySELLER,allpricesquotedandbilledareexclusiveoftransportationfees,insurance,taxes（including,withoutlimitation,anyusetax,salestax,VATorsimilartax）,licensefees,customsfees,dutiesandotherchargesrelatedthereto,andBuyershallreportandpayanyandallsuchshippingcharges,premiums,taxes,fees,dutiesandotherchargesrelatedthereto,andshallholdSELLERharmlesstherefrom.

6.Payment.Paymenttermsarestatedinthequotationoracknowledgmentdocumentation,andaresubjecttochangeifCustomer’sfinancialconditionorpaymentrecordmeritssuchchange.BuyermaybesubjecttoacreditcheckandSELLERreservestherighttorequireBuyertomakeapaymentinadvanceofreceiptofProducts.SELLERmayrequirethatinternationalordersareaccompaniedbyanirrevocableletterofcreditconfirmedthroughaU.S.bankacceptabletoSELLERandtobedrawnatsightwhenpresentedwithproperdocumentsconsistingof

（1）signedcommercialinvoiceintriplicateand

（2）cleanairwaybillfortheProduct.Alternately,SELLERmayrequirepaymentorawiretransferoffundsbereceivedbeforeshipment.Pastduebalancesshallbesubjecttoafinancechargeofthelesserof1.5%permonthorthemaximumamountallowedbylaw.Buyeragreestoacceptpartialshipmentsinsatisfactionofasingleorder;whenpartialshipmentsaremade,pro-ratapaymentsshallbecomedueinaccordancewiththedesignatedtermsforeachshipment.SELLERmaywithdrawcredit,suspendorcancelperformanceunderanyordersordelaydeliveryofProductsintheeventBuyerfailstocomplywiththesepaymentterms.AllpaymentmustbeinUnitedStatesdollars.

7.Taxes.Buyershallpaysales,use,valueadded,goodsandservices,andallothersimilartaxesimposedbyanyforeign,federal,state,orlocalgovernmentalentityforitemsand/orservices,andallothersimilartaxesimposedbyanyforeign,federal,state,orlocalgovernmentalentityforProductspurchasedpursuantthetermsandconditionssetforthherein,excludingtaxesbasedsolelyonSELLER'snetincome.

8.MaterialDefault.IfBuyerbecomesinsolventorbankruptcyproceedingsareinstitutedagainstBuyerorBuyermakesanassignmentforthebenefitofitscreditors,anysucheventshallbedeemedamaterialdefault,entitlingSELLERtoceaseperformanceandtoavailitselfofalllegalorequitableremediesitmayhaveagainstBuyer.

9.CancellationandReturns.Allordersarefirmandnon-cancellablebyBuyer.BuyerisresponsibleforthefullpriceofProductsasordered.Terminationbymutualagreementissubjecttothefollowingconditions:

（a）BuyerwillpayforallProductswhicharecompletelymanufacturedandallocabletoBuyeratthetimeofSELLERreceiptofnoticeoftermination;and（b）BuyerwillpayallcostswhichhavebeenincurredbySELLERwithregardtoProductswhichhavenotbeencompletelymanufacturedatthetimeofSELLER’sreceiptofanynoticeoftermination,plusaprorataportionofnormalprofitontheorderusingSELLERstandardaccountingpractices.SELLERreservestherighttocancelordelayshipmentofanyordersplacedbyBuyerandacceptedbySELLER,ifBuyer:

（x）failstomakeanypaymentsasprovidedherein,（y）failstomeetreasonablecreditorfinancialrequirementsestablishedbySELLER,or（z）otherwisefailstocomplywiththetermsandconditionssetforthherein.ProductreturnsaresubjecttoSELLERapprovalandapplicablecharges.

10.Changes.UponwrittenacceptanceofSELLER,BuyermaymakechangesinthemodelortypeofProductsorderedorinthetimeorplaceofdeliveryororderquantity.Changeofproductorreductioninorderquantitiesand/orextensionordelayofscheduledshipmentdateswillbesubjecttopriceadjustmentasdeterminedbySELLERandagreedtobytheBuyer.SELLERreservestherighttorejectanyproposedchangesandthustheoriginalpurchaseproduct,orderquantities,shipmentdates,andpricesshallremainineffect.

11.ModificationsandDiscontinuance.SELLERreservestheright,initssolediscretionandatanytime,tomodifyanyoftheProductsandtoceasemakinganyoralloftheProductsavailable.UponwrittennoticeofdiscontinuanceofanyoftheProductsfromSELLER,Buyermaycancel,withoutcharge,alloutstandingordersforProductsthatarediscontinued.

12.Installation.BuyershallinstallProductssolelyinamannerconsistentwiththethen-currentinstallationguidedocumentationsuppliedbySELLER.SELLERreservestherighttochangetheinstallationguidefromtimetotime.AccesstoInstalledProducts.BuyershallensurethatSELLERhasreasonableaccesstoinstalledProductssothatSELLERcanmeasuretheirperformanceonanon-goingbasisthroughoutthelifeoftheProducts.Withoutlimitation,BuyershallobtaintherightinitscontractswiththeendcustomerforSELLERtoaccessandremotelymonitortheinstalledProducts.

13.ProductRegulationsandDownstreamContracts.BuyeracknowledgesthattheProductsaresubjecttoregulationsinvariouscountriesandjurisdictionsandmayberesold,installedandusedonlyinthosecountriesandjurisdictionsidentifiedinthedocumentationsuppliedbySELLERand,ineachofthosecountriesandjurisdictions,solelyforspecificapplicationsthathavebeenapproved.AspartofanysaleordistributionofanysystemthatincorporatestheProducts,Buyershallensurethatthepurchaseragreesinwritingtobeboundby,andadheresto,acontractthatcontaintermsandrestrictionsthatareconsistent
