CHAPTER1GENERALPROVISIONS

AsaChinesecorporate,theCompanyisunderthegovernanceandprotectionofChineselaws.Whileconductingitsbusiness,thecompanymustcomplywiththestipulationsoftheChineselaws,decreesandrelevantregulations,observethepublicvirtue,acceptthesupervisionfromthegovernmentandthepublicandshallbearthesocialresponsibility.

Iftheregisteredcapitalispaidininstalments,thecontributiontothefirstinstalmentshallnotbelessthan15%ofitssubscribedcapital.Itisnotlessthanthestatutoryminimumamountofregisteredcapital;thefirstinstalmentshallbepaidwithinthreemonthsupontheissuanceofbusinesslicense.TherestpartofthecapitalcontributiontimeshallbeconformedbytheprovisionsoftheCompanyLaw,therelevantforeigninvestmentlawsandtheregulationsontheAdministrationofCompanyRegistrationRegulations.Otherlaws,administrativeregulationsshallpaythewholecapitalbyshareholderswhenthecompanyfounded,withitsprovisions.

Article12

Generally,thecompanyinthebusinessperioddoesnotreduceitsregisteredcapital.

Article13

（suchasforeigninvestorsjointventure）anyoftheinvestmentpartiestransferofallorpartofitsequitytoathirdparty,investorsshallbeconsentedbytheotherpartiesandreporttotheoriginalexaminationandapprovalauthorityforapproval.Onepartyoftheinvestorstransferallorpartofitsstockrights,theotherpartiesshallhavethepre-emptiverights.
