乙方申请在中国美术馆举办Chanel服饰展。
该展览申请书于2009年9月24日，中国美术馆展览资格评审会议通过，同意举办。
现就乙方在甲方的展厅中办展的有关具体事宜，经双方友好协商，达成如下协议：
PartyBappliesinNationalArtMuseumofChina（NAMOC）.TheapplicationformhadbeenadoptedandapprovedbythequalificationassessmentmeetingofNAMOConSeptember242009.Subjecttorelevantdetailsoftheexhibitionuponamicablenegotiationbothpartiesherebyconcludetheagreementasfollows:

7、举办展览所具有的基本条件Requirementsofexhibition:
1、展品的交接Exhibithandover：
布展及撤展前，甲方人员与乙方的法定代表人或特别授权的委托代理人一起，根据乙方提供的展品目录对展品进行清点，确认展品的数量、尺寸、材质、装潢和作者等。
交接完成后，双方应签署书面的交接确认书。
Beforeinstallationanddismantling,thepersonnelofPartyAandlegalrepresentativeorauthorizedagentofPartyBshallcounttheexhibitstogetheraccordingtotheexhibitlistprovidebyPartyBinordertoconfirmthequantity,size,materials,decorationandoriginatorofexhibits.Bothpartiesshallsignthewrittenformofhandoverconfirmationafterhandover.
2、展品的悬挂和安置Hangingandallocationofexhibits：
甲方负责提供基本的设备和专业人员确保乙方展品的悬挂和安置工作顺利进行。
乙方如对展品的悬挂和安置有特殊要求的，应以书面形式向甲方提出，由此产生的额外费用由乙方承担。
PartyAisresponsibleforprovidingbasicequipmentsandprofessionalpersonnelinordertoensurethehangingandallocationofexhibitsofPartyBgoingsmoothly.IncaseofanyspecialrequirementonhangingandallocationofexhibitsfromPartyB,PartyBshallproposeinwrittenformtoPartyAandbearextraexpensesresultingfromit.
3、展品的布置Installationofexhibits：
乙方委派具有布置展览经验的设计专业人员，在双方确认的展厅位置完成展品布置，甲方派人员予以协助。
PartyBdispatchesprofessionaldesignpersonnelwithexperiencesofexhibitioninstallationtofulfilltheinstallationattheplacesinexhibitionhallconfirmedbybothpartieswiththeassistanceofPartyA.
4、展品保存措施Conservationofexhibits：
（包括温度、湿度、光照、空调、通风条件以及安全诸方面的要求。

5、撤展Dismantling：
由甲方派人员与乙方共同清点展品，确认无误双方签署交接确认书后，乙方人员将展品包装运出，甲方派人员协助乙方办理撤展的有关事项。
PartyAdispatchespersonneltocountexhibitswithPartyB.Afterbothpartiesconfirmandsignhandoverconfirmationform,thepersonnelofPartyBshalltransportthepackagesofexhibitsoutofsiteandPartyAwillassistPartyBintheissuesrelevanttodismantling.
第二条Article2：
展览费用及付款日期Expensesofexhibitionanddateofpayment：
1、展览费用由以下两部分组成Theexpensesofexhibitionarecomposedof：
（1）展厅费用Expenseofexhibitionhalls：
甲方提供乙方使用的是：
13、14、15、16、17号5个展厅，时间从
2011年10月18日9时至2011年12月21日17时，共计65天（含布撤展时间）。
13-17号展厅联合使用费用标准为￥【】/天；19-21号展厅联合使用费用标准为￥【】／天，计人民币【】元（￥【】/）。

（2）其他费用Otherexpenses：

2、付款日期DateofPayment：
本协议双方正式签字生效后10天内，乙方向甲方支付全部展览费的40%，即人民币

within10daysaftertheformalsignatureandeffectivenessoftheagreement,PartyBshallpay40%ofalltheexhibitionexpenseofeighthundredninetyseventhousandChineseYuan（RMB【】）asadvancement,andresidual60%（RMB【】）shallbepaidtoPartyA90daysbeforeinstallation.
3、 乙方支付给甲方的费用，均汇至下列开户帐号：

第三条Article3权利和义务Rightsandobligations：
一、甲方的权利和义务RightsandobligationsofPartyA
1、甲方有权在乙方提供的相关文字、图片资料基础上复审并确认乙方（展览名称）
展览布置和展品等实际情况。
甲方有权拒绝乙方展品中情况不明、著作权有纠纷和不宜展出的作品展出；如发现乙方未经甲方同意擅自邀请第三方参展，或将展厅全部或部分转租给第三方，甲方有权立即中止展览，情节严重的终止本协议，乙方已付款项不予退还，并由乙方赔偿所造成的甲方其他损失。
PartyAisentitledtoreviewandconfirmtheactualsituationofexhibitionlayoutandexhibitsofofPartyB（exhibitionname）basedonthewords,picturesandotherdocumentsprovidedbyPartyB.PartyAisentitledtorefuseanyexhibitofPartyBwithambiguouscondition,exhibitswithdisputesofcopyrightornotproperforexhibition;ifPartyBinvitesanythirdpartytoparticipateinexhibitionwithoutapprovalofPartyA,orsubleaseallorpartexhibitionhalltoanythirdparty,PartyAisentitledtoterminateexhibitionoreventerminatethisagreementunderseriouscircumstances,whereanyamountpaidbyPartyBwillnotberefundedandotherlossofPartyAresultingfromPartyBshallbecompensatedbyPartyB.
2、甲方有权拒绝乙方在展览过程中临时撤换展品，出售展品以及提前撤展；
PartyAisentitledtorefusetemporarywithdrawalorchangeanyexhibit,salesofexhibitordismantlingbeforetheduedateduringexhibition.
3、甲方有权向乙方在展览期间对甲方展厅中的设备等财产（见附件1财务清单）的损坏后果要求赔偿；
PartyAisentitledtorequestcompensationofitspropertyforanydamage（seedetailsinAnnex1PropertyList）inexhibitionhallofPartyAduringexhibition.
4、甲方有权按约定向乙方收取展厅费及与展览有关的其它费用。
对乙方因展品提前入馆、延期撤走而需要甲方提供仓储保管的，甲方有权按中国美术馆的规定向乙方收取费用（每天每平方米10元）；
PartyAisentitledtostipulatetheexpensesofexhibitionhallandotherexpensesrelatedtoexhibitionasagreed.ForanystorageprovidedbyPartyAforPartyB’sexhibitsenteringaheadofscheduleorremovingpostponed,PartyAisentitledtochargePartyBforexpenses（10RMB/day/m2）accordingtotherulesofNAMOC.
5、展览期间的门票收入归甲方所有；
TherevenueofadmissionticketsduringexhibitionbelongstoPartyA;
6、如遇国家安排的重大展览活动，甲方有权中止本协议的执行，并与乙方协商变更展览日期和展厅。
如乙方拒绝，即视为放弃，并退还乙方已付款；如乙方同意变更，甲乙双方应签订补充协议；
Incaseofanyexhibitionactivitiesarrangedbythegovernment,PartyAisentitledtopausetheexecutionofthisagreementandnegotiatewithPartyBforchangeofexhibitiondateandhalls.TherefusalofPartyBshallbeconsideredaswaiverandtheamountpaidbyPartyBshallbereturned.IfPartyBagreestochange,bothpartiesshallconcludesupplementaryagreement.
7、甲方保证按双方确认的展览的基本条件，提供必要的展厅内温度、湿度、光照、空调和通风条件；
PartyAguaranteestoprovidenecessaryconditionsofexhibitionhallssuchastemperature,humidity,light,air-conditionandventilationbasedontheconditionsconfirmedbybothparties.
8、乙方要求甲方对价值巨大的作品或有特殊要求的作品给予特殊保护的，甲方有权向乙方收取相关费用；
IfPartyBrequestsPartyAtoprovidespecialprotectionforvaluableworksorspecialworks,PartyAisentitledtochargerelevantexpensesfromPartyB.
9、甲方提供展览的户外宣传广告、开幕式屏风、导示牌、前言的制作和安装,有偿提供投影仪、射灯的使用（附件3）；
PartyAprovidesthemanufactureandinstallationofoutdooradvertisements,screenofopeningceremony,guidebrandandreceptionforexhibitionandprojectorandspotlightwithpay（Annex3）.
10、甲方负责提供布展所需的相关设备及人员服务；开幕式所需的音响、剪彩设备及贵宾室。
PartyAisresponsiblefortheservicesofrelevantequipmentandpersonnelnecessaryforexhibitioninstallation,audioequipments,ribboncuttingequipmentsandVIProomforopeningceremony.
11、甲方有义务配合乙方撤展。
PartyAisobligedtocooperatewiththedismantlingofPartyB.
二、乙方的权利和义务RightsandobligationsofPartyB
1、本协议书生效后，乙方有权按规定的时间进入甲方的展厅内布展，按期展出和到期撤展；
Aftertheagreementcomesintoforce,PartyBisentitledtoentertheexhibitionhallsofPartyAforinstallation,arrangeexhibitionanddismantlingaccordingtoregulatedschedule.
2、如展厅内条件不符合标准情况，乙方有权要求甲方调整展品所需的温度、湿度、光照、空调和通风条件；
Iftheconditionsarenotqualifiedforstandards,PartyBisentitledtorequestPartyAtoadjustthetemperature,humidity,light,air-conditionandventilationnecessaryforexhibits.
3、乙方应严格遵守甲方的安全管理规定，按照国家颁布的安全技术规范标准进行布展工作。
PartyBshouldstrictlycomplywiththesecuritymanagementregulationsofPartyAandmakeinstallationofexhibitionaccordingtothesafetytechnicalstandardspromulgatedbythegovernment.
4、乙方应自行购买展览期间展品的意外保险，对价值巨大的作品或安全措施有特殊要求的作品，乙方应就该作品的保护工作与甲方签订补充协议并支付相关费用；
PartyBshallpurchaseaccidentinsuranceforexhibits,andconcludesupplementaryagreementandpayrelevantexpenseswithPartyAforspecialprotectionforvaluableworksorsecuritymeasures.
5、乙方应遵守甲方的各项办展规章制度（见附件2），布撤展及开馆时间；
PartyBshallcomplywithalltheregulationsandrulesofPartyA（Annex2）andthescheduleofinstallation,dismantlingandopentime.
6、乙方有权印制请柬500张（每柬一人），并交甲方认证。
