QualityDisputes

Incaseofanyqualitydiscrepancy,PartyBshallinformPartyAinwritingandprovidewrittentestreportandresultaswellasproducttracknumberofPartyA.IfPartyAhasanyobjections,afterinspectionbyitsownqualitycontroldepartment,ontestreportandresultsubmittedbyPartyB,PartyAshallsendPartyBwrittenfeedbackandrelevantevidencewithin****days;otherwisePartyAwillbedeemedinagreeingtoqualityissuesraisedbyPartyB.IfPartyAidentifiesaftertestingtheissuesasattributedtoitsownproductandqualityproblems,itshall,forbulkpurchase,immediatelyarrangeforexchangingorreturningofdefectiveproducts;andforsmallquantity,exchangetheproductsatnextdelivery.AllfeesincurredshallbebornebyPartyA.

However,adefectivepercentagelessthan****（excludingstresswafer）shallberegardedasnormalconveyancelossoutofthescopeofreplacementandreturning.QualityproblemsduetoimproperoperationofPartyBduringinspectionandproductionisnotcoveredbyPartyA.

III.

InspectionMethodsandTimeLimitforObjection:

InthecasethatPartyBfindsanyqualityproblemsaccordingtocontractedtechnicalstandard,objectionshallbesenttoPartyAwithin****daysafterreceiptofproducts.Ifnowrittenobjectionisraisedwithintheperiod,itisdeemedthatthequalityofPartyA'sproductsisqualifiedwithcontractrequirements.

VI.

Advancepayment,SettlementandDeadline

1.

PartyB（Buyer）agreestopay****before****,2008asthepaymentofJanuary2009.Fromthe****2009,PartyBagreestopayon****eachmonth,andPartyAagreestoshipthewaferson****daysaftergettingthefullpaymentfromPartyB.EachmonthaftergettingthefullpaymentfromPartyB,PartyAshouldmaketheshipmenttoPartyB.PartyAshouldship****pcstoPartyBatJanuary2009,theremained****asthedepositofPartyB.AndPartyAshouldship****pcspermonthforthenext10months,andon****2009,PartyAshouldship****pcstogetherwiththeremained****pcstoPartyB（TotalshipmentonDecember2009is315,000pcs.）.Thepaymenttermforthewholeyearcontractisthesame.

2.

PartyBshalltakethefullpaymentbeforeeachshipment,andtheinvoiceshallbeissuedtoPartyBwithinaweekaftertheconsignmentbyPartyA.

3.

ThetermoftheContractshallbeoneyearcontinuouslycommencingonJanuary 1st2009andendingonDecember 31st2010.Andthepriceis****fromJanuary 1st2009toJuly 1st,2009,PartyAandPartyBwillfurtherdiscussthepriceuponthesituationforthenextsixmonths'price.

VII.

TransferoftheOwnershipofGoods:

TheownershipofthegoodsshallbetransferredtoPartyBafterthedelivery.

VIII.

LiabilityforBreachofContract

1.

Ifthemodel,specification,andtechnicalparameterofthegoodsconsignedbyPartyAarenotinaccordancewiththecontract,PartyBshallcontactwithPartyApromptlyaccordingtotheactualsituation.PartyAshallmakeconfirmationandsolutionwithin****days.IfthereareanygoodswithqualityproblemsconfirmedbyPartyA,PartyBshallbeentitledtoexchangeatthenextdeliverytaking.Ifbothpartieshereofconfirminwritingonproductreturning,PartyAshallrefundtoPartyBtheamountofmoneyforthereturnedproducts

2.

IncaseofPartyA'soverduedeliveryorPartyB'soverduepayment,thedefaultingpartyshallpaytheotherpartythepenaltyof****oftheoverdueproductvalueorpaymentforeachdelayedday.

3.

AnypartybreachingtheAgreementshalltakeliabilitiesforbreachofcontractandcompensatefortheeconomiclosstotheotherpartyincurredbytheviolation.Thecompensationamountshallbeequaltothelosscausedbythebreach,includingthebenefitsthatmaybeacquiredafterfulfillmenttheAgreement,butshallnotexceedthepossiblelossthatshouldbeforeseenatestablishmentofcontractbythedefaultingparty.

IfthebothpartieshereofdecidetoterminatetheAgreementafterfriendlyconsultation,PartyAshallwithin****workingdaysrefundtoPartyBtheamountofmoneyofremaining****pcsofwafers****;incaseoffailingtodothat,****oftheamountforeachdelayeddayshallbepaidasapenalty.

5.

IfPartyBisofanyofthefollowingbreachingactivities,itshallpayapenaltytoPartyBasperthefollowingprovisions:

IfPartyBviolatetheContractorfailtoimplementthisContract,PartyAmaywithholdalltheadvancepaymentbyPartyB,andPartyBshallcompensatefortheeconomiclossestoPartyAincurredbyitsnofulfillmentofthisContract.

6.

IfPartyAisofanyofthefollowingbreachingactivities,itshallpayapenaltytoPartyBaccordingtothefollowingprovisions:

ForbreachoftheContractorfailingtosupplywithproducts,PartyAmustrefundalltheadvancepayment（freeofinterest）byPartyBwithin****workingdays,andalsobeartheeconomiclossestoPartyBincurredbyitsfailingtosupplywithproductsasrequired.IncasethatPartyAfailstorefundtheadvancepaymentintime,itshallpayPartyBapenaltyof****oftheadvancepaymentforeachdelayedday.

7.

Fortheaboveterms,bothpartiesagree****.ButfromtheFebruary,ifPartyBdoesnotpaywithin****orPartyAdoesnotshipthewaferswithin****afterpayment,thepartyisregardedasbreakingthecontractandneedtopay5timesasthedepositamount****ascompensationtotheotherparty.Thenon-breachingpartyisentitledtodecidewhethertocontinuethecontractornot.

IX.

DisputeResolution:

AlldisputesarisingfromsignatureandfulfillmentoftheContractorrelatingtootherbusinessbetweenbothPartiesshallbedealtwiththroughconsultation;ifnoagreementsarereachedafterconsultation,anypartymaysubmitforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissionShanghaiCommission,andtherelatedcostshallbebornbythefailingparty.

X.

Confidentiality:

AlltermsandconditionsofthisContractaswellasanysupplementagreementshallbedeemedasconfidentialinformationbybothPartiesandtheiremployees,agents,representativesandconsultants;Anypartyshallnotdisclosetoanythirdpartywithouttheconsentoftheotherparty.

XI.

ForceMajeure:

IfanyofthetwopartiesfailstoperformitsobligationsunderthisContractduetoanyForc
