AGREEMENTONTRADE-RELATEDASPECTSOF

INTELLECTUALPROPERTYRIGHTS

Members,

Desiringtoreducedistortionsandimpedimentstointernationaltrade,andtakingintoaccounttheneedtopromoteeffectiveandadequateprotectionofintellectualpropertyrights,andtoensurethatmeasuresandprocedurestoenforceintellectualpropertyrightsdonotthemselvesbecomebarrierstolegitimatetrade;

Recognizing,tothisend,theneedfornewrulesanddisciplinesconcerning:

(a)theapplicabilityofthebasicprinciplesofGATT1994andofrelevantinternationalintellectualpropertyagreementsorconventions;

(b)theprovisionofadequatestandardsandprinciplesconcerningtheavailability,scopeanduseoftrade-relatedintellectualpropertyrights;

(c)theprovisionofeffectiveandappropriatemeansfortheenforcementoftrade-relatedintellectualpropertyrights,takingintoaccountdifferencesinnationallegalsystems;

(d)theprovisionofeffectiveandexpeditiousproceduresforthemultilateralpreventionandsettlementofdisputesbetweengovernments;and

(e)transitionalarrangementsaimingatthefullestparticipationintheresultsofthenegotiations;

Recognizingtheneedforamultilateralframeworkofprinciples,rulesanddisciplinesdealingwithinternationaltradeincounterfeitgoods;

Recognizingthatintellectualpropertyrightsareprivaterights;

Recognizingtheunderlyingpublicpolicyobjectivesofnationalsystemsfortheprotectionofintellectualproperty,includingdevelopmentalandtechnologicalobjectives;

Recognizingalsothespecialneedsoftheleast-developedcountryMembersinrespectofmaximumflexibilityinthedomesticimplementationoflawsandregulationsinordertoenablethemtocreateasoundandviabletechnologicalbase;

Emphasizingtheimportanceofreducingtensionsbyreachingstrengthenedcommitmentstoresolvedisputesontrade-relatedintellectualpropertyissuesthroughmultilateralprocedures;

DesiringtoestablishamutuallysupportiverelationshipbetweentheWTOandtheWorldIntellectualPropertyOrganization(referredtointhisAgreementas"WIPO")aswellasotherrelevantinternationalorganizations;

Hereby agreeasfollows:

PARTI

GENERALPROVISIONSANDBASICPRINCIPLES

Article1

NatureandScopeofObligations

1.MembersshallgiveeffecttotheprovisionsofthisAgreement.Membersmay,butshallnotbeobligedto,implementintheirlawmoreextensiveprotectionthanisrequiredbythisAgreement,providedthatsuchprotectiondoesnotcontravenetheprovisionsofthisAgreement.MembersshallbefreetodeterminetheappropriatemethodofimplementingtheprovisionsofthisAgreementwithintheirownlegalsystemandpractice.

2.ForthepurposesofthisAgreement,theterm"intellectualproperty"referstoallcategoriesofintellectualpropertythatarethesubjectofSections1through7ofPartII.

3.MembersshallaccordthetreatmentprovidedforinthisAgreementtothenationalsofotherMembers.Inrespectoftherelevantintellectualpropertyright,thenationalsofotherMembersshallbeunderstoodasthosenaturalorlegalpersonsthatwouldmeetthecriteriaforeligibilityforprotectionprovidedforintheParisConvention(1967),theBerneConvention(1971),theRomeConventionandtheTreatyonIntellectualPropertyinRespectofIntegratedCircuits,wereallMembersoftheWTOmembersofthoseconventions.AnyMemberavailingitselfofthepossibilitiesprovidedinparagraph 3ofArticle5orparagraph 2ofArticle 6oftheRomeConventionshallmakeanotificationasforeseeninthoseprovisionstotheCouncilforTrade-RelatedAspectsofIntellectualPropertyRights(the"CouncilforTRIPS").

Article2

IntellectualPropertyConventions

1.InrespectofParts II,IIIandIVofthisAgreement,MembersshallcomplywithArticles 1through12,andArticle19,oftheParisConvention(1967).

2.NothinginParts ItoIVofthisAgreementshallderogatefromexistingobligationsthatMembersmayhavetoeachotherundertheParisConvention,theBerneConvention,theRomeConventionandtheTreatyonIntellectualPropertyinRespectofIntegratedCircuits.

Article3

NationalTreatment

1.EachMembershallaccordtothenationalsofotherMemberstreatmentnolessfavourablethanthatitaccordstoitsownnationalswithregardtotheprotectionofintellectualproperty,subjecttotheexceptionsalreadyprovidedin,respectively,theParisConvention(1967),theBerneConvention (1971),theRomeConventionortheTreatyonIntellectualPropertyinRespectofIntegratedCircuits.Inrespectofperformers,producersofphonogramsandbroadcastingorganizations,thisobligationonlyappliesinrespectoftherightsprovidedunderthisAgreement.AnyMemberavailingitselfofthepossibilitiesprovidedinArticle 6oftheBerneConvention(1971)orparagraph1(b)ofArticle 16oftheRomeConventionshallmakeanotificationasforeseeninthoseprovisionstotheCouncilforTRIPS.

2.Membersmayavailthemselvesoftheexceptionspermittedunderparagraph 1inrelationtojudicialandadministrativeprocedures,includingthedesignationofanaddressforserviceortheappointmentofanagentwithinthejurisdictionofaMember,onlywheresuchexceptionsarenecessarytosecurecompliancewithlawsandregulationswhicharenotinconsistentwiththeprovisionsofthisAgreementandwheresuchpracticesarenotappliedinamannerwhichwouldconstituteadisguisedrestrictionontrade.

Article4

Most-Favoured-NationTreatment

Withregardtotheprotectionofintellectualproperty,anyadvantage,favour,privilegeorimmunitygrantedbyaMembertothenationalsofanyothercountryshallbeaccordedimmediatelyandunconditionallytothenationalsofallotherMembers.Exemptedfromthisobligationareanyadvantage,favour,privilegeorimmunityaccordedbyaMember:

(a)derivingfrominternationalagreementsonjudicialassistanceorlawenforcementofageneralnatureandnotparticularlyconfinedtotheprotectionofintellectualproperty;

(b)grantedinaccordancewiththeprovisionsoftheBerneConvention(1971)ortheRomeConventionauthorizingthatthetreatmentaccordedbeafunctionnotofnationaltreatmentbutofthetreatmentaccordedinanothercountry;

(c)inrespectoftherightsofperformers,producersofphonogramsandbroadcastingorganizationsnotprovidedunderthisAgreement;

(d)derivingfrominternationalagreementsrelatedtotheprotectionofintellectualpropertywhichenteredintoforcepriortotheentryintoforceoftheWTOAgreement,providedthatsuchagreementsarenotifiedtotheCouncilforTRIPSanddonotconstituteanarbitraryorunjustifiablediscriminationagainstnationalsofotherMembers.

Article5

MultilateralAgreementsonAcquisitionor

MaintenanceofProtection

TheobligationsunderArticles 3and4donotapplytoproceduresprovidedinmultilateralagreementsconcludedundertheauspicesofWIPOrelatingtotheacquisitionormaintenanceofintellectualpropertyrights.

Article6

Exhaustion

ForthepurposesofdisputesettlementunderthisAgreement,subjecttotheprovisionsofArticles 3and4nothinginthisAgreementshallbeusedtoaddresstheissueoftheexhaustionofintellectualpropertyrights.

Article7

Objectives

Theprotectionandenforcementofintellectualpropertyrightsshouldcontributetothepromotionoftechnologicalinnovationandtothetransferanddisseminationoftechnology,tothemutualadvantageofproducersandusersoftechnologicalknowledgeandinamannerconducivetosocialandeconomicwelfare,andtoabalanceofrightsandobligations.

Article8

Principles

1.Membersmay,informulatingoramendingtheirlawsandregulations,adoptmeasuresnecessarytoprotectpublichealthandnutrition,andtopromotethepublicinterestinsectorsofvitalimportancetotheirsocio-economicandtechnologicaldevelopment,providedthatsuchmeasuresareconsistentwiththeprovisionsofthisAgreement.

2.Appropriatemeasures,providedthattheyareconsistentwiththeprovisionsofthisAgreement,maybeneededtopreventtheabuseofintellectualpropertyrightsbyrightholdersortheresorttopracticeswhichunreasonablyrestraintradeoradverselyaffecttheinternationaltransferoftechnology.

STANDARDSCONCERNINGTHEAVAILABILITY,SCOPE

ANDUSEOFINTELLECTUALPROPERTYRIGHTS

SECTION1:

COPYRIGHTANDRELATEDRIGHTS

Article9

RelationtotheBerneConvention

1.MembersshallcomplywithArticles1through21oftheBerneConvention(1971)andtheAppendixthereto.However,MembersshallnothaverightsorobligationsunderthisAgreementinrespectoftherightsconferredunderArticle6bisofthatConventionoroftherightsderivedtherefrom.

2.Copyrightprotectionshallextendtoexpressions
