　　根据《中华人民共和国合同法》及有关规定，为明确出租方与承租方的权利义务关系，经双方协商一致，签订本合同。

　　InaccordancewithContractLawofPRC.andotherrelatedregulations，inordertodefiniterightsanddutiesoftheLessorandtheLessee，PartyAandPartyBagreetosignthisOfficeLeaseAgreementafternegotiation.

　　第一条办公室座落、间数、面积、面积计算

　　ARTICLE1：

Location，Amount，AreaoftheRoomanditsCalculation

　　甲方向乙方提供甲方货运站内楼No.房间，使用面积

　　平方米，作为其在货运站的操作办公用房。

　　PartyAshallprovidePartyBwithroom（s）ofNo.withtheutilityareaof

　　squaremetersasPartyBsoperationofficeinPACTL.

　　第二条办公室配套设施及服务

　　ARTICLE2：

AuxiliaryEquipmentandService

　　甲方将以办公室的目前自然状况交与乙方，并提供以下货运站内办公室配套设施的使用及服务：

　　PartyAshallhandovertheroom（s）atthepresentnaturalconditiontoPartyB，andprovidethefacilitiesuseandservicesinPACTLasfollows：

　　1.公共照明

　　Illuminationpowersupply

　　2.自来水（饮用水除外）

　　Runningwater（notincludingdrinkingwater）

　　3.空调设备

　　Airconditionequipment

　　4.公共卫生间

　　Publictoilets

　　5.公共区域清洁

　　Cleaninginpublicarea

　　乙方同意按其办公室内独立的电表读数和上海市物价局规定的电费价格，支付每月的用电费用。

　　PartyBagreestopayelectricityfeemonthlyaccordingtotheelectricitypriceregulatedbyShanghaiPricingBureauandthereadingsofseparateammeterforitsoffice.

　　第三条租赁期限

　　ARTICLE3：

LeaseTerm

　　1.租赁期共年零月，出租方从年月日起将出租办公室交付承租方使用，至年月日收回。

　　LeaseTermis（years）（months）PartyAshallhandovertheroomstoPartyBonandtakethembackon.

　　2.任何一方终止合同或变更合同内容，均需提前60天书面通知对方，否则，本合同被视为自动延续。

　　Eachpartyhastofurnishtheotherpartyatleast60dayswithpriorwrittennoticeforterminationorchangeinthisAgreement，otherwisethisAgreementshallbedeemedtoextendautomatically.

　　第四条权利和义务

　　ARTICLE4：

Rights，theadministrativerulesandregulationsregardingtocargoterminaloperationspermission.

（2）乙方利用承租办公室进行非法活动，损害公共利益的；

　　PartyBusestherentingofficeforillegalactivitiesandharmsthepublicbenefits.

　　（3）乙方拖欠租金累计达3个月的；

　　PartyBdelayspaymentfor3months.

　　（4）乙方有本合同第六条所涉及的甲方所不允许的行为的。

　　PartyBhasactivitiesthatPartyAdoesnotpermitasinArticle6.

　　4.合同期满后，如甲方仍继续出租办公室的，乙方享有优先权。

如乙方无故逾期不搬迁，由此给甲方造成的一切损失由乙方承担。

　　PartyBwillhaveprioritytoleaseifPartyAcontinuestorentouttheofficewhenthiscontractexpires.IfPartyBdelaystomoveoutattheendofleasetermwithoutacceptablereasons，PartyBwillbearalllosscausedtoPartyA.

　　第五条租金、物业管理费、电费以及交纳期限

　　ARTICLE5：

Rent，Propertymanagementfee，ElectricityfeeandPayment

　　1.租金：

每平方米2上调该物业管理费不大于15%.

　　PropertymanagementfeeisCNY5.00persquaremeterpermonth，totallyCNY.PartyAhastherightbasedonthepricingindextoincreasewithcertainamount（notsurpass15%）

　　3.租金及物业管理费的交纳期限：

乙方同意租金按季度于每季度的第一个月的10日前提前交付于甲方指定帐户内。

　　Paymentofrentandpropertymanagement：

PartyBagreestotransactthepaymenttobankaccountappointedbyPartyAbefore10thofthefirstmonthforeachquarter.

　　4.电费的交纳期限：

甲乙双方商定，除非另有约定，在每月的最后一天共同核定电表读数，然后由甲方向乙方发出付款通知书，乙方在收到该通知后的7个工作日内将该月的电费交付于甲方指定帐户内。

　　Paymentofelectricityfee：

unlessotherwisemutuallyagreedbytheParties，PartyAandPartyBtogetherconfirmthereadingofammeteronthelastdayofeachcalendarmonth，thenPartyAissuePartyBapaymentstatement.PartyBwillpaytheelectricityfeetothebankaccountappointedbyPartyAwithin7workingdaysuponthereceiptofthestatement.

　　第六条办公室的装修及使用

　　1.乙方如对办公室进行装修时，不得擅自改变办公室结构和原有风格，并在装修前向甲方提交办公室装修方案（内容包括：

设计图、所使用的装修材料、装修中使用的设备等），在获得甲方的书面同意后，装修方可进行，但甲方不得无理拒绝签发同意书。

　　PartyBshallnotchangethestructureandoriginalstyleoftheofficeduringdecorationwithoutPartyAswrittenconsent.PartyBisrequiredpriordecorationtorendertoPartyAastatementdetailingtheofficedecorationscheme，includingdesigndrawing，decorationmaterials，listofequipmenttobeusedandsoon.OnlywithwrittenconsentfromPartyA，whichshallnotbeundulywithheld，canthedecorationbecarriedout.

　　2.乙方如对办公室进行装修时，不得擅自改变办公室内的电源、通讯等线路和空调、喷淋等各种管路的原有走向，如确因使用电脑或其它办公设备而需增加电源插座时，应在装修方案中列明，获允许后方可施工，施工完毕后由甲方查验。

如有损坏，除负责修复外，还应对造成的后果承担全部责任。

　　PartyBshallnotchangethepowersupplyandcommunicationlines，pipelinesforairconditionerandsprinklerwithoutpermissionofPartyAduringdecoration.However，ifsomeadditionalpoweroutletsforcomputersandotherofficeequipmentwillreallybeinstalled，theyshouldbelistedintheofficedecorationscheme，andonlywithPartyAspermissioncanthedecorationbecarriedout，whichmustbecheckedbyPartyAafterthecompletionofthedecoration.Ifanydamageoccurstothosefacilities，PartyBshouldrepairthefacilitiesatitsowncostandberesponsibleforanyconsequenceofthesedamages.

　　3.鉴于办公室和地坪承载负荷限制，乙方如对办公室进行装修时，不得使用花岗石、大理石等重质材料作为地面装饰。

　　Consideringthebearingcapacityofthefloor，PartyBshallnotuseanyheavymaterials，suchasgraniteandmarble，todecoratethefloor.

　　4.为保持整个货运站建筑和装饰的统一性，乙方在进行办公室装修时，不得擅自变换办公室原有的门、窗及其外部颜色。

　　InordertokeeptheunityofthearchitectureanddecorationofthewholeCargoTerminal，PartyBshallnotchangethedoors，windowsandtheirexteriorcolorwithoutpermissionfromPartyAduringdecoration.

　　5.鉴于甲方已为乙方提供了空调设备，乙方在进行办公室装修时或办公室使用过程中，不得再安装任何形式的空调设备或取暖装置。

乙方同意，在办公室租用期间，不使用单体耗电量超过300瓦的电气设备，每个接电插座用电容量不超过10安培，以确保货运站的用电安全。

　　SincePartyAhasprovidedairconditionequipmentstoPartyB，PartyBshallnotinstallanyotherairconditionerorheatingdevicewhendecorationorindurationoftheofficeleased.ToensuretheelectricalsafetyoftheCargoTerminal，PartyBagreesnottouseelectricapplianceswithpowerconsumptionsurpassing300Winsingle，andcapacityofeachelectricityoutletisnolargerthan10A.

　　6.乙方同意不论何种原因致使乙方中止本合同，乙方在迁离货运站时，不得对原属于甲方所有的固定设备或装置造成损坏，并负责将所租用办公室恢复至租赁前原样，但办公室的正常损耗除外。

　　PartyBagreesthat，whenPartyBterminatestheAgreement，nomatterwhateverreasonwillbe，PartyBshallnotdamagethefixedfacilitiesorequipmentownedbyPartyAandbeliabletorestoretheofficeleasedtoitsoriginalshapeandstate，normalwearandtearaccepted，whenwithdrawingfromtheCargoTerminal.

　　第七条违约责任

　　ARTICLE7：

ResponsibilityofAgreementViolation

　　1.甲方未按前述合同条款的规定和按时向乙方交付合乎要求的办公室或有其他违约事项的，负责赔偿违约金为租赁期全部租金的10%.

　　PartyAshallpay10%（tenpercent）oftheannualtotalrentascompensationtoPartyBintheeventPartyAfailstohandovertheleaseofficetoPartyBatduetimespecifiedinArticleshereoforhasotherperformancethatviolatestheAgreement.

　　2.承租方逾期交付租金或有其他违约事项的，应支付违约金为租赁期全部租金的10%.

　　PartyBshallpay10%（tenpercent）oftheannualtotalrentascompensationtoPartyAintheeventPartyBdelayspaymentofrentorhasotherperformancethatviolatestheAgreement.

　　第八条免责条件

　　ARTICLE8：

LiabilityFreeCondition

　　办公室如因不可抗力的原因导致毁损和造成承租方损失的，双方互不承担责任。

　　PartyAandPartyBshallnotberesponsibleforeachotherslossesarisingfromthedamagetotheofficeleasedand/orpropertyownedbyPartyBcausedbyforcemajeure.

　　第九条争议的解决方式

　　ARTICLE9：

SettlementofDispute

　　本合同在履行中如发生争议，双方应协商解决；协商不成时，任何一方均可依据中华人民共和国仲裁法向上海市仲裁委员会提请仲裁。

仲裁结果将为最终结果，对双方均有约束力。

　　AnydisputeoccurringinthetermofthisAgreementshouldbesettledthroughnegotiation.Ifitcannotbesettledafternegotiation，eitherpartycan，incompliancewiththeArbitrationLawofPRC，applyforarbitrationinShanghaiArbitrationCommittee.ThearbitrationawardshallbefinalandbindingonbothParties.

　　第十条本合同未尽事宜，一律按《中华人民共和国合同法》的有关规定，经合同双方共同协商，作出补充规定，补充规定与本合同具有同等效力。

　　ARTICLE10：

AnymattersnotstipulatedinthisAgreementshallbesettledintheAddendumaftermutualnegotiationbetweenPartyAandPartyBaspertherelevantregulationsintheContractLawofPRC。

TheAddendumandtheAgreementshallbeequallyauthentic.

　　第十一条本合同正本采用中英文两种文字混合，一式2份，出租方、承租方各执1份，两种文字具有同等法律效力。

两种文字如有不符，以中文文本为准，经双方签字后正式生效。

　　ARTICLE11：

ThisAgreementisexecutedin2（two）originals（mixtureofEnglishandChinese），1（one）foreachParty.Thetwolanguageshavethesamelegaleffects，andChineseversionwillprevailifanyconflictsexistingbetweentwolanguagecontents.ThisAgreementshallbecomeeffectiveonthedateofexecution.
