NON-DISCLOSUREAGREEMENT

ThisNon-DisclosureAgreement（this“Agreement”）isenteredintothis[day]dayof[month],[year]byandbetween[companynameofPartyA],acompanyorganizedunderthelawsof[registeredcountryofPartyA]withitsprincipalplaceofbusinessat[registeredaddressofPartyA]（“[PartyA]”）,and[companynameofPartyB],acompanyorganizedunderthelawsof[registeredcountryofPartyB]withitsprincipalplaceofbusinessat[registeredaddressofPartyB]（“[PartyB]”）.[PartyA]isadisclosingparty（“Discloser”）and[PartyB]isareceivingparty（“Recipient”）underthisAgreement,andcollectivelythe“Parties”.

WITNESSETH

WHEREAS[PartyA]and[PartyB]desiretoenterintodiscussionsforthepurposeof[purpose]（the“Purpose”）;and

WHEREASinordertoimplementthePurpose[PartyA]needstoprovide[PartyB]withaccessto[PartyA]’s“ConfidentialInformation”（asdefinedbelow）.

NOWTHEREFORE,inconsiderationofthemutualbenefits,undertakingsandpromisesherein,thePartiesherebyagreeasfollows:

1. Definitions

1.1 ForthepurposeofthisAgreement,theterm“ConfidentialInformation”meansanyandallinformationandknow-howofaprivate,secretorconfidentialnature,inwhateverform,thatrelatestothebusiness,financialcondition,technologyand/orproductsoftheDiscloser,itsAffiliates,employees,customers,suppliers,orpotentialcustomersorsuppliers,providedordisclosedtotheRecipientorwhichbecomesknowntotheRecipient,whetherornotmarkedorotherwisedesignatedas“confidential”,“proprietary”orwithanyotherlegendindicatingitsproprietarynature.Bywayofillustrationandnotlimitation,ConfidentialInformationincludesallformsandtypesoffinancial,business,scientific,technical,orengineeringinformationandknow-how,includingbutnotlimitedtospecifications,prototypes,designs,techniques,processes,procedures,methods,compilations,inventionsanddevelopments,products,equipment,samples,algorithms,computerprograms（whetherassourcecodeorobjectcode）,data,marketingandcustomerinformation,vendorinformation,personalinformation,projections,plansandreports,andanyotherdata,documentation,orinformationrelatedthereto,aswellasimprovementsthereof,whetherintangibleorintangibleform,andwhetherornotstored,compiledormemorializedinanymediaorinwriting,includinginformationdisclosedasaresultofanyvisitation,consultationorinformationdisclosedbyPartiestothisagreementorotherpartiesontheirbehalfsuchasconsultants,clients,suppliersandcustomers,etc.

1.2 ConfidentialInformationshallnotincludeinformationoranymatterthattheRecipientcandemonstratebyreasonableandtangibleevidencethat:

（a）wasalreadyknowntotheRecipientpriortoitsdisclosurepursuanttothisAgreement;or（b）hasbecomeapartofthepublicknowledgewithoutabreachofthisAgreementbytheRecipient;or（c）theDiscloserhasexplicitlyapprovedtheRecipienttodisclosetothirdparty;or（d）wasindependentlydevelopedbytheRecipientthereafterwithoutreferencetooruseoftheConfidentialInformation;or（e）shallhavebeenlawfullyreceivedbytheRecipientfromanotherpersonorentityhavingnoconfidentialityobligationtotheDiscloseroritsAffiliates.

1.3 ForthepurposeofthisAgreement,“Affiliate”shallmeananentitycontrolledby,controllingorundercommoncontrolwithaparty.Forthepurposeofthisdefinition,theterm“control”meansthepossession,directlyorindirectly,ofmorethan50%ofthevotingstockofthecontrolledentity,orthepowertodirect,orcausethedirectionofthemanagementandpolicyofthecontrolledentity.

2. ObligationsoftheRecipient

RecipientshalltreatallConfidentialInformationoftheDiscloserasstrictlyconfidentialandsecure,and:

（a） Shallnot,withouttheexpresspriorwrittenconsentoftheDiscloser,exploitormakeuse,directlyorindirectly,and/orcopy,duplicateorreproducesuchConfidentialInformation,foranyotherpurposeotherthanforthePurpose;

（b） Shallrefrain,eitherbyitselforthroughanythirdparty,fromanalyzingorattemptingtoanalyzetheConfidentialInformationoranypartofit,includingbywayofdisassembly,decompilingorreverseengineeringanysamples,prototypes,softwareorothertangibleobjects,inordertodeterminethecomposition,designorspecificationsthereof;

（c） ShallprotectandsafeguardtheConfidentialInformationagainstanyunauthorizeduse,disclosure,transferorpublicationwithatleastthesamedegreeofcareasitusesforitsownconfidentialorproprietaryinformation,butinnoeventwithlessthanreasonablecare;

（d） ShallnotuseanyConfidentialInformationtocompeteorobtainanycompetitiveorotheradvantagewithrespecttotheDiscloser;

（e） Sha
