1、关于律师担任企业法律顾问的若干规定关于律师担任企业法律顾问的若干规定司法部 中华人民共和国司法部令 第,号 关于律师担任企业法律顾问的若干规定 第一条 为加强对律师担任企业法律顾问工作的领导和管理，根据中华人民共和国律师暂行条例的规定，结合律师工作实际，制定本规定。 第二条 律师担任企业法律顾问的任务是:为企业依法治厂，按照企业法和其他有关的法律、法规进行生产、经营、管理或其他活动提供法律服务，受企业委托办理有关法律事务，维护企业的合法权益，促进企业深化改革，扩大开放，转换企业经营机制，提高企业经济效益，推进企业生产、经营的发展。 第三条 律师担任企业法律顾问，受企业委托办理下列法律事务: (

Is to promote the inner-party education to all party 第六条 律师事务所与企业之间签订的聘应合同、协议，应包括以下主要内容: (一)双方法定名称、指派律师姓名; (二)法律顾问的具体工作范围、工作方式; (三)双方的权利

15、、义务; (四)双方共同遵守的原则; (五)法律顾问费数额、支付办法; (六)合同、协议的中止、变更和解除; (七)合同、协议有效期限; (八)双方约定的其他事项。 律师担任企业法律顾问的聘应合同、协议必须加盖聘应双方公章，并由双方法定代表人签名或盖章。 第七条 律师担任企业法律顾问可以采取下列方式: (一)常年法律顾问:法律事务所与企业签订以一年或一年以上的聘应协议，在协议期限内，受律师事务所指派的律师，以法律顾问的身份为企业提供协议范围内的法律服务。协议期满，法律顾问关系即终止，继续聘应的，重新签订协议。 happiness XX made active contribution. Is to promote the inner-party education to all party (二)专项法律顾问:律师事务所可以与企业签订办理某一法律事项的聘应协议，该法律事项办结，法律顾问关系即终止。 律师担任企业法律顾问时，对外可称为律师，也可称为企业的法律顾问。 第八条 律师担任企业法律顾问的聘应合同、协议，应载明律师享有如下权利: (一)查阅与承办法律事务有关的企业文件和资料; (二)了解企业的生产、经营、管理和对外联系活动中的有关情况; (三)列席企业领导人召集的生产、经营、管理和对

22、外活动中的有关会议; (四)获得履行企业法律顾问职责所必须的办公、交通及其他工作条件和便利。 第九条 律师担任企业法律顾问，由律师事务所依据律师业务收费管理办法和律师业务收费标准向企业收取费用。 第十条 担任企业法律顾问的律师应当及时承办顾问单位委托办理的有关法律事务，认真履行职责。 第十一条 律师担任企业法律顾问，应当坚持以事实为根据，以法律为准绳的原则，发现顾问单位有违法行为的，应当予以劝阻纠正。 第十二条 律师担任企业法律顾问，应根据合同、协议规定和企业的委托授权进行工作，不得超越委托代理权限。 happiness XX made active contribution. Is to promote the inner-party education to all party 第十三条 担任企业法律顾问的律师，不得从事有损于聘请单位合法权益的活动，不得在民事、经济、行政诉讼或仲裁活动中担任对立一方当事人的代理人。 第十四条 担任企业法律顾问的律师在其受聘的两个(或两个以上)的企业之间发生争议时，应当进行调解，但律师不得代理任何一方参加诉讼或仲裁。 第十五条 担任企业法律顾问的律师，对在工作中接触、了解到的有关企业生产、经营管理和对外联系活动中的业务秘密，负有保守秘密的责任。 第十六

29、条 担任企业法律顾问的律师，应当建立律师事务所与聘请单位定期联系、律师与聘请单位法定代表人定期会见等制度。 第十七条 受聘律师因故不能履行企业法律顾问职责时，受聘律师事务所应当与聘请单位协商，另行指派律师接替。 第十八条 律师事务所对律师担任企业法律顾问工作，应定期进行检查和考核，以保证工作的质量。 第十九条 司法行政机关应当加强律师担任企业法律顾问工作的指导、管理和监督。对担任企业法律顾问的律师，成绩突出的，应予以表彰和奖励;不称职的应责成律师事务所予以调整;严重不称职，给聘请单位造成损失，或违反有关规定的，应当作出处理。 第二十条 本规定所指企业，包括全民所有制企业、集体所有制企业、私营企
