2、于:Whereas:1.甲乙双方为丰富HZ DISTRICT教育的层次，GZ市HZ区教育局与IQE就HZ DISTRICT MP国际学校项目合作达成以下协议。1. In order to enrich the education levels, Education Bureau of HZ District of GG and IQE make and enter into the following agreement on the MP International School Project in HZ District.2.乙方具备经营国际学校专业知识及丰富经验，建立和运作成熟及优质的

3、大学前的国际学校模式，涵盖幼儿园到高中。该公司在HK及Macao建立的加国国际学校，在区内学校中拥有领导地位。2. Party B is equipped with the professional knowledge and rich experience in running international school, and with international school model to establish and run the mature and superior pre-university, covering kindergarten to senior high sch

The Canadian International Schools established both in Hong kong and in Macao by the Company boast the leadership position among the schools in the district.3.乙方所办为国际学校采用加国阿省教育厅认证的课程结合中国中文课程，培养学生可报考全世界优质大学。本校将致力将加国、美国、英国等先进的教育理念引进加国先进教育理念并在本校成立国际文化交流站，为HZ区乃至GZ市所有教师、学生做到海外留学，游学及教育交流，交换学生及加国、美国教育

5、信息资源交流。同时本校愿为GG教师提供国外教育理念、教育方法等培训交流，并为教师与学生提供到加国参观交流的机会。本校可每年带加国学生到加国重点中学进行交流，推进HZ DISTRICT学校与加国学校成为姐妹学校，促进HZ区与加国教育文化的交流。3. The International School operated by Party B adopts the courses authenticated by Albert Provincial Ministry of Education of Canada integrated with Chinese courses, and the cult

6、ivated students may apply for superior universities in the world wide. The School will be dedicated to introducing the advanced education philosophy of Canada, the USA, and Britain to GG, and establishing international culture communication station, which offers the opportunities of oversea study, s

7、tudy tour and education communication to all teachers and students in GG even in GG, exchanges students and makes communication of education information with Canada and the USA. Meanwhile, the School is willing to provide the teachers in GG with foreign education philosophy, education approach and o

8、ther training and communications, and provide the teachers and students with the opportunity to visit and communicate in Canada. In each year, the School will bring the Canada students to key high schools in GG for communication, promote the school in HZ District to be the sister schools of Canada A

9、lbert School, and boost the educational and cultural communication between GG and Canada.4.甲方同意将位于HZ DISTRICT GGG，占地面积约GGGGG 平方米的教育用地提供给乙方兴建由幼儿园至高中的学校项目。乙方拟建 GGGGG平方米建筑面积的优质学校，为中国和外国护照持有学生提供非学历教育幼儿园、小学至高中级学历教育。4. Party A agrees to provide the education use land with an area of GGGG square meters loc

10、ated at the MP, HZ District to Party B for the establishment of School Project ranging from kindergarten to senior high school. Party B proposes to build a superior school with the floor area of GGGGG square meters, offering non-diploma education to Chinese students and the students with foreign pas

11、sport from kindergarten, primary school to senior high school.计划办学规模:幼儿园共4个年级，每年级4个班，每班25人，每年级100名学生，共400人。小学共6个年级，每年级4个班，每班25人，共600名学生。初中、高中即7至12年级共6个年级，每年级4个班，每班25人，共600名学生。由幼儿园到高中学生共1600人，教师 94 人，教职员工 87 人，以及其他管理人员(含后勤人员)共185人。(不含校巴司机及跟车人员)Planning scale of school-running: the kindergarten has 4

12、grades, each grade consists of 4 classes, each class accommodates 25 students, thus each grade has 100 students, and the kindergarten has 400 students in total. The primary school has 6 grades, each grade consists of 4 classes, each class accommodates 25 students, and thus the primary school has 600

The junior and senior high school, namely, 6 grades from Grade 7 to Grade 12, each grade consists of 4 classes, each class accommodates 25 students, and there are 600 students in total. There are 1600 students in total from kindergarten to senior high school, 94 teachers, 87 facu

14、lty and staff, and 185 other administrative personnel (including logistic personnel). (Excluding the school bus drivers and levermen)5.乙方负责兴建上述学校的全部资金投入，包括学校的建筑、装修、办学设备及筹办运营学校，共约投入资金为 GGG亿 元。其中基建约GGGG万元，包括基建工程、设备工程、装修工程、户外活动场地工程；办学设备共约GGGG万元；启动资金约800万元。5. Party B shall be responsible for all capital

15、 investment for building the foresaid School, including school buildings, decoration, school equipment, and making preparation for running school, approximately investing capital of RMB 118 million in total. Of which the infrastructure is approximately RMB 70 million, including infrastructure engine

16、ering, equipment engineering, decoration engineering, and outdoor venues engineering; the school equipment is approximately RMB 40 million; and the initial capital is approximately RMB 8 million.6.产权归属:上述学校由HZ DISTRICT教育局即甲方提供教育用地，以甲方名义建设，由乙方投资建设学校及办学。该校的产权归属甲方即HZ DISTRICT教育局，乙方拥有该校GG年的使用权。6. Proper

17、ty ownership: the land of foresaid School is provided for education use by Party A, namely the Education Bureau of HZ District, and the School is built in the name of Party A, and invested, built and run by Party B. The property of the School belongs to Party A, namely, the Education Bureau of HZ Di

18、strict, and Party B owns the use right of the School for GG years.7.上述学校分两期建设，第一期为 8000-11000 平方米，于 20GG 年 5 月完成，并于 20GG 年 9 月 1 日开学。第二期为 8000-11000 平方米。7. The foresaid School will be built in two phases. The first phase covers 8,000 to 11,000 square meters, which shall be completed prior to May 20G

19、G, and will start school on September 1, 20GG. The second phase covers 8,000 to 11,000 square meters.8.乙方会致力发展为一所以独特模式和优质的学校，成为HZ DISTRICT内及中国其它城市的领导者。 8. Party B will be dedicated to developing a superior school with unique model, and making the school to be the leader in HZ District and other citi

20、es in China. 为促进教育事业的发展，提高人民的教育素质，确保HZ DISTRICT周边中外籍适龄儿童能准时入学，并提供良好的学习环境，在平等、自愿、协商一致的基础上，甲、乙双方就下列房产的合作办学达成如下协议:To promote the development of education cause, improve the education quality of people, ensure on-time admission of age children with Chinese and foreign nationality from surrounding area o

21、f GG, and provide a sound studying environment, on the basis of equality, voluntariness and consensus, Both Parties hereto make and enter into the following agreement on cooperatively running school on the following Property: 合作模式Cooperation Model第一条、 甲方提供办学用地给乙方建设办学，前 25 年（即 20GG 年 9 月至 20GG年 8 月 3

22、0日）为免收乙方一切费用（包括但不限于租金、管理费及国有资产占用费等），第 26 年至 GG 年（即 20GG年 9 月至 20GG年 8 月）有偿使用，每年的国有资产占用费为当年学费的5%。Article 1 Party A shall provide the land to Party B for building and running School. For the first 25 years, (namely from September 20GG to August 30, 20GG), Party B is free from any expenses (including b

23、ut not limited to rental, management overhead, occupancy expense of state-owned asset, and etc.). From the 26th to GGth year, (namely from September 20GGto August 20GG), the land is for the non-gratuitous use, and the occupancy expense of state-owned asset for each year accounts for 5% of tuition fo

24、r current year.第二条、有偿使用期间，乙方在每月的10日至15日前支付上述国有资产占用费给甲方。Article 2 During the period of non-gratuitous use, Party B shall pay the foresaid occupancy expense of state-owned asset to Party A prior to 10th to 15th of each month.第三条、乙方在兴建学校时须交付 500 万元给甲方作为押金，一旦学校完成主体建设通过相关部门验收时，甲方须在15个工作日内无息退还给乙方。Article

25、3 Party B shall pay RMB 5 million to Party A as deposit when building the School, and Party A shall return the interest-free deposit to Party B within 15 working days after the principal part is completed and passes the acceptance and check of competent department.第四条、 合同期内，乙方自负盈亏，承担办学所产生的水电费及日常费用。承

26、担因教学所产生的责任。Article 4 During the Contract Term, Party B shall take full responsibility for his (her) own profits and losses, and bear all utilities and current expenses arising out of running school. And bear all responsibility arising out of teaching.第五条、乙方必须把该物业用于开办由幼儿园至高中的国际学校，该国际学校由国内部和国际部组成，不得作其

27、他用途。计划办学规模由乙方根据实际进度逐步完善。Article 5 Party B shall utilize the Property in running the International School from kindergarten to senior high school. The International School consists of the domestic department and the international department, and shall not be used for other purpose. The planning scale

28、 of school-running will be gradually improved by Party B in light of the practical progress.合作期限Cooperation Term第六条、双方约定的合作期限为GG年(即 20GG年 9 月 1 日至 20GG 年 8 月 30 日)，GG年后乙方有相同条款续约的优先权。Article 6 Both Parties hereto agree that the cooperation term is GG years, (namely from September 1, 20GGto August 30,

29、 20GG,) and Party B shall have the preemptive right to renew the Contract with the same terms and conditions after GG years.用地交付及物业验收Land Delivery and Property Acceptance and Check第七条、甲方交付给乙方建设学校用地的产权及相关手续等须符合教育用地要求。Article 7 The Property right and relevant formalities of school land delivered to Pa

30、rty B by Party A shall be in line with the requirement of education use land.第八条、乙方须按甲方同意的设计方案建设学校。Article 8 Party B shall build the School according to the design proposal agreed by Party A.第九条、甲方须协助乙方办理兴建学校的相关手续及物业验收的相关手续如报建、规划、消防验收、合格验收等。Article 9 Party A shall assist Party B in going through rel

31、evant formalities with respect to school building and Property acceptance and check, such as application for building, planning, fire protection acceptance and check, qualified acceptance and check, etc.甲方的权利义务Rights and Obligations of Party A第十条、为办妥学校办学许可证等牌照事宜，甲方协助办理建设手续及办学建筑物的规划审批，消防合格证，卫生合格证，建筑合
