5、evocably guarantees and promises to pay to Buyer， on order or demand， in lawful money of the United States， any and all indebtedness and obligations of Seller to Buyer and the payment to Buyer of all sums which may be presently due and owing to Buyer from Seller whether under the Agreements or other

8、eneral intangibles of said third party； and further including， without limitation， any and all attorneys fees， expenses， costs， premiums， charges and interest owed by Seller to Buyer， whether under the Agreements， or otherwise） whether due or not due， absolute or contingent， liquidated or unliquidat

9、ed， determined or undetermined， whether Seller may be liable individually or jointly with others， whether recovery upon such indebtedness may be or hereafter becomes barred by any statute of limitations or whether such indebtedness may be or hereafter becomes otherwise unenforceable， and includes Se

Continuing Guaranty. This General Continuing Guar

12、anty （the Guaranty） is a continuing guaranty which shall remain effective until this Guaranty has been expressly terminated and relates to any obligations including those which arise under successive transactions which shall either continue the Obligations from time to time or renew them after they

13、have been satisfied. Any such termination shall be applicable only after written notice to Buyer， and only to transactions having their inception prior to such date. No termination shall be effective until such time as Buyer is no longer committed or otherwise obligated to make any loans or advances

14、， or to grant any credit to Seller. In the absence of any termination of this Guaranty， Guarantor agrees that nothing shall discharge or satisfy its obligations created hereunder except for the full payment and performance of the Obligations with interest. 第二条 连续担保。 本通用连续担保书（本担保书）是指在被明示终止前始终有效的连续的担保

Rights are Independent. Guarantor agrees that it is directly and primarily liable to Buyer， that the obliga

16、tions hereunder are independent of the obligations of Seller and that a separate action or actions may be brought and prosecuted against Guarantor， whether action is brought against Seller or whether Seller is joined in any such action or actions. Guarantor agrees that any releases which may be give

17、n by Buyer to Seller or any other guarantor or endorser shall not release it from this Guaranty. 第三条 担保权利独立。 担保人同 意由其直接并主要地向买方承担责任，本担保书项下的义务独立于卖方的义务。担保人可以被单独提起诉讼，不论该诉讼是否对卖方提起或卖方是否参加该诉讼。担 保人同意，担保人在本担保书项下的义务不因买方可能给予卖方、任何其他担保人或背书人的义务免除而免除。 4. Default. In the event that any bankruptcy， insolvency， recei

18、vership or similar proceeding is instituted by or against Guarantor and/or the Seller or in the event that either the Guarantor or Seller become insolvent， make an assignment for the benefit of creditors or attempt to effect a composition with creditors， or if there be any default under the Agreemen

19、ts （whether declared or not）， then， at Buyers election， without notice or demand， the Obligations of Guarantor created hereunder shall become due， payable and enforceable against Guarantor whether or not the Obligations are then due and payable. 第四条 违约。 在由担保人及/或卖方发起或针对担保人及/或卖方发起任何破产程序、无力偿债程序、接管程序或类似

Guarantor agrees to indemnify Buyer and hold Buyer harmless against all obligations， demands and liabilities， by whomsoever asserte

21、d and against all losses in any way suffered， incurred or paid by Buyer as a result of or in any way arising out of， following or consequential to transactions with Seller whether under the Agreements， or otherwise， and also agrees that this Guaranty shall not be impaired by any modification， supple

22、ment， extension or amendment of any contract or agreement to which Buyer and Seller may hereafter agree， nor by any modification， release or other alteration of any of the Obligations hereby guaranteed or of any security therefor， nor by any agreements or arrangements whatever with Seller or anyone

23、else. 第五条 补偿。 担保人同意对买方作出补偿，并使买方免于向任何人承担任何义务、要求及责任，并使买方免于承担因根据协议等与卖方交易而直接、随后或间接产生的损失。担 保人也同意，对买卖双方今后可能达成的任何合同或协议的变更、补充、延伸或修改，或者对担保债务或担保物的任何变更、免除或其他改变，或者与卖方或其他任 何人达成的协议或安排均不应损害到本担保书的内容。 6. Consent to Modifications. Guarantor hereby authorizes Buyer， without notice or demand and without affecting its l

24、iability hereunder， from time to time to： 第六条 同意变更。 担保人据此授权买方，在不影响本担保书项下担保人义务的情形下，买方可以无须通知或提出要求，不时地： 6.1 renew， compromise， extend， accelerate or otherwise change the time for the Obligations， or any part thereof， including， without limitation， increasing or decreasing any of the fees thereof； 更新债务、

25、进行债务和解、延长债务履行、加速履行债务或以改变义务的履行时间，包括但不限于，增加或减少与债务有关的任何费用。 6.2 take and hold security for the payment of the Obligations guaranteed hereby， and exchange， enforce， waive and release any such security； 为担保债务的支付而取得并保有担保物，以及就该担保物进行交换、强制执行、弃权和免除。 6.3 apply such security and direct the order or manner of sal

27、通知，随时向任何人转让全部或部分的担保权利和下列买方权利。 Guarantor agrees that Buyer may do any or all of the foregoing in such manner， upon such terms， and at such times as Buyer， in its discretion， deems advisable， without， in any way or respect， impairing， affecting， reducing or releasing Guarantor from its undertakings he

Waiver of Defenses. Guarantor hereby waives any right to assert against Buyer as a defense， counterclaim， setoff

29、 on cross claim， any defense （legal or equitable）， setoff， counterclaim and claim which Guarantor may now or at any time hereafter have against Seller and any other party liable to Buyer in any way or manner. 第七条 放弃抗辩。 担保人据此放弃任何对买方提出抗辩、反诉及在交叉诉讼中提出抵销的权利，同时放弃担保人现在或今后随时可能针对卖方及以任何方式对买方负有义务的他方提出任何抗辩（普通法或

30、衡平法上的抗辩）、抵销、反诉和诉讼的权利。 Guarantor hereby waives all defenses， counterclaims and offsets of any kind or nature， arising directly or indirectly from the present or future lack of perfection， sufficiency， validity or enforceability of the Agreements or any security interest thereunder. 担保人据此放弃因协议在完整性、充分性

31、、有效性或可执行性方面存在现实的或潜在的缺陷而直接或间接产生的所有种类的抗辩、反诉及抵销的权利，并放弃由协议产生的任何担保权益。 Guarantor hereby waives any defense arising by reason of any claim or defense based upon an election of remedies by Buyer， which， in any manner impairs， affects， reduces， releases， destroys or extinguishes Guarantors subrogation rights

32、， rights to proceed against Seller for reimbursement， or any other rights of the Guarantor or against any other person or security， including， but not limited to， any defense based upon an election of remedies by Buyer under the provisions of applicable state law， orof the United States. 担保人据此放弃就买方基于其选择的救济措施而产生的任何主张或抗辩提出任何抗辩，尽管买方采取的救济措施已损害、影响、减少、解除、破坏或消灭了
