3、本着平等、诚信、互利的原则，经友好协商，达成协议如下： 一、 委托事项 1.1 甲方委托乙方协助参与 （以下称“客户”）的项目沟通、投标等工作，并在中标后协助甲方履行项目合同（以下称“合同”）。 1.2 本协议自 2016 年 06 月 17 日起生效，至甲方投标失败或甲方收到全部合同款且项目合同的全部义务完全履行后终止。 二、 委托事项的具体约定 2.1 甲方与客户交易的数量、价格、交货方式、支付方式等合同内容由甲方与客户双方协商确定，乙方未经甲方许可不得单方向客户做出任何承诺；甲方与客户签署合同后，交合同副本一份给乙方。 2.2 乙方在履行本协议及相关合同过程中持有或知悉的甲方有关文件、资

4、料、图纸、信息、数据等均属于甲方的保密信息，未经甲方书面同意，乙方不得泄露给任何第三方或用于非合同目的任何目的。 三、 甲方的权利义务 3.1 按乙方的要求提供必要的样本、资质文件、图纸、技术文件等资料。 3.2甲方同意经乙方努力促使甲方与客户签订合同并按期收到合同款后，按本协议第五条的规定向乙方支付佣金。 四、 乙方的权利义务 4.1 按甲方的委托，积极开展市场拓展活动，及时向甲方提供市场信息、项目信息、产品需求、客户资料、竞争对手资料等，努力促成甲方与客户签订合同。若乙方未促成合同签订的，乙方自行承担由此发生的费用，甲方不向乙方支付任何佣金或报酬。 4.2 乙方应协助甲方完成合同的相关事宜

5、，包括但不限于资质预审、投标活动、业务洽谈、技术交接、合同签订、发货运输、到货验收、催收合同款、产品使用情况跟踪、售后服务跟踪等事项。 4.3 甲方与客户缔约之前，甲乙双方应签订正泰产品销售合同，该合同确定的价格仅为乙方产品出厂价格，包含装卸费、运至交货地点的运输费和运输保险费、不含技术资料费和安装调试服务等其他费用。 4.4 甲方与客户交易的数量、价格、交货方式、支付方式等合同内容由甲方与客户双方协商确 合同编号：DQ201610044 定，乙方对客户的义务仅于正泰产品销售合同内约定的事项。乙方未经甲方许可单方向客户做出任何超出正泰产品销售合同的承诺均由乙方单独负责履行；甲方与客户签署合同后

6、，交合同副本一份给乙方。 4.5 乙方在为甲方拓展业务、协助履行合同过程中，应尽如实告知义务，不得隐瞒真相或虚构事实，并为客户履行合同承担连带责任。 4.6 积极处理客户提出的需求、意见和其它主张，并为甲方维护良好的客户关系和商业信誉。 4.7 在本协议履行过程中，乙方不得： （a）直接或间接地为任何第三方开展与本协议相关的活动； （b）直接或间接地从客户处获取任何形式的佣金、回扣、报酬或其它不当利益； （c）接收客户支付的与合同相关的任何款项； （d）未经甲方书面同意，将本协议的全部或部分权利或义务转让给任何第三方。 五、 佣金支付 5.1 佣金金额：经双方商定佣金共计提 。 5.2 付款方
