14、视作违反本合同，无须向另一方负责，履行相关义务的期限可以相应延长。这些情形包括但不限于：天灾、战争、暴乱、火灾、爆炸、水灾、政府当局行为。force_majeure_is_defined_as_circumstances,_which_areunforeseeable，unavoidable_and_insuperable._ifforce_majeure_causes_delay_in_or_failure_of_a_partys_performance_of_itsobligations_pursuant_to_this_contract,_such_party_shall_not_be_

15、considered_inbreach_of_this_contract_or_be_liable_to_the_other_party,_and_the_term_ofimplementation_of_such_partys_respective_obligation_may_be_extendedaccordingly._the_aforementioned_circumstances_include,_but_shall_not_be_limitedto,_natural_disaster,_war,_unrest,_fire,_explosion,_flood,_acts_of_th

18、ursuantto_the_provisions_of_this_contract.15.迟交和违约金(late_delivery_and_liquidateddamages)：(1)卖方延迟交货，应向买方按日支付延迟交货部分对应货款金额的_%的违约金;(2)买方延迟付款，应向卖方按日支付延迟付款金额的_%的违约金;(3)卖方延迟交货或买方延迟付款15个工作日以上，对方有权终止合同，追索违约金，并有权以任何方式收回已交付的货物或已支付的货款，由此造成的全部损失由违约方承担。(1)if_the_seller_delivers_the_goods_exceed_the_time_limit,_he

20、ll_as_the_right_to_retrieve_hispayment_or_delivered_goods_in_any_way,_where_the_other_party_delays_delivery_orpayment_over_15_workdays,_and_all_of_the_loss_should_be_afforded_by_the_defaultparty.16.保证和责任(warranty_and_liability)：(1)卖方保证货物在交货时符合规格，并保证在货物启用日期开始_月内，或在提货或交货后(以较早日期为准)_月内，货物不会出现材料或工艺上的缺陷。(

21、2)第(1)款所述的保证取决于以下的条款和条件：(a)对于应买方的要求而对货物规格作出的变更和改动所导致的货物缺陷，卖方不承担责任;(b)对于任何由于合理磨损、有意损坏、疏忽大意、使用不当、不遵循卖方指导、未经卖方同意对货物进行错误使用、改动或修理而造成的缺陷，卖方不承担责任;(c)保证范围不包括非卖方制造的零部件、材料或设备，在此类情况下，买方将有权从该零部件、材料或装备的制造商对卖方所作的保证中受益;(3)如果买方希望就任何其声称有缺陷的货物提出索赔，买方必须在提货或交货之日起_天内将该等索赔书面通知卖方。(4)如果买方根据本条提出了有效的索赔，卖方可以选择无偿更换货物，或者向买方退回货物

24、;(b)_the_seller_shall_not_be_liable_for_defects_causedby_normal_wear_and_tear,_wilful_damage,_negligence,_improper_usage,_failure_tofollow_the_sellers_instructions,_incorrect_usage_without_the_sellers_approval,modification_or_repair;(c)_the_warranty_does_not_extend_to_parts,accessories,_materials_or

25、_equipment_that_was_not_manufactured_by_theseller._with_regard_to_any_one_part,_accessory,_material_or_piece_ofequipment,_the_buyer_shall_have_the_right_of_benefit_with_respect_to_thecorresponding_warranty_provided_by_the_manufacturer_to_the_seller;(3)_if_the_buyer_wishes_to_claim_compensation_for_a

26、nygoods_that_it_claims_are_defective,_the_buyer_shall_notify_the_seller_inwriting_of_the_claim_for_compensation_within_days_of_collection_ordelivery.(4)_in_the_event_that_the_buyer_issues_a_valid_claimfor_compensation_based_on_article_16,_the_seller_may_choose_to_exchange_thegood(s)_free_of_charge,_

27、or_may_elect_to_refund_all_or_a_portion_of_the_paymentprice_of_the_good(s)_to_the_buyer._once_this_is_done,_the_seller_shall_not_haveany_further_liability_to_the_buyer.17.责任限制条款(limitation_of_liability)：不论合同其它条款另有规定，不论索赔是根据合同还是侵权(包括重大过失)，也不论索赔是因为货物或软件的制造、销售、许可、交付、修理、更换或使用所造成的，卖方对买方所遭受的任何损失、损坏所承担的损害赔

28、偿责任(包括违约金)不超过卖方实际从买方收受的货款的100%。如果发生卖方违约的情形，买方应该采取任何必要的措施减损损害的扩大。不论合同其它条款另有规定，合同任何一方对另一方的收入利润的减少、商业机会的丧失以及商誉的损失和任何间接的损失不负赔偿责任。notwithstanding_any_other_provision_in_this_contract,the_total_liability_(including_for_liquidated_damages)_of_the_seller_for_anyclaim,_loss_or_damage,_whether_in_contract,_to

29、rt_(including_gross_negligence),or_otherwise,_arising_out_of,_connected_with,_or_resulting_from_themanufacture,_sale,_license,_delivery,_repair,_replacement_or_use_of_any_goodsor_software_shall_not_exceed_100%_of_the_price_received_by_the_seller_from_thebuyer._if_the_seller_is_in_breach_of_this_cont

30、ract,_the_buyer_shall_take_anynecessary_measures_to_mitigate_its_loss_and_damages.notwithstanding_any_other_provision_in_this_contract,neither_party_shall_be_liable_to_the_other_party_for_any_loss_of_profit_orrevenues,_loss_of_opportunity,_loss_of_goodwill_or_reputation,_and_/or_anyindirect_or_conse

31、quential_losses_whatsoever.18.争议解决(settlement_of_disputes)：凡因本合同引起的或与本合同有关的任何争议，如果协商不能解决，应提交华南国际经济贸易仲裁委员会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。any_dispute_arising_from_or_in_connection_with_thesales_contract_shall_be_settled_through_friendly_negotiation._in_case_nosettlement_can_be_reached,_the_dispute_shall_then_be_submitted_to_south_chinainternational_economic_and_trade_arbitration_commission_(scia)_for_arbitrationin_accordance_with_its_rules_in_effect_at_the_time_of_applying_for_arbitration.the_arbitral_award_is_final_and_binding_upon_both_parties.19.准据法(governing_law)：本合同之准据法为中华人民
