1、跨境电商海外直邮合同范本 跨境电商海外直邮合同 甲 方: Party A : . 地 址: Address: 乙 方: Party B : 地 址: Address: 甲乙双方基于公平、诚信、共赢的原则,在中华人民共和国指定之跨境贸易区域内进行跨境电子商务的贸易合作。甲乙双方根据中华人民共和国合同法及相关法律法规规定,签订本跨境电子商务合同(以下称为“本合同”),以期双方共同遵守并执行。 In the principles of honesty, fairness, and common win, both parties hereby agree to carry out cross-bor

2、der e-commerce trade cooperation in free trade zones and bonded areas of the Contract Law of the Peoples Republic of s Republic of China. In compliance with the PeopleChina and the relevant laws and regulations, the three parties herein agree to enter into and sign this Cross-Border E-Commerce Direc

3、t mail Agreement (hereinafter referred to as “the Agreement”). 基本定义 境内:中华人民共和国(除香港、澳门、台湾以外)的大陆地区 境外:上述“境内”区域以外的地区 终端消费者:直接在电子商务平台上实施挑选,购买,付款等行为的个人,是整个商品流通过程最后环节的执行者。 跨境电子商务平台:指跨境通, 天猫国际,万国优品,京东全球购,乙方自有平台等双方协商确认的跨境电子商务平台。 直邮服务:本协议所指的直邮服务指境内终端消费者通过乙方在跨境电商平台上开立的虚拟店铺中对甲方所有的产品提交订单并向乙方完成支付,乙方以此作为终端消费者向甲方进

4、行某特定产品购买的邀约。 付款渠道:指终端消费者在乙方经营的跨境电子商务平台购买货物后,将钱款支付至乙方账户或其他第三方账户的方式(包括但不限于支付宝,微信支付,信用卡支付等) Basic Definition s Republic of China (excluding Hong Kong, Macao and Taiwan) PeopleThe Mainland of China: Foreign Lands: the other territories except the mainland of China Consumer: individuals who choose, buy a

5、nd pay on e-commerce platform. They are the last step of the whole commodity circulation. Cross-border e-commerce platform: the cross-border e-commerce platforms such as KJT, Tmall Global, WGYP, JD Global and the cross-boarder e-commerce platform owed by party B and other platform that have been agr

6、eed upon by both parties. Direct Mail Service: The “direct mail service “mentioned here means that in the mainland of China, in regard to products owned by Party A, consumers place order(s) and settle payment to Party B through online stores in cross-border e-commerce platforms that owned by Party B

7、, which can be regarded as a buyer-seller relationship between Party A and consumers. Types of Payment: the way or method that consumer pay for goods on e-commerce platform(s) managed by Party B to Party Bs account or other third Partys account (including but not limited to Alipay, Wechat Pay and cr

8、edit card, etc.) 1. 授权经销 Authorized Distribution 1.1. 甲方在此授权乙方作为(见附件)品牌(在以下简称为“合作品牌”)商品的授权直邮服务提供 商,在甲方指定的跨境贸易区域内或跨境电子商务销售渠道中(以下简称“销售区域”)根据甲方指令代理甲方运作维护其拥有的合作品牌商品。 Party A herein authorizes Party B as the authorized direct mail service provider for (see appendix) brand (hereinafter referred to as “Coo

9、perating Brand”) to sell its (their) commodities on behalf of Party A according to Party As instruction in the cross-border trade areas or cross-border e-commerce sales channels (hereinafter referred to as the “Sales Area”) Party B acts as an agency, runs and manages Cooperating Brand products owned

10、 by Party A according to Party As instructions. 1.2. 甲方负责根据乙方提交的境内终端消费者的订单需求,由甲方在约定的时间内以合适、合理的国际快递的方式安排发送货物至终端消费者。乙方负责将产品的境内终端消费者的订单需求依据本协议约定提供给甲方; 甲方保留货物的所有权,直至消费者完成签收货物,货物所有权由甲方直接转移至境内终端消费者; 货款由境内终端消费者支付给乙方,并由乙方根据本协议约定支付给甲方。 Party A should send goods to consumers through reasonable and proper inte

11、rnational express within due-time according to the information of consumers purchase order offered by Party B. Party B should convey the purchase order information to Party A; The products belong to Party A until consumer(s) receive the goods, the product property right transfers from Party A to end

12、-user consumers; end-user consumers pay money to Party B and then Party B pay to Party A by convention. 1.3. 甲方应当提供产品的宣传资料给乙方,以便乙方在其店铺中对产品进行推广。甲方对于提供的宣传资料的真实性、有效性、合法性负全部责任。 Party A should offer product publicity materials to Party B that Party B may conduct sales promotion in its stores. Party A tak

13、es full responsibilities for the authenticity, effectiveness and validity. 1.4. 如乙方因商品(包括但不限于交付时间和地点、质量瑕疵或权利瑕疵等问题)遭受索赔或处罚的,甲方应当赔偿乙方遭受的一切损失。 其他消费者纠纷,由甲乙双方协商解决。若需要,在甲方要求下,乙方可以提供便利与支持。 If there occurs consumption dispute or complaint caused by products quality or transportation, Party A is obliged to s

14、olve the dispute and Party B is obliged to cooperate with Party A if Party A delegates the authority to Party B; If there occurs other consumption dispute, the dispute should be settled through negotiation between Party A and Party B. If requires, under the request of Party A, Party B shall offer co

15、nvenience and support. 1.5. 双方之间仅限于商品直邮服务的关系,为互相独立的合同缔约双方。甲方为产品的拥有方,承担与营销对应产品相关的一切责任和费用,乙方仅基于本协议项下约定提供与直邮有关的服务,不对产品主张所有权,其所有与对应产品运维及销售有关的行为都应当在甲方授权下开展。 Both parties are mutually interdependent parties of this Agreement and their relationship is limited to product direct mail service. Party A owns th

16、e products and responsible for all the costs occurred during the marketing and sales promotion. Also, Party A should enjoy all the profits from selling the products. Party B is responsible for the operation. Party B only offer service(s) related to direct mail service on basis of this convention. Pa

17、rty B do not claim the ownership of Party As products and all Party Bs managing and selling behavior should be carried out under Party As authorization. 1.6. 乙方不得在开展业务时声称其具有甲方、其任何关联公司或附属公司的合伙人、代表、代理人或特许商的身份,或以明示或暗示的方式作出类似表述。乙方并不因本协议书的签署而被视为与甲方或其任何关联公司和附属公司有上述关系。乙方不得代表甲方签订任何合同性文件或作出任何承诺、声明、保证或陈述。乙方违反

18、前述规定所签订的合同性文件和作出的任何承诺、声明、保证或陈述对甲方在任何情况下均不具有约束力。 Party B shall not, while conducting business, claim that it is the partner, representative, agent, or franchiser of Party A, or its related company or affiliated company, nor make any similar statement in an explicit or implicit way. All activities tha

19、t Party B is going to take regarding to the sales and promotion of Party As products should be under the instruction and authorization of Party A. Party B does not come into or have the aforementioned relationship with Party A or any of its related companies or affiliated companies by signing of thi

20、s Agreement. Party B shall not represent Party A to sign any contractual document or make any commitment, promises, announcements, or statements. Should Party B violate this term to sign any contractual document or make any commitment, promises, announcements, or statements on behalf of Party A, the

21、 same shall not be binding for Party A in any cases. 1.7. 双方约定在协议生效6个月时就协议中条款进行讨论和调整。相关调整(若有)以备忘录形式补充至此协议内容中。 Both parties agree to discuss and adjust the clauses after 6 months when the agreement becomes effective. The adjustments (if therell be any) will be recorded through memo and work as part o

22、f this agreement. 2. 销售渠道 Sales Channels 2.1. 销售渠道指跨境电子商务平台。 Sales channels refer to the cross-border e-commerce platforms. 2.2. 乙方同意只能在销售渠道内发展分销网络,进行分销活动。如果甲方是合作品牌的品牌方或是合作品牌的总代理,除非有甲方的事先书面同意,乙方不得从任何第三方购买合作品牌商品; 乙方不得通过非官方许可的跨境电子商务平台向任何单位或个人销售合作品牌商品,不得向任何国家或者地区出口合作品牌商品。 Party B hereby agrees that it

23、shall develop its distribution networks and carry out distribution activities only within the sales channels. Without the prior writing consent of Party A, Party B shall not buy products of Cooperating Brand from any third party if Party A is the Brand owner or general agent of Cooperating Brand; Pa

24、rty B shall not sell the products of Cooperating Brand to any organization or individual through other cross-border e-commerce platforms than officially recognized by Party A, nor export products of Cooperating Brand to any country or region. 3. 直邮商品 Direct Mail Products 3.1. 本合同项下所称“直邮商品”是指甲方向乙方提供的

25、本合同(附件一)项下商品,直邮商品的具体信息详见本合同附件一直邮商品清单。根据实际业务需要,经甲乙双方协商同意可以修订附件一项下的商品清单。 The term “direct mail products” under this Agreement refers to the products provided by Party A to Party B under this Agreement (Appendix A). Detailed information about the direct mail products is provided in Appendix A List of D

26、irect mail Products. The list may be modified based on the practical business needs under the negotiations and agreement of both parties. 3.2. 合同期限内,乙方可根据市场实际状况建议甲方调整供货产品并以书面形式达成一致。 During the validity period of this Agreement, based on the practical market conditions, Party B may advise Party A to

27、adjust the supply products and reach an agreement with Party A in writing. 4. 合同期限 Validity Period of the Agreement 4.1. 本合同期限自2016年 月 日始,至 年 月 日止。 This Agreement is valid from 4.2. 本合同自双方授权代表签字并/或加盖公章之日起生效。 This Agreement takes effect upon signing and/or stamping by the authorized representatives o

28、f both parties. 5. 甲方的责任与义务 Responsibilities and Obligations of Party A 5.1. 甲方应根据乙方的实际经营状况和需求提供甲方相关证照(如营业执照、法人代表身份证、组织机构代码、税务登记证等)、经销授权(此处“经销授权”包括品牌方给予甲方的授权以及甲方给予乙方的授权)以及商品相关文件(如商品的商标注册证明、商标使用权)。 Party A shall provide relevant certificates (such as business license, ID of legal representative, orga

29、nization code, and tax registration certificate) of Party A, distribution authorization (“distribution authorization”here includes brand owners authorization to Party A and Party As authorization to Party B), and product-related documents based on the actual business conditions and needs of Party B(

30、such as Certificate of Registration of Trade Mark or right to use the trademark). 5.2. 甲方保证其提供的直邮商品与商标注册地国家商品描述及要求相符,均品质优良,不属于残次品、返厂货或压仓货,所有直邮商品的制造、包装或标签均符合产地国以及销售地国(即中国)以及其它相关国家和地区的法律法规的规定.如甲方提供的商品未达到上述标准而给乙方造成损害及损失,甲方应承担相应法律责任及赔偿乙方因此遭受的一切损失。如任何第三方就商品提出任何索赔或其它权利主张的,甲方应采取一切必要措施,确保乙方免受损害,如乙方因此遭受损失的,甲

31、方应当承担赔偿责任。 Party A hereby promises that the direct mail products it provides comply with the country of origin description and requirements, are of good quality, and are not defective products, returned products, or products that have long been stored in the warehouse, and that the manufacture, packaging, or label of all direct mail products comply with the relevant laws and regulations of the country of origin. Should the products provided by Party A fail to reach the aforementioned standards, causing any damage or loss to Party B, Party A shall be liable for all relevant leg
