2、和便 利：按不低于甲方部门经理之标准办理。 四、乙方及其指派律师应尽的责任： 1、应当及时承办委托办理的有关法律事务，认真履行职责； 2、应当坚持以事实为依据，以法律为准绳的原则，依法顾问； 3、应根据本合同规定和甲方委托授权的范围进行工作，不得超越委 托代理权限； 4、不得从事有损于甲方合法权益的活动，不得在民事、经济、行政 诉讼或仲裁活动中担任对立一方当事人的代理人； 5、在其受聘的两个（或两个以上）单位之间发生争议时，应当进行 调解但不得代理任何一方参加诉讼或仲裁； 6、对在工作中接触、了解到的有关甲方生产、经营、管理和对外联 系活动中的业务秘密，负有保守秘密的责任。 五、甲方遇有紧急法

3、律事务，可随时与法律顾问联系，并有责任向法律 顾问详细真实地介绍有关情况。乙方应及时处理和妥善解决。 六、按照律师业务收费管理办法和律师业务收费标准经双方协 商，由甲方每年向乙方支付法律顾问费人民币元整。 甲方于本合同生效之日起5日内一次性向乙方支付法律顾问费。七、甲方与其他单位或公民发生纠纷诉讼时，或出现清算破产、兼并重 组等重大的法律事务，委托法律顾问参与的，应另行办理委托手续。 对标的额100万元以下的，按照收费标准80%收费；对标的额100 万元以上的，按照收费标准70%收费。 八、乙方办理甲方委托事务所支付的实际开支，包括但不限于差旅费、 查询费等，由甲方实报实销。 九、本合同有效期

12、give convenience to the work of the Legal Counsel appointed by the Firm, including office facilities, transportation and other necessary facilities. The standard shall not less than that of a section head of the Client. ?V. Obligations and liabilities that the Firm and its appointed legal counsel sh

13、all take a） Shall handle the legal fairs submitted by the Client timely, meticulously and dutifully, especially shall provide his legal service in accordance with laws and pursuant to the terms and conditions of the contract hereto. b） Shall base himself on facts and take law as the criterion, insis

14、t on fulfilling his duty according to the laws. c） Shall do his work within the limits of authorization of the Client and under this contract, not exceed the limits. d） Shall not engage in any activities that may injure the Clients legal rights and interests, nor accept authorization by the opposite

15、 party of the Client to act as agent in a civil, economic, administrative cases or arbitration activities. e） When a dispute between or among Clients of the same Legal Counsel happens, the Legal Counsel shall conduct conciliation for the parties on voluntary and lawful basis. The Legal Counsel shall

16、 not represent either of them to participate in the proceedings of litigation or arbitration activities. f） The Firm agrees that any business secrets of the Client whenever they get to know from their work for the Client, which concern the manufacture, operation, management and other business secret

17、s of the Client will be treated by the Firm in full confidence and will not be revealed to any other persons, firms or organizations. V. The Client can contact Legal Counsel in any time whenever it has emergency legal fair, and the Client shall faithfully furnish the Legal Counsel with facts, eviden

22、合法权益。 （服务范围根据具体情况而定） 第三条 甲方义务： 1、及时、真实、全面地向乙方提供与项目有关的全部文件和背景材料，承担因违反本款而产生的不利后 果； 2、积极、主动地配合乙方律师为甲方的利益所从事的各项工作，根据实际需要为乙方提供办公、交通、 住宿等工作便利； 3、按本协议第五条的约定向乙方支付律师费。 第四条 乙方义务： 1、认真、勤勉地为甲方提供本协议第二条范围内的服务，依法切实维护甲方的利益； 2、乙方提供的咨询及法律意见和文本应当符合法律、法规的规定，尽乙方之最大可能维护甲方之合法权 益。除非甲方提供的资料与信息存在隐瞒、不真实或有误导； 3、对因完成本协议约定的委托事项而
