1、甲方委托乙方设计智能收发验证系统技术方案，乙方将设计开发方案的验证电路及负责整体思路的建立，为此订立以下协议，并由双方共同恪守。Article1Definitions第一条定义1.1TechniqueProposalOfSmartT/RVerificationSystem（hereinafterreferredtoas“theSolution”）shallmeanalltherequiredtechniquestoconstructthegeneralideawhichwillcommittheattachedtechnicalrequirements.TheSolutionshallincl

2、udealltechnicaldetailsofalldesigningschemesandexperimentalverificationforkeycircuits.智能收发验证系统技术方案（以下简称“方案”），是指设计满足附件要求的总体技术方案，所需要的解决方案。该解决方案包括全部设计方案资料及关键电路验证技术资料。1.2TechnicaldocumentationsshallmeanallthenecessarydocumentstodesigntheSolutionandalltheverificationdocumentsthatPartyBwilluseindesigningth

3、eSolution.技术资料，指研发解决方案所必需的资料，包含乙方在设计方案的过程中，所使用的全部有关验证技术资料。1.3“R&D”shallmeanresearchanddevelopment.“R&D”，是指研究和开发。1.4”T/R”shallmeantransmitandreceive.“T/R”，是指发射和接收。1.5”Soc”shallmeansystemonchip.“SOC”,是指系统级芯片。1.6”ASIC”shallmeanapplicationspecificintegratedcircuit.”ASIC”,专用集成电路。Article2Contents&scopesof

4、contract第二条合同内容和范围2.1TherequirementsofthecontractSolution合同技术方案要求2.1.1TechnicalContent技术内容:（1）Designtechnicalproposal;设计技术方案；（2）Keycircuitsverification;验证关键电路；（3）Detailedtechnicalrequirementsseetechniqueattachment.详细技术要求见技术协议附件。2.1.2TechnicalMethodandStrategy技术方法和路线:（1）ShouldadoptSOCandASICtechnolog

5、y;采用SOC和ASIC技术；（2）ShouldadoptthesmartT/Rsystemtoverifythekeycircuits.采用智能收发组件系统对关键电路进行实验验证。2.2Theobligationsofbothparties双方义务2.2.1 PartyBshallsubmittheR&DplantoPartyAwithintwomonthsafterthiscontractcomesintoeffect.乙方应在本合同生效后2个月内向甲方提交研究开发计划。2.2.2 PartyBshallaccomplishtheSolutiondesignworkaccordingtot

6、hefollowingschedule：乙方应按下列进度完成方案设计工作：（1）Phaseone第一阶段：1）Initializationphase:selectfoundary,obtaindesigndocuments,analyzeprocessfiles,establishcomputersystem,rentandpurchaseEDAsoftware,primarycommunicatedesignthoughtofverificationcircuitsandgeneralSolution;启动阶段：晶圆厂的选定、设计文件的获得、工艺文件的分析、计算机系统的建立、EDA软件的租用

7、及购买、验证电路与整体方案设计思路的初步沟通；2）Designphase:moduledivisionofchip,principledesign,computersimulation,layoutdesign;设计阶段：芯片的模块划分、原理设计、计算机仿真、版图设计；3）Testphase:primarytestandconsecutivetest.测试阶段：初测及继续测试。（2）Phasetwo:AltertheSolutionaccordingtothefirstphaseresults,andstartsecondrun.第二阶段：根据第一阶段测试结果对方案进行修改，同时配合总体设计进

8、行修改。2.2.3WiththebothpartiesconfirmationandontherequestofPartyA,PartyBshallprovidetechnicalguidanceandtrainingtothepersonneldesignatedbyPartyAorprovidethetechnicalservicerelatedinthefulfillmentSolutionaftertheSolutionisqualifiedbytheverificationcircuits.双方确定，乙方应在合同方案的关键电路验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和

9、培训，或提供与完成方案相关的技术服务。2.2.4Withtheconfirmationofthebothparties,withinthevalidityoftheContract,PartyAshalldesignateasPartyAsprojectcontactperson.PartyBshallappointasPartyBsprojectcontactperson.Ifanychangesofthecontactpersonoccur,onepartyshallinformtheotherpartybasedonwrittenmaterialsinduetime.Ifoneparty

10、failstopromptlyinformtheotherparty,itshallbeheldresponsibleforanyinfluenceordamagecausedbytheuntimelynotificationduringtheperformanceoftheContract.双方确定，在本合同有效期内，甲方指定为甲方项目联系人，乙方指定为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。2.3Delivery交付PartyBshalldeliverthecontractSolutiontopartyA

11、inaccordancewiththecontentsasspecifiedinitem2.2.2ofthecontract.乙方应按本合同条款2.2.2规定的内容，将合同方案技术资料交付甲方。2.4Assessment&Acceptance合同方案的验收Confirmedbythebothparties,PartyAshalladoptthesignedstandardsandmethodstoexamineandacceptthecontractSolutionbyPartyB.双方确定，按所签订的验收标准对乙方完成的合同方案技术进行验收。2.4.1Toensurethatthecontr

12、actSolutionsuppliedbypartyBiscorrect，reliableandadvanced，PartyA,BshalljointlyperformtheassessmentandacceptanceofthetechnicalSolutionandcorecircuitinaccordancewiththeprovisionsofitems2.1-2.3ofthecontractandtechniqueattachment.ifthetechnicalSolutionarequalified,bothpartiesshalljointlysignacertificateo

13、facceptanceintwocopies，oneforeachparty.为了保证乙方提供合同方案的正确性、可靠性和先进性，由甲乙双方技术人员一起，按本合同2.1-2.3及技术协议附件规定，共同对技术方案设计和核心电路进行考核和验收.考核验收合格后，双方代表要签署验收合格证书一式两份，双方各执一份为凭。2.4.2IftheSolutioncannotmeettherequirementsofthecontract,bothpartiesshallholdfriendlydiscussionstoanalyzethereasonsandtakemeasurestocorrectanydefe

14、ctandprepareforthesecondassessmentandacceptanceofthecontractSolution.IftheSolutionarestillnotqualifiedafterthesecondassessmentandacceptanceandtheresponsibilityliesinPartyB,PartyBshallberesponsibleforallthelossesthuscaused,PartyAshallhavetherighttoterminatethecontractandraiseaclaimagainstPartyBaccord

15、ingtoArticle6；iftheresponsibilityliesinPartyA,bothpartiesshallmutuallydiscussthefurtherimplementationsofthecontract.如果考核验收达不到本合同的规定要求，则双方要友好协商，共同研究分析原因，采取措施，消除缺陷，进行第二次的考核和验收。若经过第二次考核仍不合格，如属乙方责任，则乙方应承担由此而造成一切损失，甲方有权终止合同并按第6条的规定由甲方向乙方索赔，如属甲方责任，则双方应共同协商本合同的进一步执行问题。2.5ContracttechnicalSolutionresultsand

16、relatedintellectualpropertyownership合同技术方案研发成果及相关知识产权的归属Confirmedbythebothparties,thetechnicalSolutionresultsandrelatedintellectualpropertyrightgeneratedfromtheContractshallbesettledbythefollowingmethods.双方确定，因履行本合同所产生的研究开发成果及其相关知识产权权利归属，按以下式处理：2.5.1 PartyAhastherighttoapplyforthepatents.Theuseandth

17、erelevantallocationofbenefitsafterobtainingthepatentrightareasfollowing:PartyAwillownthepatentrightandbenefits.甲方享有申请专利的权利。专利权取得后的使用和有关利益分配方式如下：专利权为甲方所有，利益归甲方所有。2.5.2Theprofitcausedfromtheuseandtransferoftheownershipofpatentrightshallbedealtbythefollowingways:有关使用和转让的权利归属及由此产生的利益按以下约定处理:（1）Therightt

18、ousetechnicalsecret:OwnedbypartyA;技术秘密的使用权:归甲方所有；（2）Therighttotransfertechnicalsecret:技术秘密的转让权:（3）Themethodtoallocatedtherelevantbenefits:相关利益的分配办法:归甲方所有。2.5.3TheownerofthephysicalfixedpropertywhichwereboughtbyPartyBrightsofequipments,instrumentsprocuredwiththefundsofresearchanddevelopmentisPartyB。乙

19、方利用研究开发经费所购置与研究开发工作有关的设备、仪器等实物固定财产，归乙方所有。2.5.4Withthebothpartiesconfirmation,PartyAhastherighttoutilizetheresearchanddevelopmentachievementsprovidedbyPartyBinaccordancewiththestipulationintheContracttomakefollow-upimprovement.Therebythenewtechnologicachievementswiththefeatureofsubstantialorcreativet

20、echnologyprogressanditsrightadscriptionshallbesharedbyPartyA.Thedetailedallocationoftherelatedbenefitsshallbeasfollows:OwnedbypartyA。双方确定，甲方有权利用乙方按照本合同约定提供的研究开发成果，进行后续改进。由此产生的具有实质性或创造性技术进步特征的新的技术成果及其权属，由甲方享有。具体相关利益的分配办如下：2.5.5 AftertheaccomplishmentoftheR&DworksstipulatedintheContract,PartyBhastheri

21、ghttotakeuseoftheresearchanddevelopmentachievementstomakefollow-upimprovement.TherebythenewtechnologicachievementswiththefeatureofsubstantialorcreativetechnologyprogressshallbeownedbyPartyB.Thedetailedallocationoftherelatedbenefitsshallbeasfollows:OwnedbyPartyB.乙方有权在完成本合同约定的研究开发工作后，利用该项研究开发成果进行后续改进。

22、由此产生的具有实质性或创造性技术进步特征的新的技术成果，归乙方所有。具体相关利益的分配办法如下：归乙方所有。Article3Contractprice第三条合同价格3.1AccordingtothecontractcontentsandscopesasspecifiedinArticle2,thetotalpriceofthecontractSolutionprovidedbyPartyBincludingthedesigns,drawings,technicalserviceandtrainingshallamountto按第二条所规定的合同内容和范围，乙方所提供的合同方案包括设计方案、设计

23、图纸、技术服务和技术培训等的全部资料总价格为美元。3.2TheabovecontractpriceisfixedandshallincludetheexpensesofallthetechnicaldocumentationspecifiedinArticle2ofthecontract.SuchcontractpriceshallalsoincludetheexpensesforpartyBtocarryouttheothercontractobligationsofthiscontract.上述合同的价格为固定价格，包括本合同第二条所规定的全部技术资料。该价格包括乙方在本合同中所承担的其他

24、义务的全部费用在内。3.3AllthecalculationsandpaymentofexpensesofthiscontractshallbeinUSdollars.本合同内的一切费用均以美元计算和结算。Article4Payment&Paymentconditions第四条支付与支付条件4.1Initializationexpensesaftercontractsigning:PartyAshallpayeightythousanddollarstoPartyB;合同签订后启动费用：甲方支付乙方8万美元；4.2AfterthewholeprimarySolutionprovidedbyPa

25、rtyBisqualified,PartyAshallpayonehundredandtwentythousanddollarstoPartyB;乙方整个初步方案通过后，甲方支付乙方12万美元;4.3Afterselectingfoundary,PartyAshallpayonehundredandfiftythousanddollarstoPartyB;选定晶圆厂后，甲方支付乙方15万美元；4.4AfterprovidingthedesignSolutionandsimulatedresults,PartyAshallpaythreehundredthousanddollarstoParty

26、B;提供设计方案及模拟结果后，甲方支付乙方30万美元；4.5Afterprovidingverificationcircuitsandqualified,PartyAshallpayeighthundredandseventythousanddollarstoPartyB.测试电路提供后并验证了电路后,甲方支付乙方87万美元。Article5InfringementsandConfidentiality第五条侵权和保密5.1PartyBguaranteesthattheSolutionsuppliedbyeachpartywithoutanyinterferenceorchargefroman

27、ythirdparty.Incaseofanyinterferenceorchargefromathirdparty,theyshallbehandledbyeachpartyandthethirdparty.theresponsibilityandloss,eitherlegallyoreconomically，shallbebornebypartyB.乙方保证所提供的总体方案不受任何第三者干涉和指控。如果发生第三者干涉和指控，则由乙方负责同第三者进行交涉，并由其承担法律上和经济上的全部责任和损失。5.2Afterterminationofthecontractterm,PartyAshal

28、lstillhavetherighttousetheSolutionandtechnicaldocumentationstomanufacturerelevantproducts.在本合同终止后，甲方仍有权继续使用乙方提供的技术方案和全部技术文件进行相应产品的生产。Article6GuaranteesandClaims第六条保证和索赔6.1Withthebothpartiesconfirmation,eitherpartybreachestheContractandtherebycausesastandstill,delayorfailureinresearchanddevelopmentwo

29、rk,theresponsiblePartyshallundertaketheresponsibilityaccordingtothefollowingstipulations双方确定：任何一方违反本合同约定，造成研究开发工作停滞、延误或失败的，按以下约定承担违约责任:（1）IfPartyAbreachesArticle4intheContract,theresponsiblepartyshallpaypursuanttotheamountoftenpercent（10%）ofthecontractprice（methodsforcomputingtheamountofbreachofcont

30、ractdamagesandthecompensationforlosses）.甲方违反本合同第4条约定，应当按合同总额的10%赔偿支付（支付违约金或损失赔偿额的计算方法）。（2）IfPartyBbreachesArticle2,4or5intheContract,theresponsiblepartyshallpaypursuanttotheamountoftenpercent（10%）ofthecontractprice（methodsforcomputingtheamountofbreachofcontractdamagesandthecompensationforlosses）.乙方违反本合同第2、4或者5条约定，应当按合同总额的10%赔偿支付（支付违约金或损失赔偿额的计算方法）。6.2AsfortheliabilityforrisksinvolvedinafailureorpartialfailureinresearchanddevelopmentcausedbyinsurmountabletechnicaldifficultiesunderthecurrenttechnologyandconditionoccurringintheprocessofperformanceoftheContact,itshallbeun
