9、ions And Occupational Hazard Protection第十条 甲方根据乙方岗位的实际情况,向乙方提供符合国家规定标准的劳动保护用品。10. According to the actual situation of Party Bs job requirement, Party A shall provide labor protection articles qualified for provisions of the state standard.第十一条 甲方为乙方提供符合国家安全卫生标准的工作场所和完成工作任务所必须的劳动工具。11. Party A shoul

10、d provide work places qualified for national safety and health standards and tools necessary for the job.第十二条 甲方根据国家有关法律法规,建立健全安全生产制度和职业危害防护制度,双方应当严格遵守,严禁违章作业,防止事故的发生,减少职业危害。12. Party A shall establish safe production system and occupational hazards protection system according to relevant state laws

11、 and regulations. Both parties shall strictly abide by it to avoid illegal operation and prevent accidents which may cause occupational hazards.第十三条 乙方对甲方管理人员违章指挥、强令冒险作业,有权拒绝执行;对危害生命安全和身体健康的劳动条件,有权提出批评、检举和控告。13. Party B is entitled to decline any violated order or forcing of risk duties. Party B has

12、 the right to criticize, impeach and charge to any labor conditions which may endanger his/her life safety and body health.六、劳动纪律Labor Discipline第十四条 遵守国家法律、法规及甲方指定的各项规章制度,遵守职业道德,维护甲方的荣誉和利益,按时保质保量地完成工作任务是乙方应尽的义务。14. Party B shall comply with national laws, regulations and rules pointed by Part A, ab

13、ide by professional ethics, protect the honors and interests of Party A and ensure his/her completed staff work.第十五条 乙方应遵守甲方根据生产经营需要依法指定的规章制度和劳动纪律。如乙方违反甲方指定的规章制度和劳动纪律,甲方有权根据规章制度进行处理。15. Party B should abide by the specified rules, regulations and labor discipline specified by Party A according to th

14、e needs of business operation. Party A has the right to proceed with rules and regulations if there are violations to the rules, regulations and labor discipline from Party B.第十六条 甲方的各类规章制度,及甲乙双方签订的有关协议均为本合同的有效补充,与本合同具有同等的法律效力。16. All rules and regulations, including agreements signed by Party A and

15、 Party B aside from this contract, have the equal legal effect as this contract.七、合同的履行、变更、解除、终止、续订Implement, Change, Remove, End and Renew Of The Contract第十七条 聘用合同期满前一个月,经双方协商同意,可以续订聘用合同。17. Agreed by both parties, Party A and Party B can sign a renew contract a month before the expiry date of the

16、contract.第十八条 下列情形之一本合同可终止18. Following situations may cause contract termination(一)本合同期满The contract expires(二)双方就解除本合同协商达成一致Both parties agree on termination of the contract(三)签订合同时的客观条件发生变化,无法继续履行合同The objective conditions changes and the contract cannot continue to perform (四)乙方由于健康原因不能继续履行本合同义务

17、的Due to Party Bs health problems, he/she cannot continue to perform the obligations of this contract(五)其他情况:Other conditions:第十九条 甲、乙双方若单方面解除本合同,可提前三十天以书面形式告知对方即可。19. To terminate this contract from a single party, he/she needs to inform the other party in written form 30 days in advance.第二十条 本合同终止、

18、解除后,乙方应在30天内将有关事项及因履行本协议从甲方处取得的资料文件等向甲方移交完毕,并附书面说明;移交完毕后公司将在下一工资发放日结算并发放剩余报酬;如未履行相关交接工作并给甲方造成损失,应予赔偿。20. Once remove or expiration of the contract, Party B shall return relevant matters including documents and information obtained from Party A within 30 days with written statement. After duty transf

19、er, the company will settle the rest payment on the next payroll day. Any losses caused by incapable of complete transfer would be asked for compensation to Party A. 八、特别约定及其它事项Other Matters第二十一条 乙方变更通信地址或手机、固定电话等其它联系方式时,应当于变更发生之日起十日内书面通知甲方。21. If Party B changes communication address or other conta

20、ct information, such as the cell number and fixed telephone, he/she shall give a written notice to Party A within ten days from the changes.第二十二条 本合同未尽事宜,双方可以协商签订补充协议,补充协议与本合同具有同等效力。22. For items not mentioned in this contract, both parties can negotiate to sign a supplementary agreement. Supplement

21、ary agreement enjoys same legal effect as this contract.第二十三条 本合同自甲、乙双方盖章或签字之日起生效。本合同一式两份,甲乙双方各执一份。23. This contract is effective by signatures of both parties. This contract is made in duplicate and each party holds one counterpart.第二十四条 甲方的员工手册和规章制度为本合同附件。24. Handbook and other rules and regulatio

Possibly resulting compensation claims by the development manager of this Agreement shall not be affe

24、cted by the revocation. 提交重要原因并经股东会通过,可以随时废除该合同。重要原因应包括失职或不能胜任该职位。研发中心总经理若提出补偿索赔要求,将不受到合同废除影响。HR:合同的解除及补偿中国是有相关法律规定的,如出现以上情况依据中国法律规定执行。不建议合同中约定(3) The contractual relationship ends without notice at the end of the month in which his head of development 65/66/67. 25、pment manager).合同将在研发中心总经理年满65/66/67岁(依据研发中心总经理年纪而定)的当月末自动失效。因 Manfred 年龄达到中国法律规定退休年龄,因此不存在退休等问题。可通过合同约定期限或相关解除条款等方式解除合同 (4) If the head of development in accordance with a medical certificate permanently no longer able to fulfill its duties under this contract, the employment contract expires at th

26、e end of the month in which a doctor has reached that conclusion. The permanent incapacity is indisputably assumed if a disease-related disability uninterrupted nine months or a longer period. In the event of termination of employment due to permanent disability, the development manager is entitled

27、to a severance payment of three times the basic monthly salary within the meaning of若研发总经理提交医疗证明,证明其本人永久性不能履行此合同下其职责,劳动合同将在医生的证明下在当月月末失效。关于永久丧失工作能力定义为本人在持续的九个月或更长的时间里受到疾病相关的残疾,研发中心总经理将有权获得每月基本工资( 4第一条所定的)三倍的遣散费。因病不能继续履行合同的情况中国有相关法律规定,以上条款高于中国相关标准请领导确认,是否同意(5) End the employment relationship by the d

The choice of company car is subject to the policy for company vehicles of the company. 公司将为受雇人提供一辆公司汽车,受雇人可以用于私人需求。公司汽车的选择将依据公司对车辆使用的政策来安排。我司行政部门会依据公司规定进行安排,但目前并没有车辆直接提供。(8) The Company will make the development manager for an apartment in the

31、upscale standard.公司将为受雇人提供一处以高档标准要求的住所。我司行政部门会依据公司规定进行安排,请领导确认,是否同意(9)The Head of Development has in the case of medically diagnosed sick leave are entitled to continued remuneration in case of sickness for a period of six months. The entitlement to continued remuneration includes all financial benefits of this contrac
