2、大学硕 士学位论 文 中文摘要摘 要私 募 股 权投 资 基金 是 一种 新 兴的 直 接投 融 资工具 , 通 过非 公 开的 形 式募 集 机构 投 资人 和 个人 的 资金 , 对 具 有发 展 潜力 和快速 成 长的 企 业进 行 权益 性投 资 。 投资 人 按照 其 出资 份 额分 享收 益 ,分 担 风险 。私募 股 权投 资 基金 为 广大 企业 特 别 是急 需 资金 的 中小 企 业提 供了 新 的融 资 渠道 ,帮助 企 业实 现 价值 增 值, 有利 于 拓 宽社会投资渠道、实现资本的有效配置,完善资本市场。 我国私募股权投资基金主要受 公司法 、 合 伙企业法 、 证

3、券投资基金法 、 信 托法 和 创 业投 资企 业 管理 暂 行办 法等 法 律法 规 规制 。 这些 法律 法 规 的出 台 ,为 私 募管 权 投资 基金 建 立了 基 本的 制度框 架 。但 是 这些 法 律法 规涉 及 私 募股 权 投资 基 金的 部 分比 较有 限 ,尚 未 形成 系统完 善 的私 募 股权 投 资基 金法 律 法 规体 系 。我 国 私募 股 权投 资基 金 经过 二 十多 年的发 展 ,取 得 了不 错 的成 绩, 促 进 了市 场 经济 的 繁荣 。 但由 于相 关 法律 法 规的 缺失、 不 完善 , 一定 程 度上 限制 了 私 募股 权 投资 基 金的

4、发 展。 与发 达 国家 相 比, 我国私 募 股权 投 资基 金 目前 还处 于 发 展的 初 级阶 段 阶段 , 需要 健全 的 法律 制 度予 以规范 。 形成 完 善的 法 律法 规体 系 , 为私募股权投资基金的发展创造良好的法制环境, 成为时下学术界研究的热点课题。为 了 更 好地 规 范私 募 股权 投 资基 金 的运 作 ,为私 募 股 权投 资 基金 的 发展 构 筑一 个 良好 的 发展 平 台。 笔者 通 过阅 读 国内 外有关 投 资基 金 的书 籍 ,从 我国 的 现 实国 情 出发 , 借 鉴 发 达国 家私 募 股权 投 资基 金的发 展 经验 , 通过 六 个部

5、 分对 完 善 我国私募股权投资基金的法律制度提出自己的见解。第 一 部 分, 引 言。 介 绍了 私 募股 权 投资 基 金发展 的 背 景环 境 、发 展 现状 和 对经 济 发展 的 重要 贡 献。 指出 了 目前 我 国私 募股权 投 资基 金 的法 律 规制 现状 , 通 过比较分析和实证的方法,引出本文的研究对象和写作目的。第二部分, 私募股权投资基金概述。 介绍了私募股权投资基金的含义和特征,从 不 同角 度 对私 募 股权 投资 基 金与 相 关概 念进行 比 较分 析 ,从 多 个方 面展 示 了 私募股权投资基金的重要作用,为下文的论述奠定理论基础。第 三 部 分, 私 募

6、股 权 投资 基 金 的 一 般理 论 。通过 对 私 募股 权 基金 风 险的 揭 示以及监管的经济学原理分析,提出了加紧规范私募股权基金市场的紧迫性。第 四 部 分, 中 国私 募 股权 基 金监 管 现状 。 介绍了 我 国 私募 股 权基 金 的监 管 现状 。 该部 分 从宏 观 上对 我国 私 募股 权 基金 的现实 作 了概 括 ,指 出 我国 私募 股 权 市场存在的主要问题。第 五 部 分, 对 我国 私 募股 权 基金 法 律监 管 提出 法律 建 议。 在 监管 原 则的 指 导下针对于我国私募股权市场的特点, 借鉴国外经验及我国地方立法提出具体建议。I 重庆大学硕 士学

It raises funds from institutional investor, corporation and individual without

8、public offering, and it does equity investment on potential and fast-growing companies. Investors share revenue and risk in accordance with their contribution. Private equity fund provides new financing channels for enterprises, especially for small and medium-sized enterprises, helps enterprises ad

9、d their values. It is conducive to broaden the channel of social investment, realize the efficient allocation of capital and complete the capital marketIn China, the private equity fund is mainly regulated by the Company Law ,the Securities Act ,the Trust Law ,and the Partnership Law. These regulati

10、ons establish a fundamental framework for the private equity fund, but still have many uninvolved fields. Regulation system on private equity fund is not yet complete. After more than 20 years development, Chinas private equity fund gets achievement and promotes market economys prosperity. However,

11、the lack of relevant regulations hinders the development of private equity fund. Compared with major developed countries, Chinas private equity fund is still in the initial stage. Relevant regulations should be completed to create a good legal environment for the development of private equity fundIn

12、 order to regulate the operation of private equity fund, a good platform should be built. With abundant reading on domestic and foreign books, author takes developed countries experience as reference and put forward own suggestions on regulation completion from our nations condition. The suggestion
