1、委托书之法律顾问委托合同书法律顾问委托合同书【篇一：法律顾问委托合同】 法律顾问委托合同 （2007）第号 重庆市司法局 重庆市律师协会监 制 法律顾问委托合同 （2007）第号 委托人（以下简称甲方）： 受托人（以下简称乙方）： 法定代表人： 甲方因工作及业务之需要，为维护本单位的合法权益，根据中华人民共和 国律师法之有关规定，聘请乙方指派的律师担任法律顾问。甲、乙双方经友好 协商，订立本合同，以资共同遵守： 第一条 法律顾问的指派 乙方指派律师出任甲方的法律顾问，甲方同意乙方的指派。 第二条 服务内容 乙方为甲方提供如下法律顾问服务： 1就甲方日常经营管理活动中涉及的有关法律问题，提供咨询

2、意见； 2审查或起草甲方针对专门事项的声明、承诺、保证或公告等文书； 3负责审查甲方与他方的意向书、合同、纪要及其他法律文书； 4对甲方的格式合同和其他标准格式的文件进行必要的审订、修改，使之更 加完善和适用； 5以拟发律师函的方式，协助甲方主张权利或回应他方的权利请求； 6就甲方重大决策提供必要的法律论证，协助甲方构建符合中国和本地法 律条件与法制环境的经营模式与运作方式； 7在需要时，就具体服务事项提供中、英文两种版本的法律文书； 8在需要时参与甲方和他方间的重大商业谈判； 9根据甲方经营、管理情况，在需要时，就普及性法律知识或针对甲方所 涉及的具体问题，以专题讲座、座谈等恰当形式，对甲方

3、员工进行法律培训；10以非诉讼、非仲裁的方式帮助甲方处理与聘用员工的劳动合同关系； 11协助或代理甲方以非诉讼、非仲裁的方式处理甲方与他方的争议。 为保证乙方不过度介入甲方的企业活动，乙方提供上述服务均以甲方提出具 体需要为前提。 第三条 法律顾问服务外的其他法律服务及收费方法 甲方要求乙方指派律师作为具体参与有关仲裁、诉讼和非诉讼案件以及承担 公司并购、合资、股权转让、企业股份制改造并上市、上市公司配股、增发新股、 发行可转换公司债券等重大专项法律服务时，甲方应另行与乙方订立委托代理合 同，并按照乙方的优惠收费标准向乙方支付律师费用。 甲方理解并同意，乙方指派律师的工作只限于与甲方以独立法人

4、名义发生的 活动相关，乙方指派律师无义务为甲方职工、甲方参与的任何形式的合作或联合 组织提供法律顾问服务。若甲方职工、甲方参与的任何形式的合作或联合组织需 要乙方提供法律服务，乙方可以按照律师收费办法优惠 20% 收取律师服务费。 第四条 律师服务方式 1除非特殊需要，法律顾问在乙方所在地办公场所办公； 2双方提倡以电话、传真及电子数据交换方式进行联络，并尽量以快捷、 简便的方式处理日常法律事务，但对重大、复杂等关系企业重大权益的法律事务 乙方应以书面方式完成服务； 3法律顾问在提供本合同第二条第9项服务时应在甲方所在地或者甲方安 排的其他合适场所进行。 第五条 律师服务费、差旅费和其他费用的

5、约定 1律师服务费 律师服务费为甲方应向乙方缴纳的法律顾问费。 本合同项下律师服务费为人民币 元。 2差旅费 （1）在重庆市区（仅指渝中区、江北区、沙坪坝区、南岸区、九龙坡区、 大渡口区、渝北区、巴南区、北碚区，下同）内办理甲方委托的法律事务，乙方 按律师服务费的10%收取差旅费。 本合同项下市区差旅费为人民币 元，实行包干制。 （2）承办律师如需到市区以外出差，差旅费由甲方另行支付。3其他费用 乙方律师在进行与甲方委托办理的法律事务过程中可能发生的鉴定费、公证 费、公告费、查档费、查档材料复印费、阅卷材料复印费、特快专递费、国际电 话费、专家论证会费等费用，不属于律师服务费，由甲方另行支付。

6、 4费用的支付 （1）甲方应于本合同签订之日起3日内向乙方一次性付清律师服务费和市 内差旅费。其他费用的支付以不影响承办律师办理法律事务为原则，可以在费用 发生后立即凭据支付，也可以预付，在结案时结算。 （2）除非甲、乙双方另有书面约定，甲方在任何时候均不得向承办律师直 接支付任何费用或接受承办律师报销任何费用，甲方也无须向承办律师支付额外 的报酬、补贴、津贴或者馈赠。 5乙方开户银行及账号 乙方户名： ； 乙方开户银行： ；乙方银行账号：。 第六条 甲方的权利和义务 1甲方应当真实、完整、客观地向律师介绍有关生产经营管理的情况，提 供与甲方生产经营管理有关的文件材料。 2甲方应当按照本合同约

7、定的金额或计费方式和时间向乙方支付全部法律 顾问服务费。 3甲方应当为律师开展工作提供一切必要的便利。 4甲方有权要求乙方及时更换在服务过程中工作不负责任的，或不适合服 务于甲方的律师，但甲方应向乙方说明要求更换律师的具体理由。 5 不得要求乙方律师进行违法活动。 6 如乙方无正当理由解除本合同，甲方有权要求乙方退还全部律师服务费 和差旅费。 第七条 乙方的权利和义务 1乙方应当依法忠实地维护甲方的一切合法权益。 2乙方应当根据甲方的具体情况适时开展法律顾问服务工作。 3乙方应当按时地为甲方提供相关的法律顾问服务。4乙方必须严格遵守律师职业道德和执业纪律，不得泄露甲方的技术秘密、 商业秘密或者

8、个人隐私。 5除本合同约定或甲乙双方另行协商外，乙方指派的律师不得私自向甲方 收取费用。 6乙方有权根据本合同的约定向甲方收取律师服务费。 7甲方未按时足额向乙方支付律师服务费及差旅费，乙方及其指派律师有 权暂缓履行法律顾问工作。 8签订本合同后，如甲方无正当理由单方解除合同，乙方收取的律师服务 费和差旅费不予退还；如甲方尚未支付律师服务费和差旅费且无正当理由单方解 除合同，甲方有权继续追讨。 9乙方同意并保证，如果乙方指派的律师没有履行或者不能继续履行法律 顾问职责，乙方应另行指派律师接替，以完成本合同约定的法律服务事务。 第八条 保密事项 本合同的全部内容均为双方的商业秘密，未经对方许可，

9、任何一方不得泄漏， 但双方为履行各自的义务或者在涉讼时需作为证据使用时除外。 第九条 合同的解除 1甲方解除合同的条件 （1）甲方要求更换未履行或者不能履行合同义务的承办律师，乙方无正当 理由拒绝更换； （2）承办律师违反保密义务，已经或者必然给甲方带来合法利益损失，乙 方拒绝采取救济措施。 2乙方解除合同的条件 （1）甲方向承办律师陈述虚假案件情况，提供虚假材料，经承办律师指出 而拒绝改正的； （2）甲方要求承办律师实施违法违纪行为，经承办律师指出而坚持要求的； （3）甲方拒绝履行支付义务的。 第十条 违约责任 1甲方的违约责任 （1）除本合同第九条规定的条件外，甲方单方解除合同的，应承担违

10、约责 任。承担的违约责任相当于乙方根据本合同约定所享有的全部受支付利益；【篇二：委托法律顾问协议】 委法律顾问协议 consultation agreement 1、协议各方。 1. identification of parties. 本协议由_（“顾问方”）, 和_（下称“客户方”）签订，经双方代表签字后由双方各执一份。 this agreement, executed in duplicate with each party receiving an executed original, is made between _ , hereafter referred to as consu

16、ired. 4、双方的责任。 4. responsibilities of consultant and client. 顾问方应履行本协议项下的顾问服务，将案件的进展及时告知客户方，并及时答复客户方的咨询和沟通。客户方将对顾问方秉持真实客观的立场和积极配合的态度，并将合理地告知顾问方有关案件的进展以及客户方地址、电话号码以及其他相关信息。 consultant will perform the consultation services called for under this agreement, keep client informed of progress and developm

18、e amount consultant will receive for consultants fees for the legal services to be provided under this agreement will be:(a)预先支付的不可退还的首期服务费 _；以及， (a)_ as an upfront, non-refundable initial engagement fee; and, (b) %的净额裁决款，若已取得该等款项。 (b)_ percent of the net recovery, if recovery is obtained. “净额裁决款”是指

19、在扣除本协议第7条中所称的所有“成本费”后的裁决给付金额（不管是通过和解、仲裁还是法庭审判方式产生）。 net recovery means the total amount remaining after the total amount received (whether by settlement, arbitration award, or court judgment) has been reduced by the sum of all costs, as defined in paragraph 7 of this agreement. 客户方了解顾问费并非按法律的法定规定来确定

20、金额的，而是由本合同双方进行协商确定的。 client is informed that this consultants fee is not set by law but rather is negotiable between the consultant and the client. 若没有净额裁决款，顾问方将不再从裁决款金额中收取顾问服务费，但是3%的预付首期付费是不可退回的。 if there is no net recovery, consultant will receive no consultants fees from the recovery. however, th

21、e 3% upfront, initial engagement fee is non-refundable. 6、服务费分成。 6. division of consultants fees. 顾问方将会与愿意按客户方提出的条件接手案件的新泽西当地律师就本协议项下所提供的法律服务进行服务费分成。分成的原则如下：聘请的新泽西律师使客户方感到满意，同时允许他们按风险收费方式收费。顾问方将会尽最大的努力向聘请的新泽西当地律师提供最合理的服务费的分配。客户方已知悉，根据加州律师协会行业行为准则的规定，只有在律师向客户方书面披露进行费用分成的方式，并经过客户方书面同意后，才能对前述服务费进行分成。客户

22、方明确表示同意这种分成方式。 consultant will divide the consultants fees received for the legal services provided under this agreement with local new jersey counsel who agree to accept the case under terms acceptable to client. the terms of the division are as follows: new jersey legal counsel will be retained th

23、at is satisfactory to client, and they will beentitled to a contingency legal fee. consultant will make best efforts to obtain the best possible fee arrangement for the retention of new jersey legal counsel for client. client is informed that, under the rules of professional conduct of the state bar

24、 of california, such a division may be made only with the clients written consent after a full disclosure to the client in writing that a division of fees will be made and of the terms of such division. client hereby expressly consents to the division. 7、成本费。 7. costs. 客户方将会预先支付本协议项下顾问方代理事务所产生的成本费。这

25、些成本费将在取得裁决款并向顾问方支付服务费前扣除。若没有取得裁决款，或裁决款不足补偿客户方所支付的成本费时，由此造成的损失由客户方自行承担。成本费包括但不限于：诉讼费、证人费、专家服务费和开支、调查费、长途电话费、邮寄费、影印费、传票送达费。 client will advance all costs in connection with consultants representation of client under this agreement. client will be reimbursed out of the recovery before any distribution

26、of fees to consultant. if there is no recovery, or the recovery is insufficient to reimburse client in full for costs, client will bear the loss. costs include, but are not limited to, court filing fees, deposition costs, expert fees and expenses, investigation costs, long-distance telephone charges

27、, messenger service fees, photocopying expenses, and process server fees. 8、利害冲突释明。 8. representation of adverse interests. 客户方已知悉，根据加州律师协会行业行为准则的规定，在客户方的委托律师与其所代理事务中的相对方存在利害关系时，其需要获得该客户方的书面同意，方可开始或继续代理该客户方的法律事务。顾问方没有发现其在本协议项下所代理的客户方事务中有与之有利害关系的第三方的存在。只要顾问方依据本协议向客户方提供法律服务期间，顾问方不得在未经客户方的书面同意的前提下再向任何他

28、方提供法律服务。 client is informed that the rules of professional conduct of the state bar of california require the clients informed written consent before an attorney may begin or continue to represent the client when the attorney has or had a relationship withanother party interested in the subject matt

29、er of the consultants proposed representation of the client. consultant is not aware of any relationship with any other party interested in the subject matter of consultants services for client under this agreement. as long as consultants services for client continue under this agreement, consultant

30、 will not agree to provide legal services for any such party without clients prior written consent. 9、和解。 9. settlement. consultant will not settle clients claim without the approval of client, who will have the absolute right to accept or reject any settlement. consultant will notify client promptly of the terms of any settlement offer received by consultant. 10、顾问方的留置权。 10. consultants lien. 顾问方有权从裁决款（不论是通过和解、仲裁或是法庭审判获得）的收益中留置其在代理本协议项下客户方的所有诉请和法律事务中所产生的费用和成本。 consultant will have a lien for consultants fees and costs advanced on all claims a
