2、商总会大中华区对此次示范条款的起草也做出了重要贡献。中德合资企业合同示范条款包含12章，内容涉及注册资本和出资、股份转让、董事会建立、保密、终止、争议解决等诸多方面。德国工商总会大中华区的作用是确保示范条款内容覆盖在华德企进行合资企业合同谈判时可能涉及的所有重要方面。德国工商总会大中华区法律专家凯福安博士说：“中德双方共同发布的示范条款内容包含了各类重要的法律问题。这将对中德企业在华建立合资公司奠定坚实的基础。”中德法律工作组成员不仅包括德国工商总会大中华区的中德法律专家，来自德 国泰乐信律师事务所的Magdalena Harnischfeger-Ksol女士也是其中一员，且起到了主导作用。在
