A.GeneralProvisionsandDefinitions总则和定义

Article1

ApplicationofURC522第一款：

《托收统一规则》第522号的应用。

a.TheUniformRulesforCollections,1995Revision,ICCPublicationNo.522,shallapplytoallcollectionsasdefinedinArticle2wheresuchrulesareincorporatedintothetextofthe“collectioninstruction”referredtoinArticle4andarebindingonallpartiestheretounlessotherwiseexpresslyagreedorcontrarytotheprovisionsofanational,stateorlocallawand/orregulationwhichcannotbedepartedfrom.

国际商会第522号出版物《托收统一规则》1995年修订本将适用于第二款所限定的、并在第四款托收指示中列明适用该项规则的所有托收项目。

除非另有明确的约定，或与某一国家、某一政府，或与当地法律和尚在生效的条例有所抵触，本规则对所有的关系人均具有约束力。

b.Banksshallhavenoobligationtohandleeitheracollectionoranycollectioninstructionorsubsequentrelatedinstructions.

银行没有义务必须办理某一托收或任何托收指示或以后的相关指示。

c.Ifabankelects,foranyreason,nottohandleacollectionoranyrelatedinstructionsreceivedbyit,itmustadvisethepartyfromwhomitreceivedthecollectionortheinstructionsbytelecommunicationor,ifthatisnotpossible,byotherexpeditiousmeans,withoutdelay.

如果银行无论出于何种理由选择了不办理它所收到的托收或任何相关的托收指示，它必须毫不延误地采用电讯，或者如果电讯不可能时采用其它快捷的工具向他收到该项指示的当事人发出通知。

Article2

DefinitionofCollection第二款托收的定义

ForthepurposesoftheseArticles:

就本条款而言：

a.“Collection”meansthehandlingbybanksofdocumentsasdefinedinsub-Article2（b）,inaccordancereceived,inorderto:

托收是指银行依据所收到的指示处理下述

（2）款所限定的单据，以便于：

I.obtainpaymentand/oracceptance,or取得付款和/或承兑；或

II.deliverdocumentsagainstpaymentand/oragainstacceptance,or凭以付款或承兑交单；或

III.deliverdocumentsonothertermsandconditions.按照其他条款和条件交单。

b.“Documents”meansfinancialdocumentsand/orcommercialdocuments:

单据是指金融单据和/或商业单据。

I.“Financialdocuments”meansbillsofexchange,promissorynotes,cheques,orothersimilarinstrumentsusedforobtainingthepaymentofmoney;

金融单据是指汇票、本票、支票或其他类似的可用于取得款项支付的凭证；

II.“Commercialdocuments”meansinvoice,transportdocuments,documentsoftitleorothersimilardocuments,oranyotherdocumentswhatsoever,notbeingfinancialdocuments.

商业单据是指发票、运输单据、所有权文件或其他类似的文件，或者不属于金融单据的任何其他单据。

c.“Cleancollection”meanscollectionoffinancialdocumentsnotaccompaniedbycommercialdocuments.

d.“Documentarycollection”meanscollectionof:

光票托收是指不附有商业单据的金融单据项下的托收。

I.financialdocumentsaccompaniedbycommercialdocuments;

附有商业单据的金融单据项下的托收；

II.Commercialdocumentsnotaccompaniedbyfinancialdocuments.

不附有金融单据的商业单据项下的托收。

Article3第三款托收的关系人

a.ForthepurposesoftheseArticlesthe“partiesthereto”are:

就本条款而言，托收的关系人有：

I.the“principal”whoisthepartyentrustingthehandlingofacollectiontoabank;

委托人即委托银行办理托收的有关人；

II.the“remittingbank”whichisthebanktowhichtheprincipalhasentrustedthehandlingofacollection;

寄单行即委托人委托办理托收的银行；

III.“collectingbank”whichisanybank,otherthantheremittingbank,involvedinprocessingthecollection;

代收行即除寄单行以外的任何参与处理托收业务的任何银行；

IV.the“presentingbank”whichisthecollectingbankmakingpresentationtothedrawee.

b.The“drawee”istheonetowhompresentationistobemadeinaccordancewiththecollectioninstruction.付款人即根据托收指示向其提示单据的人。

B．FormandStructureofCollections托收的形式和结构

Article4

CollectionInstruction第四款托收指示

Ai.AlldocumentssentforcollectionmustbeaccompaniedbyacollectioninstructionindicatingthatthecollectionissubjecttoURC522andgivingcompleteandpreciseinstructions.Banksareonlypermittedtoactupontheinstructionsgiveninsuchcollectioninstruction,andinaccordancewiththeseRules.

所有送往托收的单据必须附有一项托收指示，注明该项托收将遵循《托收统一规则》第522号文件并且列出完整和明确的指示。

银行只准允根据该托收指示中的命令和本规则行事；

ii.Bankswillnotexaminedocumentsinordertoobtaininstructions.

银行将不会为了取得指示而审核单据；

iii.Unlessotherwiseauthorizedinthecollectioninstruction,bankswilldisregardanyinstructionsfromanyparty/bankotherthantheparty/bankfromwhomtheyreceivedthecollections.

除非托收指示中另有授权，银行将不理会来自除了他所收到托收的有关人/银行以外的任何有关人/银行的任何指令。

BAcollectioninstructionshouldcontainthefollowingitemsofinformation,asappropriate.

托收指示应当包括下述适宜的各项容：

i.Detailsofthebankfromwhichthecollectionwasreceivedincludingfullname,postalandSWIFTaddresses,telex,telephone,facsimilenumbersandreference.

收到该项托收的银行详情，包括全称、邮政和SWIFT地址、电传、和传真和编号；

ii.Detailsoftheprincipalincludingfullname,postaladdress,andifapplicabletelex,telephoneandfacsimilenumbers.

委托人的详情包括全称、邮政地址或者办理提示的场所以及，如果有的话，电传、和传真；

iii.Detailsofthedraweeincludingfullname,postaladdress,orthedomicileatwhichpresentationistobemadeandifapplicabletelex,telephoneandfacsimilenumbers.

付款人的详情包括全称、邮政地址或者办理提示的场所以及，如果有的话，电传、和传真；

iv.Detailsofthepresentingbank,ifany,includingfullname,postaladdress,andifapplicabletelex,telephoneandfacsimilenumbers.

提示银行（如有的话）的详情，包括全称、邮政地址以及，如果有的话，电传和传真；

v.Amount（s）andcurrency（ies）tobecollected.

待托收的金额和货币；

vi.Listofdocumentsenclosedandthenumericalcountofeachdocument.

所附单据清单和每份单据的份数；

vii.a）Termsandconditionsuponwhichpaymentand/oracceptanceistobeobtained.

凭以取得付款和/或承兑和条件和条款；

b）Termsofdeliveryofdocumentsagainst:

凭以交付单据的条件

1）paymentand/oracceptance付款和/或承兑

2）othertermsandconditions其他条件和条款

Itistheresponsibilityofthepartypreparingthecollectioninstructiontoensurethatthetermsforthedeliveryofdocumentsareclearlyandunambiguouslystated,otherwisebankswillnotberesponsibleforanyconsequencesarisingtherefrom.

缮制托收指示的有关方应有责任清楚无误地说明，确保单据交付的条件，否则的话，银行对此所产生的任何后果将不承担责任；

viii.Chargestobecollected,indicatingwhethertheymaybewaivedornot.

待收取的手续费指明是否可以放弃；

ix.Interesttobecollected,ifapplicable,indicatingwhetheritmaybewaivedornot,including:

a）rateofinterest

b）interestperiod

c）basisofcalculation（forexample360or365daysinyear）asapplicable.

待收取的利息，如有的话，指明是否可以放弃，包括利率、计息期、适用的计算期基数（如一年按360天还是365天）；

x.Methodofpaymentandformofpaymentadvice.付款方法和付款通知的形式；

xi.Instrucitonsincaseofnon-payment,non-acceptanceand/ornon-compliancewithotherinstructions.发生不付款、不承兑和/或与其他批示不相符时的指示。

i.Collectioninstructionsshouldbearthecompleteaddressofthedraweeorofthedomicileatwhichthepresentationistobemade.Iftheaddressisincompleteorincorrect,thecollectingbankmay,withoutanyliabilityandresponsibilityonitspart,endeavourtoascertaintheproperaddress.

托收指示应载明付款人或将要办理提示场所的完整地址。

如果地址不全或有错误，代收银行可尽力去查明恰当的地址，但其本身并无义务和责任。

ii.Thecollectingbankwillnotbeliableorresponsibleforanyensuingdelayasaresultofanincompleteorincorrectaddressbeingprovided.

代收银行对因所提供地址不全或有误所造成的任何延误将不承担责任或对其负责。

B.FormofPresentation提示的形式

Article5

Presentation第五款提示

a.ForthepurposesoftheseArticles,presentationistheprocedurewherebythepresentingbankmakesthedocumentsavailabletothedraweeasinstructed.

就本条款而言，提示是表示银行按照指示使单据对付款人发生有效用的程序。

b.Thecollectioninstructionshouldstatetheexactperiodoftimewithinwhichanyactionistobetakenbythedrawee.

托收指示应列明付款人将要采取行动的确切期限。

Expressionssuchas“first”,“prompt”,“immediate”,andthelikeshouldnotbeusedinconnectionwithpresentationorwithreferencetoanyperiodoftimewithinwhichdocumentshavetobetakenuporforanyotheractionthatistobetakenbythedrawee.Ifsuchtermsareusedbankswilldisregardthem.

诸如首先、迅速、立即和类似的表述不应用于提示、或付款人赎单采取任何其他行动的任何期限。

如果采用了该类术语，银行将不予理会。

c.Documentsaretobepresentedtothedraweeintheforminwhichtheyarereceived,exceptthatbanksareauthorizedtoaffixanynecessarystamps,attheexpenseofthepartyfromwhomtheyreceivedthecollectionunlessotherwiseinstructed,andtomakeanynecessaryendorsementsorplaceanyrubberstampsorotheridentifyingmarksorsymbolscustomarytoorrequiredforthecollectionoperation.

单据必须以银行收到时的形态向付款人提示，除非被授权贴附任何必需的印花、除非另有指示费用由向其发出托收的有关方支付以及被授权采取任何必要的背书或加盖橡皮戳记，或其他托收业务惯用的和必要的辨认记号或符号。

d.Forthepurposeofgivingeffecttotheinstructionsoftheprincipal,theremittingbankwillutilizethebanknominatedbytheprincipalasthecollectingbank.Intheabsenceofsuchnomination,theremittingbankwillutilizeanybankofitsown,oranotherbank’schoiceinthecountryofpaymentoracceptanceorinthecountrywhereothertermsandconditionshavetobecompliedwith.

为了使委托人的指示得以实现，寄单行将以委托人所指定的银行作为代收行。

在未指定代收行时，寄单行将使用他自身的任何银行或者在付款或承兑的国家中，或在必须遵守其他条件的国家中选择另外的银行。

e.Thedocumentsandcollectioninstructionmaybesentdirectlybytheremittingbanktothecollectingbankorthroughanotherbankasintermediary.

单据和托收指示可以由寄单行直接或者通过；另一银行作为中间银行寄送给代收行。

f.Iftheremittingbankdoesnotnominateaspecificpresentingbank,thecollectingbankmayutilizeapresentingbankofitschoice.
