ServicesAgreement服务协议-

ThisAMENDMENTNO.1TOSERVICESAGREEMENT（AmendmentNo.1）ismadeandenteredinto_________,_________,_________（M/D/Y）byandbetweenAAACORPORATION,a_________（state）Corporation（AAA）andSMITHKLINEBEECHAMCLINICALLABORATORIES,INC.,a_________（state）Corporation（BBB）.

WHEREAS,AAAandBBBenteredintoaServicesAgreementon_________,_________,_________（M/D/Y）（ServicesAgreement）anddesiretoamendsameinconnectionwiththemergerasubsidiaryofHealtheonCorporationwithandintoAAA,withtheresultthatAAAwillbecomeawholly-ownedsubsidiaryofHealtheon.

NOWTHEREFORE,inconsiderationofthepremisesandthemutualpromisescontainedherein,theparties,intendingtobelegallybound,agreeasfollows:

1DEFINITIONS.

CapitalizedtermsusedinthisAmendmentNo.1andnototherwisedefinedhereinhavethemeaningssetforthintheServicesAgreement.

2AMENDMENTS.

2.1[*]REMOVEDFROM[*].SectionIV.Cisreplacedinitsentiretyasfollows:

1.Anamount（theFIRSTVARIABLEFEE）equalto（i）[*]minustheaggregateoftheamountbilledtoBBBpursuanttoSectionIV.B.above,excludingamountsattributabletoanyProviderofficewithProviderLinkthatissubsequentlyinstalledwiththeScanSoftwareorActaLabSoftware（theFIRSTTRANSACTIONFEEAMOUNT）priortothe[*]（ii）[*]minusthesumof（A）theFirstTransactionFeeAmountfortheperiodfromthedatehereoftothe[*]and（B）theamountpaidpursuanttoclause（i）above;and（iii）[*]minusthesumof（A）theFirstTransactionFeeAmountfortheperiodfromthedatehereoftothe[*]and（B）theamountpaidpursuanttoclauses（i）and（ii）above.

2.Anamount（theSECONDVARIABLEFEE）equalto（i）[*]minustheaggregateoftheamountpaidplusamountsowed（whetherornotbilled）pursuanttoSectionIV.M.1below（thePIFAMOUNT）priortothe[*];（ii）[*]minusthesumof（A）thePIFAmountfortheperiodfromthedatehereoftothe[*]and（B）theamountpaidpursuanttoclause（i）above;and（iii）[*]minusthesumof（A）thePIFAmountfortheperiodfromthedatehereoftothe[*]and（B）theamountpaidpursuanttoclauses（i）and（ii）above;PROVIDEDTHATifthePIFAmountwithrespecttoanannualperiod（otherthanthelastsuchannualperiod）isatleast[*]oftheaforementioneddollaramountforthatannualperiod,nopaymentshallbedueunderthisSectionIV.C.2forsuchannualperiod.

3.Anamount（theTHIRDVARIABLEFEEandtogetherwiththeFirstVariableFeeandSecondVariableFee,theVARIABLEFEES）equalto（i）[*]minustheaggregateoftheamountbilledtoBBBattributabletoanyProviderofficewithProviderLinkthatissubsequentlyinstalledwiththeScanSoftwareorActaLabSoftware（theTHIRDTRANSACTIONFEEAMOUNT）priortothe[*];（ii）[*]minusthesumof（A）theThirdTransactionFeeAmountfortheperiodfromthedatehereoftothe[*]and（B）theamountpaidpursuanttoclause（i）above;and（iii）[*]minusthesumof（A）theThirdTransactionFeeAmountfortheperiodfromthedatehereoftothe[*]and（B）theamountpaidpursuanttoclauses（i）and（ii）above.

4.SubjecttoSectionIV.D,theVariableFeesshallbepaidannuallywithinthirty（30）daysafterinvoicethereforfromAAAorHealtheon,whichshallbe（i）submittedtoBBBwithin[*]（ii）detailthecalculationthereof,and（iii）reflecttheVariableFeespayableinrespectofthemostrecentlycompletedannualperiodonly.BBBshallhaveAuditRightswithrespecttoanydisputedamountoftheVariableFees.

2.2CONDITIONSTOBUSINESSASSURANCEPAYMENTS.SectionIV.D.1isherebyreplacedinitsentiretyasfollows:

1.WithrespecttoallVariableFees,（i）suchfeesshallceasetobepayableifAAAshallfailtosatisfyanyoftheKeyPerformanceStandards,or（ii）suchfees（excludingtheportionoftheFirstVariableFeeattributabletoTransactionFeesgeneratedfromPIFSites）fortheapplicableyearshallnotbepayable（butshallbetreatedaspaidforpurposesofcalculationofanyamountpayableinthefollowingyear）ifanyofthefollowingshalloccur:

a.Asof[*]AAAshallfailtohaveatleast[*]AAASites;

b.Asof[*]AAAshallfailtohaveatleast[*]AAASites;and

c.Asof[*]AAAshallfailtohaveatleast[*]AAASites.

2.3CONDITIONSTOBUSINESSASSURANCEPAYMENTS.SectionIV.DisherebyfurtheramendedbyaddingthefollowingSubsection3attheendofsuchSection:

3.WithrespecttotheThirdVariableFee,suchfeesalsoshallnotbepayable（butshallbetreatedaspaidforpurposesofcalculatinganyamountpayableinthefollowingyear）ifanyofthefollowingshalloccur:

a.Asof[*]AAAshallfailtohaveatleast[*]AAASites;

b.Asof[*]AAAshallfailtohaveatleast[*]AAASites;and

c.Asof[*]AAAshallfailtohaveatleast[*]AAASites.
