•Incommonlawconsiderationitisaprerequisitethatbothpartiesoffersomeconsiderationbeforeacontractcanbethoughtofasbinding.

3.LEGALCAPACITY

•Sometimesthecapacityofeithernaturalorartificialpersonstoeitherenforcecontracts,orhavecontractsenforcedagainstthemisrestricted.

Errantemployeesordirectorsmaybepreventedfromcontractingfortheircompany,becausetheyhaveactedultravires(beyondtheirpower).
