WhereastheLicensorhastherightandagreestotransfertheabove一mentionedtechnicalknow一howtotheLicenseeforthemanufactureofRailwayproduct;

WliereastheLicenseeagreestointroducetheLicensor^technicalknow-howfordesign,manufacture,maintenance,saleandexportoftheRailwayproduct;

WiereastheLicenseeagreestointroducetheLicensor^technicalknow-howfordesign,manufacture,maintenance,saleandexportoftheRailwayproduct;

WhereastheLicensoragreestosupplytotheLicenseeandtheLicenseeagreestoobtainfromtheLicensoracertainamountofpartsandcomponentsfortheassemblingandmanufacturingoftheRailwayproductunderothercontract.

1.1'TheLicenseemeansInternationalTenderingCompanyofChinaNationalTechnicalImportandExportCorporation,Beijing,P.R.C・

1.3''TheContract"meanstheagreemententeredbetweentheLicenseeandtheLicensor,asrecordedintheContractsignedbybodipartiesincludingallannexes,attachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein・

1.4''ThecontractPrice"meansthepricepayabletotheLicensorbytheLicenseeundertheContractforthefullandproperperformanceofitscontractualobligations.

1.5''TheContractProducts，zmeansalltheproductswiththemodelsandspecificationsandperformanceswhicharemanufacturedbythetechnologytransferredbytheLicensortotheLicenseeasstipulatedinAnnex2to什代Contract・

1.7''TheTechnicalDocumentationandSoftware"meansallthedocumentstobesuppliedtotheLicenseebytheLicensorasstipulatedinAnnexIIIoftheContract,Itconsistsofthefollowings:

A.Allthetechnicalindices,drawings,design,technicaldocumentsandsoftwarerelatingtothedesign,manufacture,calculation,assembly,installation,test,managements,inspection,adjustment,operation,maintenance,acceptancetestandsaleoftheContractProducts;

B・Allthetechnicalindices,drawings,design,technicaldocumentsandsoftwarerelatingtotheinspection,installation.Commissioning,testing,acceptance,operationandmaintenanceoftheContractEquipment;

C・Allthetechnicalindices,drawings,technicaldocumentsandsoftwarerelatingtotheinspection,testing,adjustment,assemblyandmaintenanceoftheSKD/CKDParts.

1.8''TheTechnicalService"meansthetechnicalassistance,supervision,instruction,trainingandotherservicesunderthecontracttoberenderedbytheLicensortotheLicenseeasstipulatedinAnnexVIandAnnex,VII_totheContract・
