根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称):
《条例》的规定,甲、乙双方在平等、自愿、公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依法出租的商品房事宜,订立本合同。

一、出租或预租房屋情况
TheSituationofLeasingorpre-leasingPremises.
一-1.甲方出租(出租/预租)给乙方的房屋坐落在(以下简称该房屋)。
该房屋用途为住宅,房屋类型为公寓、结构为钢混。
甲方已向乙方出示:

一-2.甲方作为该房屋的房地产权利人(房地产权利人/代管人/法律规定的其他权利人)与乙方建立租赁关系。
签订本合同前,甲方已告知乙方该房屋未设定抵押。
PartyAshallsetupTenancyAgreementwithPartyBastheownershiprightstorealty(1.ownershiprightstorealty2.bailee3.otherrightstorealtybythelawofthePremises).PartyAshallnotifyPartyBthepremiseisnotmortgagedbeforesigningtheTenancyAgreement.
一-3.该房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设施、设备状况和甲方同意乙方自行装修和增设附属设施的内容、标准及需约定的有关事宜,由甲、乙双方分别在本合同补充条款中加以列明。
甲、乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。

二、租赁用途
UsageofthePremise
二-1.乙方向甲方承诺,租赁该房屋仅作为住宅使用,并遵守国家和本市有关房屋使用和物业管理的规定。
PartyBpromisestoPartyAtousethePremisessolelyforthepurposeofResidence,andshallbeabidedbytherelatedprincipleoflocalandthePeople’sRepublicofChina.
二-2.乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前,不擅自改变上述约定的使用用途。
WithinthetermofthisAgreement,PartyBshallnotusethePremisesforanyotherpurposewithoutobtainingthepriorwrittenconsentofPartyAandtheconfirmationandapprovalofthedepartmentconcerned.
三、交付日期和租赁期限
Deliverydateandleasingterm
甲乙双方约定,甲方于2010年9月5日向乙方交付该房屋。
【出租】房屋租赁期自2010年9月10日起至_2012年9月9日止。
PartyAshalldelivertoPartyBtheleasedpropertyingoodconditiononSep5th,2010.ThetermofthisAgreementiscommencingonSep10th,2010andexpiringonSep9th,2012.
3-1甲方应将该房在清洁,良好,可出租的状态下交付给租客,保证所有电器,管线,灯具,供暖,空调正常运转.
PartyAwillhandovertheabovepremisetotheTenantinagood,cleanandtenantablecondition.Allelectricalappliances,wiring,drains,pipes,lightsandheatingandA/Cwillbeingoodfunctionalcondition.
3-2租期届满,甲方有权收回出租房屋及全部家具、电器(包括附件2所例之所有家具、设
备),乙方亦应如期交还;乙方如要求续租,则享有优先续租权,但必须在本租约期满前_2_个月向甲方提出书面申请。
Onexpiryofthelease,PartyAhastherighttotakebacktheleasedproperty(includingallthefurniture,fittingsandequipmentlistedinAppendixII)infull,andPartyBmustdelivertheleasedpropertyonthedateofexpiry.IfPartyBwishestoextendthelease,PartyBshallhavetheprioritytorenewtheleasewith_2_monthsadvancewrittennoticetoPartyA.
四、租金、支付方式和期限
Rent,PaymentMethodandTerm
4-1租金每月为人民币元整,包括家具、电器(见附件2)、物业管理费、
电话及宽带安装费、会所卡入会及使用费。
TherentisRMBpermonth,includingfurniture,electricalappliances(SeeAppendixII),managementfee,telephoneandinternetbroadbandinstallationfee,clubhousemembershipfee.
4-2乙方应于每月1日前向甲方支付租金。
PartyBshallpaymonthlyrenttoPartyAinadvanceofthe1stdayofeachcalendarmonth.
4-3乙方支付租金的方式如下:

4-4租金款以人民币支付,在本租约有效期内,租金不予调整。
租期届满,租金双方另行协商.
TherentshallbepaidinRMB.TherentcannotbeadjustedduringthetermofthisTenancyAgreement.Onexpiryofthislease,therevisedrentalshallbenegotiatedbetweenthetwoparties.
5保证金和其他费用
SecurityDepositandotherFees
租期开始前,乙方应向甲方缴付相当于_2_个月租金额的租赁押金计人民币元。
租约期满,乙方如不再续租,甲方应在租赁期结束后_7_日内(在乙方将全部水,电,煤气费和应由乙方支付的杂费及电话费等付清后)将押金退还(不计利息)。
如因帐单延期等原因,乙方承担的全部水,电,煤气费和中央空调费等杂费及电话费无法在租赁期结束后_7_日内付清,甲方有权保留部分押金并在上述项目付清后3日内返回给乙方,但保留的押金部分不因超过上一帐期应付额的二倍。
如保留的部分押金不够支付实际的帐单,乙方应在接到甲方通知后7天内向甲方补足差额,若有剩余,甲方应将剩余的押金连同已支付的帐单交还给乙方。
Beforethelease,PartyBshallpaytoPartyA_2_months’rentasdeposit,whichisequivalenttoRMBintotal.Oncompletionofthetenancyperiod,ifPartyBwillnotcontinuetorenttheleasedproperty,PartyAmustreturnthedepositinfulltoPartyB(withoutinterest)within_7_daysaftertheterminationoftheLeaseAgreementundertheconditionthatPartyBhaspaidalltheoutstandingutilitiesfeesuchaswater,electricity,gas,centralair-conditioningfeeandtelephonebill.Ifsuchoutstandingutilitiesfeecouldnotbesettledbecauseoflimitationoftheaccountduedate,PartyAhastherighttokeeppartofthedepositandpaybackthisparttoPartyBaftertheoutstandingutilitiesfeesettled.Howeverthekeptpartofdepositshouldbelimitedtoasmuchastwiceofthepreviousaccountperiod.Ifthepartofthedepositisnotsufficienttocovertheactualutilitybills,PartyBshallpaythedifferenttoPartyAwithin7daysafterbeinginformedbyPartyA,whilePartyAshallreturntheleftoverofthedepositbacktopartyAtogetherwiththepaidutilitybillsifthereisanymoneyleft.
5-1甲方因乙方违反本合同的规定而受的损失,可在押金中扣抵合理数目,在甲
方做出该种扣抵前,需书面通知乙方将被扣抵的金额和理由,乙方有权拒绝不合理或不公正的抵扣,不足部分乙方必须在接到甲方付款通知后_7_天内补足。
PartyAmaydeductareasonableamountfromthesecuritydeposittowardspaymentofanyactualdamagesPartyAmayhaveincurredorsufferedasaresultofPartyB'sbreachofthisAgreement.Priortomakingsuchdeductions,PartyAshallinformPartyBwithwrittennoticeoftheamountwhichitintendstodeductandthereasonformakingsuchdeductions.PartyBshallbeentitledtoobjecttosuchdeductionsifPartyBbelievesthatsuchdeductionsareunreasonableorunjustified.Ifthesecuritydepositisnotsufficienttocoversuchamounts,PartyBmustpaythedeficiencywithin_7_daysofthereceiptofademandfromPartyA.
5-2押金以人民币支付,甲方收到押金后,向乙方开具收据。
ThedepositshallbepaidinRMB.PartyAshallissueanofficialreceiptonthereceiptofdeposit.
6房屋使用要求和维修责任
TheresponsibilitiesonRepairofthePremises.
6-1租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方修复;甲方应在接到乙方通知后的3日内进行维修。
逾期不维修的,乙方可代为维修,费用由甲方承担。
WithinthetermoftheAgreement,PartyBshallnotifyPartyAtotakechargeoftherepairsintimeifanylossesordamagesofthePremisesoccurred.PartyAshallberesponsibleforthemaintenancewithin3daysafterreceivingthenoticefromPartyB.PartyBmighttakeresponsibilityoftherepairsifitisoverdue;butPartyAshallbeliabletotakechargeoftherepairs.
6-2租赁期间,乙方应合理使用并爱护该房屋及其附属设施。
因乙方使用不当或不合理使用,致使该房屋及其附属设施损坏或发生故障的,乙方应负责维修,乙方拒不维修,甲方可代为维修,费用由乙方承担。
WithinthetermoftheAgreement,PartyBshalltakegoodcareof,andmakeproperuseof,thePremises,alltheinstallationsandpropertytherein.PartyBshallberesponsible,onceandforall,forthelossanddamagetothePremisesortotheinstallationstherein,asaresultoftheimproperuseonthepartofPartyB.PartyBshallbeliableeithertotakechargeoftherepairsthereofortoindemnifyPartyAforsuchlossesordamages.PartyAmighttakeresponsibilityoftherepairsinsteadoftherefusingrepairsbyPartyB.PartyBshallliabletotakechargeoftherepairs.
6-3租赁期间,甲方保证房屋及其附属设施处于正常的可使用和安全的状态。
甲方对该房屋进行检查、养护,应提前叁日通知乙方。
检查养护时,乙方应予以配合。
甲方应减少对乙方使用该房屋的影响。
WithinthetermoftheAgreement,PartyAshallguaranteetheuseandsafetyofthePremises.PartyAshallinformPartyBat3daysinadvanceinordertodomaintenanceandPartyBshalltherebyoffertohelpandcooperate.PartyAshalllowertheinfluenceoverPartyBtousethePremises.
6-4除本合同附件
(二)外,乙方另需装修或增设附属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门审批的,则还应由甲方(甲方/甲方委托乙方)报请有关部门批准后,方可进行。
乙方增设的附属设施和设备归属及其维修责任由甲、乙双方另行书面约定。
PartyBshallacceptfurnishingsandallinstallationsstatedinattachment
(二),andonlyafterobtainingthewrittenconsentofPartyA,shallrefurnishoralteranyorallofthefurnishingsandinstallationstherein.Andincompliancewiththepertinentregulations.PartyBshallpresentareportortheaforesaidrefurnishingandalterationstothedepartmentconcerned.Onlyafterallthereportingandapprovalprocedureshavebeencompleted,shalltheworkofsuchrefurnishingandalterationsbeaffected.ThebelongingsandmaintenanceofadditionalfacilitiesofthePremisesarebasedonthemutualnegotiationbetweenPartyAandPartyB.
7房屋交还时的状态
ThestateofthereturnedPremises
7-1.除甲方同意乙方续租外,乙方应在本合同的租期届满后的一日内应返还该房屋,未经甲方同意逾期返还房屋的,每逾期一日,乙方应按双倍日租金向甲方支付该房屋占用使用费。
ExceptforobtainingPartyA’spriorconsentforrenewal,PartyBshallreturnthePremisestoPartyAwithin1daysafterexpiration.IfPartyBfailstoreturnthePremisesonschedule,PartyBshallpayliquidateddamagestoPartyAintheamountofdoublerentalforeachdelayedday.
7-2.乙方返还该房屋应当符合正常使用后的状态。
返还时,应经甲方验收方可,并相互结清各自应当承担的费用。
