ThisContractismadeandenteredintothroughfriendlynegotiationbyandbetweenChina____________________（hereinafterreferredtoas“Client”）,asoneparty,and____________________（hereinafterreferredtoas“Consultant”）,astheotherparty,concerningthetechnicalconsultancyserviceof__________,underthefollowingtermsandconditions:
Article1ContentsofTechnicalConsultancyService
1.1WhereasClientdesirestoobtainthetechnicalconsultancyserviceoffromConsultantandConsultanthasagreedtoperformsuchservices.
1.2TheScopeofTechnicalServicesisdefinedinAppendix1.
1.3TheTimeSchedulefortheServicesisshowninAppendix2.
1.4TheManningScheduleisdescribedinAppendix3.
1.5ConsultantshallcompletetheServiceswithin__________monthsfromtheEffectiveDateofthisContractandfurnishthefinaltechnicalservicereport,includingdrawings,designingdocuments,allkindsofstandardsandphotos,within____months.Consultantshallkeepaware,freeofcharge,Clientofthelatestdevelopmentofsimilarprojectsandanyprogressmadeinordertoimprovethedesigningoftheproject.
Article2BothPartiesResponsibilityandLiability
2.1ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgivetoConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime.
2.2ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermitsandotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.
2.3Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultantsresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultantspersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder.
2.4ConsultantshallprovideClientallthetechnicaltechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeScheduleoftheTimeSchedulefortheServices.
2.5ConsultantshallassistClient＇Spersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplytoClient＇Spersonnelofficespaceandnecessaryfacilitiesaswellastransportation.
2.6ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultantspersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.
2.7AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3.
Article3PriceandPayment

3.2ThetotalcontractpricewillincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfluctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeoplesRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClientsofficebyallkindsofforms.
IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServicesthepartiesshallfriendlydiscussanamendmenttothe
totalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.
3.3AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough__________inChinato_________fortheaccountofConsultant.
InconsiderationfortheservicesprovidedbyConsultanthereunder,ClientshalleffectthepaymenttoConsultantinaccordancewiththefollowingmannerandpercentage:

Article4DeliverySchedule
4.1ThedeadlineforthearrivaloftheTechnicalservicereportsCIF_____are:

4.3ShouldanydocumentbemissingordamagedduringthetransportConsultantshallbenotifiedaccordinglyandwithintwo
（2）weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.
