1.Introduction

1.1TheseGeneralConditionsforConstructionWorksupplementthe"InstructionsandConditionsCompanywhicharepartofthePURCHASEORDERforthesaleandsupplyofcertainspecifiedequipmentand/ormaterials.TheGeneralConditionsforConstructionWorkgoverntheconstructionportionofthePURCHASEORDERonly.Incaseofanydiscrepancyintermsofambiguityornonapplicabilitybetween"InstructionsandConditionsCompany"andtheseGeneralConditionsofConstructionWork,theseGeneralConditionsprevailovertheInstructionsandConditions.Specialconditionsmaybeaddedtothesegeneralconditionsif,intheopinionofCompanyand/orOWNER,suchisrequired.IncaseofanydiscrepancybetweentheseGeneralConditionsandtheagreedSpecialConditions,theSpecialConditionswillprevail.

1.2AnychangeormodificationoftheGeneralConditionsand/ortheSpecialConditionsandanyexceptionstheretobyVENDORinhisproposalorotherwiseshallonlybevalidandbindingwhenexpresslyagreeduponbybothpartiesandaddressedinfullintheSpecialConditionsandnotbywayofreferenceinthePURCHASEORDER.

1.3HeadingsandsubheadingsofarticlesandindicesusedintheseGeneralConditionsandintheSpecialConditionsareforconvenienceandeaseofreferenceonlyandinnowaydefine,limitordescribethescopeorintentofanyprovisionorofthetotalPURCHASEORDER.

2.Definitions

ThefollowingdefinitionsshallapplytotheconstructionpartofthePURCHASEORDER.Wordsimpartingthesingularonlyalsoincludethepluralandviceversawherethecontextrequires.

2.1PurchaseOrder

PURCHASEORDERshallmeanthecompleteCompanyPURCHASEORDERwiththeGeneralConditionsandSpecialConditionsforConstructionWork,alldocumentswhicharedeemedtobeincorporatedthereinbyreferenceandallagreedPURCHASEORDERamendments.

2.2Work

WORKshallmeanallconstructionworktobeperformedandservicestoberenderedbyVENDORundertheGeneralConditionsandSpecialConditionsofthePURCHASEORDERinrespectoftheconstructionwork.

2.3Subcontractor

SUBCONTRACTORshallmeananypersonorCompanyhavingaSUBCONTRACTwithVENDORfortheperformanceoftheWORKorpartofit.

2.4Company

CompanyshallmeantheCompanywhohasawardedthePURCHASEORDER,theirdesignatedrepresentatives,andtheirrepresentativeorhisappointedrepresentativeattheSITE.SuchawardmaybeinCompany'snameorinthenameand/oronbehalfoftheclientwithwhomCompanyhasacontract.

2.5Owner

OWNERshallmeantheclientwithwhomCompanyhasacontracttoperformwork.

2.6Site

SITEshallmeanthelocationofbothon-plotandoff-plotunitsandfacilitiesofOWNER'sPLANT.

2.7Plant

PLANTshallmeantheunitsandfacilitiestobeconstructedandofwhichtheWORKisapart.

2.8Materials

MATERIALSshallmeananymachinery,equipment,materialsandotheritems（includingtheinitialsparepartsspecifiedelsewhere）suppliedbyVENDORandintendedtobeincorporatedpermanentlyinthePLANToritsfacilities.

2.9SurplusMaterials

SURPLUSMATERIALSshallmeananyMATERIALSfoundtobesurplusuponacceptanceoftheWORKorearlier,withtheexceptionoftheinitialspareparts.

2.10ConstructionEquipment

CONSTRUCTIONEQUIPMENTshallmeananylifting,transporting,testing,calibrating,protecting,andothermaterialsandequipment,aircraft,watercraft,scaffolding,tools,implementsandsuchotheritemsasarerequiredfortheexecutionoftheWORKbutshallnotincludeMATERIALS.

2.11TemporaryFacilities

TEMPORARYFACILITIESshallmeananytemporaryyardsforthestorageand/ormaintenanceofCONSTRUCTIONEQUIPMENTand/orMATERIALS,anytemporaryoffices,WORKshops,changeroomsandotherbuildings,anytemporarysanitaryfacilitiesandinstallationsforutilitiesincludingtheconnectionstothepointsofsupply,anyofficeequipment,officesupplies,anyconsumablesusedintheTEMPORARYFACILITIESandsuchotheritemsasarerequiredfortheexecutionoftheWORKbutshallnotincludeMATERIALSorCONSTRUCTIONEQUIPMENT.

2.12VariationinScope

VARIATIONINSCOPEshallmeananyincreaseordecreaseintheWORK.

2.13Vendor

VENDORmeansthepartyperformingtheWORKunderthePURCHASEORDER.

2.14ExtraWork

EXTRAWORKshallmeananymodificationoralterationtoapartorpartsoftheWORKinprogressorcompleted.

2.15CompletionDate（s）

COMPLETIONDATE（s）shallmeanthedate（s）specifiedinthePURCHASEORDERforcompletionoftheWORK.

2.16Milestone

MILESTONEshallmeananeventthatformspartoftheWORKorastagethatapartoftheWORKhasreached,whereastheeventorstagehasbeendefinedinthePURCHASEORDER.

2.17MilestoneDate

MILESTONEDATEshallmeanthedateonwhichaMILESTONEmustbereached,whereasthedatehasbeendefinedinthePURCHASEORDER.

2.18Acceptance

ACCEPTANCEshallmeanCompany'sacknowledgementthattheWORKorpartoftheWORKcompletedhasbeenreviewedwithoutnotinganynonapprovednonconformanceswiththePURCHASEORDERbyissuingaCertificateofAcceptance.TheguaranteeperiodshallstartonthedateoftheissuanceoftheCertificateofAcceptance.

3.TemporaryFacilities

3.1CompanyshallmakeavailabletoVENDORfreeofchargeasufficientareaorsufficientareasoflandforvendor'sTEMPORARYFACILITIES.

3.2VENDORshallpromptlyremoveanyTEMPORARYFACILITIESwheninstructedbyCompanytodoso.

3.3VENDORshall,athisownexpense,supply,install,maintainandremovetheTEMPORARYFACILITIESthatVENDORmayrequire.PriortothesupplyVENDORshallsubmittoCompanyallVENDOR'srequirementsincludingdetaileddrawingswhereuponCompanywillestablishtheexactlocationoftheTEMPORARYFACILITIES.

3.4Companyshall,insofarastheydeemnecessary,providefreeofchargeasupplyofpotablewater,nonpotablewaterandelectricpower.VENDORshall,athisownexpense,provide,maintainandremoveanytemporarypipingsystems,cablesanddistributionboardsVENDORmayrequire,includingtheconnectionstothepointsofsupply.ConnectionstopointsofsupplyshallnotbemadewithoutpriorapprovalbyCompany.

3.5Waterandelectricpowershallbeusedconservatively.Electricpowershallnotbeusedforheatingorforstress-relievingpurposesorfortestingmicroprocessorsorcomputersystems.

3.6IncaseacentralsanitarysewersystemisavailableVENDORmay,athisownexpense,provideandremoveanytemporarysystemVENDORmayrequire,includingtheconnection（s）totheexistingsystem.ConnectionsshallnotbemadewithoutpriorapprovalbyCompany.

3.7VENDORisresponsibleforthesupply,installation,maintenanceandremovalofanytelephoneand/ortelexconnectionsVENDORmayrequire.Allcosts,includingbutnotlimitedtosubscriptionandusage,areforVENDOR'saccount.TheroutingofcablesmustbeapprovedbythetelephoneCompanyandCompanypriortotheirinstallation.

3.8VENDORshallnotremovefromtheSITEanyTEMPORARYFACILITIESwithoutthepriorapprovalbyCompany.

3.9OnacceptanceoftheWORK,VENDORshallremoveallremainingTEMPORARYFACILITIESandleavethearea（s）inaconditionsatisfactorytoCompany.

4.ConstructionEquipment

4.1VENDORshall,athisownexpense,supply,maintainandremovetheCONSTRUCTIONEQUIPMENTrequiredfortheexecutionoftheWORK.

4.2VENDORwarrantsthattheCONSTRUCTIONEQUIPMENTshallbedeployedattheSITEsuchthattheWORKisexecutedinanefficientandexpeditiousmanner.

4.3TheCONSTRUCTIONEQUIPMENTshallbeinfirst-classoperatingcondition,safeandsuitablefortheefficientexecutionoftheWORKandshallbeaccompaniedbyallsafety,testandoperatingcertificatesand/orrecordsrequiredbymanufacturerandauthorities.

VENDORshallconductregularsafetychecksespeciallyoncranes,vehiclesandscaffoldingtoensurecompliancewithsafetyregulations.

CONSTRUCTIONEQUIPMENTnotconformingwiththeforegoingshallpromptlyberemovedbyVENDORandreplacedwithCONSTRUCTIONEQUIPMENTacceptabletoCompanyand/orOWNERwithoutadditionalcosttoCompanyand/orOWNERandwithoutdelayingtheWORK.

4.4VENDORissolelyresponsibleforthesupplyofhisownfuels,lubricantsandotherproductsrequiredfortheexecutionoftheWORK.IncaseOWNERisamanufacturerofsuchp
