1.Section1.1oftheAgreementisamendedtoreadinitsentiretyasfollows:

ExecutiveEmploymentAgreement雇佣合同-

ThisEXECUTIVEEMPLOYMENTAGREEMENT（thisAgreement）isenteredintoandmadeeffectiveasofthe_________,_________,_________（theEffectiveDate）,byandbetweenAAAcompany（theCompany）and_________（theExecutive）.

TheCompanydesirestoengagetheservicesoftheExecutiveasitsChiefExecutiveOfficer,andtheExecutivedesirestoacceptsuchengagement,onthetermsandsubjecttotheconditionshereinaftersetforth.

Inconsiderationofthemutualpromises,terms,provisionsandconditionssetforthinthisAgreementandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledged,thepartiesherebyagreeasfollows:

1.Employment.SubjecttothetermsandconditionssetforthinthisAgreement,theCompanyherebyemploystheExecutiveandtheExecutiveherebyacceptsemploymentbytheCompany.

2.Term.Subjecttoearlierterminationashereinafterprovided,theExecutive’semploymenthereundershallbeforatermofthree（3）years,commencingontheEffectiveDate.ThisAgreementmaybeextendedorrenewedonlybywrittenagreementoftheExecutiveandanexpresslyauthorizedrepresentativeoftheBoardofDirectorsoftheCompany（theBoard）.

3.CapacityandPerformance.

a.Duringthetermhereof,theExecutiveshallinitiallyservetheCompanyasitsPresidentandChiefOperatingOfficerandthereafter,withineighteen（18）monthsoftheEffectiveDate,shallbeappointedChiefExecutiveOfficeroftheCompany.AsPresidentandChiefOperatingOfficer,theExecutivewillreporttotheCompany’sChiefExecutiveOfficer.Thereafter,asChiefExecutiveOfficeroftheCompany,theExecutivewillreporttotheBoardofDirectorsoftheCompanyandtothePresidentandChiefOperatingOfficer（oranofficerofhigherstatus）ofMetropolitanLifeInsuranceCompanyof_________.

b.AsPresident,ChiefOperatingOfficerand,thereafter,asChiefExecutiveOfficeroftheCompany,theExecutiveshallperformsuchassignmentsandhavesuchdutiesandauthoritiesasareappropriatetohisposition（s）,andshallperformsuchassignmentsandhavesuchotherrelateddutiesasmayreasonablybeassigned,delegated,designatedormodifiedfromtimetotimebythosetowhomhereportsandbytheBoardoritsChairman.TheExecutive’sdutiesshallinclude,withoutlimitation,overalloperationalresponsibilityforallCompanybusiness,includingtheoversightofsales,marketing,promotion,strategicplanninganddevelopmentfortheCompany’sbusiness;provided,however,itisunderstoodandagreedthat,duringtheExecutive’semploymentasChiefOperatingOfficer,_________shallretainresponsibilityfortheCompany’sFullFinancialServicesFirmandElectronicCommerceProjects.

c.TheExecutiveshallberecommendedforappointmenttotheCompany’sBoardassoonasmaybepracticable,butinnoeventlaterthanthenextscheduledmeetingoftheBoard.

d.Duringthetermhereof,theExecutiveshalldevotehisfullbusinesstimeandhisbestefforts,businessjudgment,skillandknowledgeexclusivelytotheadvancementofthebusinessandinterestsoftheCompanyanditsAffiliatesandtothedischargeofhisdutiesandresponsibilitieshereunder,exceptthattheExecutivemaydevoteareasonableamountoftimetocharitableendeavorsandtopersonalaffairsand,subjecttotheapprovaloftheBoard,mayserveontheboardsofdirectorsofothercorporations,tradeassociationsorcharitableorganizations,totheextentthatsuchexceptionsdonotinterferewiththeExecutive’sresponsibilitiestotheCompanyanditsAffiliates.TheExecutiveshallnotengageinanyotherbusinessactivityduringthetermhereof,exceptasmaybeapprovedinadvancebytheBoard.AsusedinthisAgreement,Affiliatesmeansallpersonsandentitiesdirectlyorindirectlycontrolling,controlledbyorundercommoncontrolwiththeCompany,wherecontrolmaybebymanagementauthority,equityinterestorotherwise.

4.CompensationandBenefits.AscompensationforallservicesperformedbytheExecutiveunderandduringthetermhereofandsubjecttoperformanceoftheExecutive’sdutiesandoftheobligationsoftheExecutivetotheCompanyanditsAffiliates:

a.BaseSalary.Duringthetermhereof,theCompanyshallpaytheExecutiveabasesalary（theBaseSalary）attherateofnotlessthan_________Dollars（$,_________）perannum,payableinaccordancewiththeCompany’sregularpayrollpractices,suchBaseSalarytobeincreasedinanamountdeterminedbytheBoardinitsdiscretionupontheExecutive’sappointmentasChiefExecutiveOfficer.

b.SigningBonus.Withinthirty（30）daysfollowingtheEffectiveDate,theExecutivewillreceivefromtheCompanyaone-timesigningbonusof_________Dollars（$,_________）.

c.BonusCompensation.Duringthetermhereof,theExecutiveshallbeentitledtoparticipateintheCompany’sshort-termincentivecompensationplanandlong-termincentivecompensationplan,eachasineffectfromtimetotime.Exceptasotherwiseexpresslyprovidedherein,theExecutive’sparticipationintheCompany’sshort-termandlong-termincentivecompensationplansshallbesubjectto（A）thetermsoftheapplicableplandocuments,（B）generallyapplicablepoliciesoftheCompany,and（C）thediscretionoftheBoardoranycommitteeoftheBoardprovidedforinorcontemplatedbysuchplans.TheExecutiveunderstandsandagreesthattheCompanymayamend,replaceorterminateanyorallofitsincentivecompensationplansfromtimetotimeinthesolediscretionoftheBoardandthatnothingcontainedhereinshallobligatetheCompanytocontinueanysuchplanoranytermthereof;provided,however,thatamendment,replacementorterminationofoneoralloftheplansshallnotaffecttheExecutive’srighttoreceivenotlessthantheguaranteedminimumbonusessetforthbelowduringhisemploymentunderthisAgreement.TheExecutiveshallbeentitledtoreceive,fortheplanyearinwhichterminationofhisemploymentoccurs,abonusunderanyincentivecompensationplaninwhichheisthenaparticipant,pro-ratedtothedateofterminationandcalculatedasifhistargetbonusunderthatplanhadbeenmet,providedthatterminationoccurspursuanttoSection6.a.,Section6.b,Section6.dor6.fhereof.

ItisagreedthattheExecutive’stargetbonusundertheshort-termincentiveplanshallbeequaltothetargetbonusoftheCompany’sChiefExecutiveOfficer（theCEO）underthatplan,expressedasapercentageofbasesalary,andthat,forpurposesoftheExecutive’sparticipationintheshort-termincentiveplanincalendaryear1997,theExecutiveshallbetreatedasifhehadbeenemployedbytheCompanyasof_________,_________,_________（M,D,Y）.Providedthatheisemployedhereunderatthetimethe1997short-termincentivecompensationbonusispayabletoexecutivesoftheCompanygenerally,theExecutiveshallbeguaranteedaminimumshort-termincentivebonusofThreeHundredThousandDollars（$,_________）forcalendaryear1997,payablein1998;provided,however,thatintheeventtheExecutive’sshort-termbonuscompensation,calculatedinaccordancewiththetermsoftheCompany’sshort-termincentivecompensationplan,exceedshisguaranteedminimumshort-termincentivebonushereunderforcalendaryear1997,theExecutiveshallbeentitledtothehighershort-termin
